All use and occup�ncy of public strcet, allcys, sidcwall<s or otl�er public rights-of-�vay under
this agreement shall be in strict compliance with the Charter, Ordinances and Codes of the City
and in accordance with the directions of the Building Otticial and the Director of Transportation
and Pub(ic �Vorks of City.

iJpon expiratlon nf this agreement and the privileges geanted hereunder, there shall be no
encroachment by Grantee in, under, on or above the surface of the public rights-of-�vay involved.
�1.
Grantee agrees to pay it� advance �n encroachment fee for the temporary privilege of
encroaching upon a portion of the pubfic rights-of �vay as described iu E�cllibit "g". Said fee is
calculatecl iu the manner and amounts prescribed by the Building Code of the City of Fort Worth
for tempor�iry use or occupancy of pubfic property. The estimaled tofal amounl of said fee is:
5543 sf of street for 313 days $52,048.77
2403 sf of sidewalk for 313 days $11,282.08

Grantee, at no expense to Cit}�, shall make proper provision for the relocation and/or
installltion of �iny existing or fiit�n�e ti�affic contr�l devises o�' other im�rovetnents affected hy
such encro�chn�ent, use and occupancy, including the securiug of approval and consene from the
appropriale agencies of the State and its political subdivisions. [n the event th�t auy installation,
reinsta(lation, relocation or repair of any existing or (iihu•e traffic control device or impro��ement
owned or coustructed by or on behalf of tl�e public or at pubfic expense is m1<le more costly by
virtue of the existence of sttch encroachment and use, Grantee shall ��ay t� City �ind additionll
auiount equal to sucll additional cost as determined 6y City.

Providecl, hotvever, should the need frn� the encroachments granted hereunder at any time cease,
Grantee agi•ees to immediately notify City of s«cli conditioil; aiid, upon �•eceipt of sucll notice by
the Bui(ding OCCcial of the Cily of Fort �Vordi, tliis agreeiiient shall terminite.

"B". This agreement shall tiot be consti•t�ed as the granting of a permanent easement,
enci•oacl�ment or license upoil City's pi�blic streets, �Ileys, sidewalks, or othel• rights-of-�vay.

City, througl� its duly autl�orized representatives, shall have the full and uurestricted riglrt to
enter upon all public rights-of-way foi• the ptirpose of making inspections to detei7niue
compliance �vitli the terms, covenants and conditions he7•ein. In the event that aiiy inspection
should reveal a breach of any terms, covenants or conditions herein, City shall give Grantee
noCice of such breach. Should such breach not be corrected by Grantee �vithin twenty-four (24)
ho�u•s of receipt of the notice, or within sucll shorter perioci of time as deemed necessaiy by the
Building Official for the protection of public hea(th or safety, City inay terminate and cancel this
agreement.
Upo�i expiration o�• tei•mination of tl�is �tgreement for any reason �vl-►atsoever, Grantee shall, at
no espense to City, restore the pub(ic rigl�ts-of-way and adjacent supporting sh�uctures to a
condition acceptable to tl�e Director of Transporcation and Public Worlcs or his dtrly authorized
cepresentative and in accordance �vith then existiiig City specitications, and Grantee shall i•etiiove
nll ban�icades, equipment, supplies, matei�ials or other property� fi�om said location. Gr�ntee
�fucther covenants anct agrees that for a period of one ( I) year after the te.rrnination of this Conseni
Agreement, Grantee will repair all co�lditions or damages to the streets and side�v111<s or other
rights-of-way that have cesiilted front Grantee's use or occupancy of tlie streets and sidewallcs or
other rights-of-way, as determii�ed by the Directoc of Transportation :�nd Pub(ic Wocks or his
c(esigitee. Grantee agrees to 6egin such repairs �vithin LhirLy (30) days uf receipt oP notice from
the Director oF"I'ransport�tion and Public Wocks or his designec. flll repaics shall be perfocmed
in ai� expeditious ancl �vorkmai�fike minner and sllall comply �vith all applicable laws, codes,
ordinances and City specifications.
Cn t{le event tliat Grintee f�ils to coinply ���itli tl�e covenants herein containeci with respect to
such removal or restoration, tlie Ci�y shall have the right to remove or dispose of any barricades,
equipment, supplies, materials or other property and repair any conditions which in ihe opinion of `
the City are necessary to brin� the public rights-of-�vay to the condition presccibed herein, and '
City shall not be responsible for trespass or any other dama�e or liahility i�� connection with such
reiliova( or restoration. Grantee shall reimbtu�se City for tlie cost and expense of such rernovaf
ancf/or repairs iit7rnediately foflowitig billi�ig for same by City.

Nothing herein shall be construed as a 4vaivec by City to enforce pe�ial sanctions prescribed
by the Code of the Ciry of Fort Worth and the laws of the State of Texas for Grantee's continued
encroachment upon the public rights-of-way following termination of this Consent Agreement.

It is further tmderstood and agreed betrveen the parties liereto that City holds tlie city streets,
�Ileys, sidewalks and other public rights-of-way, including the portions of such streets nsed �ncl
encroacltecl upon as described herein, �s trustee for the piiblic; that City e:cercises such powers
over tlie streets as liave been delegated to it by the Constittttion of the State of Texas or by the
Legislalure; and the City cannot contract a�vay its dnty aiid its legislative power to co�itrol the
streeYs for the use and bene�t of the public. It is accordingly agreed tllat if the bovecning bocly of
City, to �vit, its City Cotmcil, shall at any time dtn•ing the term liereof determine in its sole
discretioii to use or cause or �ai•mit to be used for any public purpose tl�►e slid encroached portion
of the streets, then this abreement shall be aulomaCicllly canceled and ter�t�inated.
11.
Grantee agi•ees to comply fully with all aprlicahle federal, state and loca( laws, statutes,
orclin�t�ces, codes or regulations in connection �vith the consh�uction, operation and maintenance
uf said encroachi�►en[s 1nd uses.
12.
Grantee agcees to pay prorn��tly tvhen due all Fees, taxes nr rentals pr�vided f�r hy this
agreement or by any fecteral, state or local statue, law or regulation.
13.
Gi•antee covenants and agi•ees that it shall exercise all rigl�ts atld pi'ivileges gratlted hereuncier
as an indepencfenL contracLor, and not as an officer, agent, secvant or etnployee of City; that
Grantee shall liave cxclusive conh•of of and the exclusive right to control the details of its
operations and activities on said desa�ibed pub(ic property and al( persons pei�orming same, and !
shall be solely responsibfe for the acts and otnissions of its officet•s, agents, servants, eFnployees, '
contractocs, subconiractors, licensees and invitees; that the doctrine of respondeat superior shall
not app(y as bet�veen City and Grantee, its officers, agents, servants, employees, contractors and
subcontractors, and nothing lierein shall be consh•ueci as creating a partnership or joint enterpcise
beriveen City znd Grantee.

public risks reLated to the proposed use and occupaiicy of ptiblic property as located and

Gravtee agrees to submit a similar Certificate of lnstu•ance annually to City on the annivei•sary
date of the esecution of this agreement.
Grantee, agrees, binds and obligales itself, it successors and assigns, to maintain and keep in
force snch public (iability insurance at all times during the term of this agreement and until the
removal of afl eneroachments and the cleaning and restoration of the city streets. Al( insucance
coverage reqtiiired herein shall include coverage of all Grantee'.s contracto�;�.

Gi•antee covenants and agrees that it will not assign all oc any of its rights, privileges or duties
under this contract without prioc written approval of City, and any attempted assignment �vithout
such prior �vritten a�proval shall he void.
