TEIv11'ORARY USE OF PUBLIC PROPERTY

THIS AGREFII�IENT is made and entered into by and between the City of Fo��t Worth, a
�nunicipal corporation of Tairant Cowity, Texas, acting herein by and through its duly authorized
Building OFf'tcial, hereinaf�er referred to as the "City" and Turner construction company
Acting by and throunh its duly authorized agent, Mattnew A. Papenfus ,
Hereinafter referred to as "Grantee".
WITIVESSET�I[:
For and in consideration of the payment 6y Grantee of cliarges set out below and the true and
faithfiil perf'ormance of the mutual covenants herein cantained, City hereby grants to Gra�itee
permission to temporarily encroach upon, uses and occupy portion of the space under, on and/or
above the streets, alleys, sidewalks or other public rights-of-way as follows:

All lanes of Throckmorton Street and sidewalks between 2nd St. and �-��t� � QC(1,
Weatherford St. Partial lanes between 3rd St. and 2nd St. for traffic routing.
The location and description nf said encroachinent is more patticu(a��ly described in Exllibit "B"
attached hereto, incorporated herein and made a part hereof for all puiposes.

All use and occupancy of pttblic street, aIleys, sidewalks or otltcr• public rights-of-way under
this aareement shall be in strict compliance with the Cl�arter, Ordinances and Codes of tf�e City
and in accordance with the directions of the Building Ofitcial and the Director of Transportation
and Public Wo�•ks of City.

Y1pon expiration of this agreement and the privileges granted hereunder, there shall be no
encroachment by Grantee in, under, on or above the surface of the public rights-of-way invol�c�ed.
4.
Grantee agrees to pay in advance an encroacliment fee for the temporary privilege of
encroaching upon a portion oF the public rights-of-way as descri6ed in E�ibit "B". Said fee is
calculated in the manner and amounts prescribed by the Building Code of the City of Fort Worth
for temporary use or occupancy of public property. The estimated tolal amotmt of said Fee is:
Sidewalk: 20,664sf x$.015 x 41 days= $12,709
Street: 32,749sf x$.03 x 41 days= $40,281

5.
Grantee, at no expense to City, shall make proper provision for the relocation and/or
installation of any existing o�• future traffic control devises or other improvements affected hy
such encroachment, use and occupancy, including the securing of approval and consent from the
appropriate agencies of the State ancl its political subdivisions. In the eveut that any installation,
reinstallation, relocation or cepair of any existing or futi�re traffic control device or improvement
owned or constructed by or on behalf of the pub(ic or at public expense is made more costly by
virtue of the existence of such encroachment and tiise, Grantee shall pay to City and additional
amount equal to sucl� additional cost as determined by City.
6.
The term of this agreement shall be for 41 days, from _ i z z o � io 3/� / o � ,
Provided, Itowever, should the need for the encroachments granted hereunder at any time cease,
Grantee agrees to immediately notify City of sucli condition; and, upon receipt of such notice by
the Building OfCcial of the City of Fort Worth, tliis agreetnent shall terminate.

"B". Tliis agreement shall not be construed as the granting of a permanent easemenf,
encroachment or license upou City's pu�lic streets, alLeys, sidewalks, or other rights-of-way.
�.
City, through its duly authorized representatives, shall have the ftill and unrestricted right to
enter upon all public rights-of-tivay for the purpose of ma[cing inspections to deterinine
compliance with the terins, covenants and conditions herein. In the event that any inspeciion
should reveal a Ureach of any tei�rns, covenants or conditions herein, City shall gi�c�e Grantee
n�tice oF such breach. Should such breach noi be corrected by Grantee within twenty-four (24)
hoars of receipt of the notice, or within such shorter period of time as deerned necessaiy by the
Building OFficial for the protection of public health or safety, City may terminate and cancel this
agreement.
9.
Upon expiration or termination of this agreement for any reason wlaatsoever, Grantee shall, at
no e;cpense to City, a•estore the pubtic rights-of-�vay and adjacent supporting struchues to a
condition acceptable to the Director of Transpoc�tation and Public Works or his dtily a��thocized
representative and in 2ccordance tivifh then existing City specifications, and Graniee sh111 remove
all barricades, ec�uipment, supplies, materials or othei' property fi•orti said location. Grintee
further covenarits and agrees that for a period of one (1) year after the termination of this Consent
Agreement, Grantee �viil repair all coiiditions or damages to the streets and side�valks or other
rights-of-way that have ►•estilted from Grantee's use or occupancy of the st��eets anci sidewallcs or
other rights-of-way, �s determined by the Director of Transportation and Public Works or his
designee. Grantee agrees to begin such repairs �vithin thirt�� (30) days of ceceipt oF no[ice from
the Uirector of Transpo��tation and Public Works or his designee. All eepairs shall be performed
in an expeditious and �vorkmanlike manner and sliall comply with 111 applicable laws, codes,
ordinances and City specifications.
[n the event t(iat Grantee fails to comply with the covenants herein contained with respect to
snch remaval or restoration, the City shall have the right tu remove or dispose of any barricades,
equipment, supplies, materials or other property and repair any conditions which in the opinion of
the City are necessary to brivg the public rights-of-way to tl�e condition pt•escribed herein, and
City shall not be responsib(e for trespass or any other damage or liability ir� connection with sti�ch
removal or restoration. Grantee shall reimburse City for the cost and eYpense of such eemoval
and/or repairs im►nediately following billing for sa�ne by City.

Nothing herein shall be construed as a �vaiver by City to enforce penal sanctions prescribed
by the Code of the Ciry of Fort Worth and the laws of the State of Texas fo�• Grantee's continued
encroaohment upon the publio rights-of-way following tertnination of this Consent Agreement.
10.
It is fiirther tmderstood and agreed betrveen the parties hereto that City holds t(ie city streets,
alleys, sidewalks and nther public rights-of-way, including the portions of such streets tised and
encroached upon as described herein, as trustee for the p�yblic; that City exercises such powers
over the streets as have been delegated to it by the Constitution of the State of Texas or by the
Legislatttre; and the City cannot contract away its duty and its legislative power to control the
streeYs for tlie use and benefiC of the public. It is accordingly agreed that if the governing body of
City, to �vit, its Citj� COlIt1CII, shall at any time dw•ing the terrn hereof determine in its sole
discretion to use or cause or permit to be used for any public purpose the said encroached porEion
of the streets, then this agreemenl shall be automatically cancelect atici terminated.
11.
Grantee agrees to comt�ly fully with all applicahle federal, state and local laws, statutes,
ordinances, cocies or regulations in connection with the c�nsh•uction, operation and maintenance
of said enc;roachments and uses.
12.
Grantee agrees to pay promptly tivhen due all fees, taYes or rentals pi•ovided for by this
agreement oc by any federal, state or local stahie, law oi• regulation.
13.
Crai�tee covenants and agrees that it shall e,cercise all rigl�ts and privileges granted hereunder
as an independent cont�•actor, and uot as an officer, agent, setvant or employee of City; that
Gi�antee shall h�.�e exchisive control of and the exclusive right to control the details of its
operations and activities on said described pub(ic propecty and all persons performing same, and
shall be sotely sesponsible faj• the acts and omissions of its officers, agents, servants, e�nployees,
contractors, subcontractors, licensees and invitees; that the doctrine of f•espondeat superior shall
not apply as between Ciry and Grantee, its officers, agents, servants, empfoyees, conh•actoi•s and
subcon�ractors, and nothing herein sltall be construed as creating a partneF-ship or joint enterprise
beh�een City and Gcantee.

15.
Grantee lgrees to furnish City with a Certificate of Insurance, naming City as cetrtificate
ho(der, as proof that it l�as secured and paid for a policy of pi�blic liabilily insurance covering all
public risks related to the proposed use and occupancy of public property as located and
described in Bxhibit "B". The a�nounts of such insurance shall be not less tl�a# the following:
Property damage, pec occurj�ence $100,000.00
Bociily injury, per persou $250,000.00
Bodily injnry or death, per occurrence �500,000.00
With the understanding of and agreement by Grantee that sttch insurancc amounts shal( be revised
upward at City's option and that Grantee shall so revise such amount immediately following
notice to Grantee of such requirement. Such insucance policy shall provide t[�at it cannot be
canceled or amended without at (east tliiriy (30) days' prior written notice to the Builditig Official

of the City of Fort Worth. A copy of such Cei�tificate of Insurance is attached as Exhibit "A".
Grantee agrees to submit a similar Certificate of Insurance aiinually to City on the anniversary
date ofthe e;cecution of this agreement.
Grantee, ag►•ees, binds and obligates itself, it successors and assigns, fo maintain and keep in
force such public liabiliiy insurance at all times dttring the term of this agreement and until the
removal of all encroachments and the cleaning and restoration of the city streets. Al( insurance
coverage rec�ttired herein shall include coverage of all Grantee's contractor�.
16.
Grantee covenants and agrees that it will not assign all or any of its rights, privileges or duties
under this contcact without prior written approval of City, and any aftempted assignment without
such prior writtei� approval shall be void.
17.
This agreement shall be binding upon the parties hereto, their successors and assigns.

I am reading the economic development on the Tandy Towers. It states that all city permit fees are
tivaived, and encroachment fees up to $503,000.
While the proj ect has not started as yet, and may not start, if it does we need to keep track of the
encroaclunent limits.
They are supposed to take down the Throckmorton overpass, the mall, and building new parking garage
along with convert the south tower to condo's.
If we get any pezmits on this property, please let me know.
