HomeMy WebLinkAboutContract 35100COMMUNITY FACILITIES AGREEMENT THE STATE OF TEXAS § City Secretary COLTNTY OF TARRANT § Contract No. y�� UU WHEREAS, PNL FORT WORTH, L.P., a Delaware limited partnership, hereinafter called "Developer", desires to perform certain demolition to the property known, or to be known, as Lot 3, Block 18R, Fort Worth Original Town, an addition to the City of Fort Worth, Texas (the "Property"); and WHEREAS, the said Developer has not requested the City of Fort Worth, a municipal corporation of Tarrant, Denton and Wise Counties, Texas, hereinafter called "City", to do certain work in connection with said demolition. NOW, THEREFORE, KNOW ALL BY THESE PRESENTS: For and in consideration of the covenants and conditions contained herein, the City and the Developer do hereby agree as follows: I. General Requirements I�1 : The Policy for the Installation of Cominunity Facilities ("Policy") dated March 2001, approved by the City Council of the City of Fort Worth and subsequently amended, is hereby incorporated into this Community Facilities Agreement as if copied herein verbatim. Developer agrees to comply with all applicable provisions of said Policy in the performance of its duties and obligations hereunder. The applicable requirements of the Policy shall govern this Community Facilities Agreement, provided, however, that any conflict between the terms of this Community Facilities Agreement and the Policy shall be resolved in favor of this Agreement. Developer shall provide financial security in conformance with paragraph 6, Section II, of the Policy. D. Developer acknowledges that there shall be no reduction in the amount of financial security prior to completion and, if applicable, acceptance by the City of the work described in this Community Facilities Agreement. E. The Developer shall award all contracts for the construction of community facilities in accordance with Section II, paragraph 7 of the Policy, as applicable. F. The contracts for the construction of the public infrastructure shall be administered in conformance with paragraph 8, Section II, of the Policy, as applicable, subject to any fee waivers that the City has agreed to grant Developer pursuant to Section 6.9 of that certain Economic Development Program Agreement between the City and Developer, a public document on file in the City Secretary's Office as City Secretary Contract No. 34053, as may subsequently be amended. G. The Developer further covenants and agrees to, and by these presents does hereby, fully indemnify, hold harmless and defend the City, its officers, agents and employees from all suits, actions or claims of any character, whether real or asserted, brought for or on account of any injuries or damages sustained by any persons (including death) or to any property, resulting from or in connection with the construction, design, performance or completion of any work to be performed by said Developer described herein, his contractors, subcontractors, officers, agents or employees, or in consequence of any failure to properly safeguard the work, or on account of any act, intentional or otherwise, neglect or misconduct of said City Place Throckmorton Overhang CFA: 09 14 06 2 DEVELOPER, his contractors, sub-contractors, officers, agents or employees in connection therewith, whether or not such iniuries, death or damages are caused, in whole oY in part, bv the alleged ne�li�ence of the Citv of Fort Worth, its of�cers, servants, or employees. H. Developer hereby releases and agrees to indemnify and hold the City harmless for any inadequacies in the preliminary plans, specifications and cost estimates supplied by the Developer for this contract. I. Developer intends to perform the demolition as shown on the exhibits attached hereto. The following exhibits are made a part hereof: Water (A) None; Sewer (A-1) None; Paving (B) None; Storm Drain (B-1) None; Street Lights and Signs (C) None; Demolition (D) Attached. J. The parties acknowledge and agree that PNL Fort Worth, L.P. is the current owner of the Property and for all purposes of this Agreement shall be considered the "Developer"; however, PNL Fort Worth, L.P. intends to convey title to the Property to Two City Place, L.P., a Delaware limited partnership, upon fmal replatting approval. The City hereby consents to the Assignment of this Agreement by Developer to Two City Place, L.P. Two City Place, L.P. has executed this Agreement and, from and after the date on which the City receives written notice from Developer that this Agreement has been assigned by Developer to Two City Place, L.P., Two City Place, L.P. will be deemed to be "Developer" hereunder and will comply with and be bound by all duties and obligations of Developer under this Agreement. Upon such assignment, PNL Fort Worth, L.P. shall be released from all obligations and liabilities hereunder without further action by the parties. City Place Throckmorton Overhang CFA: 09 14 06 3 K. The Developer shall not have the obligation to perform the demolition described in this Community Facilities Agreement (and shall not have the right to undertake such work) until Developer has provided financial security in conformance with Section II, paragraph 6 of the Policy and initiates such demolition work, in which case the demolition work shall be completed in accordance with the terms and conditions of this Agreement. II. Demolition A. As shown below in the "Summary Cost for Throckmorton Overhang Demolition", the Developer shall fund the cost of such demolition. The estimated total cost of demolition and related support services specified in this agreement, including design and demolition, is estimated to be $545,500.00.
