AGREEIVI�NT FOR PROFESSIONAL SERVICES
TAIS AGREEMENT ("Agreement") is made and entered into between THE CITY OF FORT
WORTH, a home rule municipal corparation of the State of Texas ("City"), acting by and
through Libby Watson, its duly authorized Assistant City Manager, and JOHN R. DENNIS, a
Conservatar of Objects ("Conservator"). The City has designated the ARTS COLTNCIL OF
FORT WORTH & TARRANT COUNTY, INC., (the "Contract Manager") acting through its
designated Public Art Collection Manager, as its "Contract Manager" to manage this Agreement
on its behalf.
RECITALS
WHEREAS, Consultant provides professional conservation services; and
WHEREAS, City is in need of professional conservation services to assist City in
maintaining the value, integrity and authenticity of the Fort Worth Public Art Collection
WHEREAS, City and Conservator desire to enter into a contract to have such services
provided which benefit City.
NOW, T�iEREFORE, in consideration of the mutual covenants herein expressed, the
parties agree as follows:
AGREEMENT
l. 5ervices. Conservator covenants and agrees to fully perform, or cause to be performed,
with good faith and due diligence, all objectives described in Exh_ibit "A", attached and
incorporated herein for all purposes incident to this Agreement ("Services")
2. Term. Services shall be provided by Conservator for a term beginning January 5, 2007
and ending when City deternunes the Services are complete, or September 30, 2007, whichever
occurs first.

3. Fee. In consideration of the Services to be performed hereunder by Conservator, City
promises and agrees to pay Conservator an amount not to exceed Twelve Thousand Eight
Hundred Dollars ($12,800.00) ("Fee"). The Fee shall be compensation for all Services. Payment
from City to Conservator shall be made on an invoice basis following receipt by Ciry from
Consultant of a signed invoice. The invoice shall be submitted to City no later than the 15th day
following the end of the month.
4. Termination. Either party may cancel this Agreement at any time and for any reason by
providing the other party with thirty days written notice of termination. In the event this
Agreement is terminated prior to expiration of the Term, City shall pay Conservator only for
Service actually rendered as of the effective date of termination.
5. Independent Cont��actor. Conservator shall operate hereunder as an independent
contractor and not as an officer, agent, servant, or employee of City. Conservator shall have
exclusive control of and the exclusive right to control the details of the Services performed
hereunder, and all persons performing same, and shall be solely responsible for the acts and
omissions of its officers, agents, servants, employees, subcontractors and program participants.
The doctrine of respondeat superior shall not apply as between the City and Conservator, its
officers, agents, servants, employees, subcontractors, or program participants, and nothing herein
shall be conshued as creating a partnership or joint enterprise between City and Conservator. It
is expressly understood and agreed that no officer, agent, employee, or subcontractor of
Conservator is in the paid service of City.
6. Indemnification.
CONSERVATOR COVENANTS AND AGREES TO INDEMNIFY, HOLD
HARMLESS AND DEFEND, AT ITS OWN EXPENSE, CITY AND ITS OFFICERS,
AGENTS, SERVANTS, AND EMPLOYEES FROM AND AGAINST ANY AND ALL CLAIMS
OR SUITS FOR PROPERTY LOSS OR DAMAGE AND/OR PERSONAL INJURY,
INCLUDING DEATH, TO ANY AND ALL PERSONS, OF WHATSOEVER K1ND OR
CHARACTER, WHETHER REAL OR ASSERTED, ARISING OUT OF OR IN
CONNECTION WITH THE EXECUTION, PERFORMANCE, ATTEMPTED

PERFORMANCE OR NONPERFORMANCE OF THIS AGREEMENT AND/OR THE
OPERATIONS, ACTIVITIES AND SERVICES DESCRIBED HEREIN, WHETHER OR NOT
CAUSED, IN WHOLE OR IN PART, BY ALLEGED NEGLIGENCE OF OFFICERS,
AGENTS, SERVANTS, EMPLOYEES, CONTRACTORS, OR SUBCONTRACTORS OF
CITY; AND CONSERVATOR HEREBY ASSUMES ALL LIABILITY AND
RESPONSIBILITY OF CITY AND ITS OFFICERS, AGENTS, SERVANTS, AND

PERFORMANCE, ATTEMPTED PERFORMANCE OR NON-PERFORMANCE OF THIS
AGREEMENT AND/OR THE OPERATIONS, ACTIVITIES AND SERVICES DESCRIBED
HEREIN, WHETHER OR NOT CAUSED IN WHOLE OR IN PART, BY ALLEGED
NEGLIGENCE OF OFFICERS, AGENTS, SERVANTS, EMPLOYEES, CONTRACTORS
OR SUBCONTRACTORS OF CITY. CONSERVATOR LIKEWTSE COVENANTS AND
AGREES TO AND DOES HEREBY 1NDEMNIFY AND HOLD HARMLESS CITY FROM
AND AGAlNST ANY AND ALL 1NJURY, DAMAGE OR DESTRUCTION OF PROPERTY
OF CITY, ARISING OUT OF OR 1N CONNECTION WITH ALL ACTS OR OMISSIONS OF
ITS OFFICERS, MEMBERS, AGENTS, EMPLOYEES, SUBCONTRACTORS, 1NVITEES,
LICENSEES, OR PROGRAM PARTICIPANTS, WHETHER OR NOT CAUSED, IN
WHOLE OR IN PART, BY ALLEGED NEGLIGENCE OF OFFICERS, AGENTS,
SERVANTS, EMPLOYEES, CONTRACTORS OR SUBCONTRACTORS OF CITY.
CONSERVATOR AGREES TO AND SHALL RELEASE CITY, ITS AGENTS,
EMPLOYEES, OFFICERS AND LEGAL REPRESENTATIVES FROM ALL LIABILITY FOR
1NJiJRY, DEATH, DAMAGE OR LOSS TO PERSONS OR PROPERTY SUSTAINED 1N
CONNECTION WITH OR INCIDENTAL TO PERFORMANCE UNDER THIS
AGREEMENT, EVEN IF THE INJURY, DEATH, DAMAGE OR LOSS IS CAUSED BY
CITY'S SOLE OR CONCURRENT NEGLIGENCE.

Conservator shall require all of its subcontractors to include in their subcontracts a
release and indemnity in favor of City in substantially the same form as above.
This Section 6 shall survive the expiration or ternunation of this Agreement.
7. Insurance.
During the term of this Agreement, Conservator shall procure and maintain at all times, in
full force and effect, a policy or policies of insurance that provide the specific co'verage set forkh
in this Section 7 as well as any and all other public risks related to Conservator's performance of
its obligations under this Agreement. Conservator shall specifically obtain the following types of
insurance at the following limits:
• Commercial General Liability:
$1,000,000 per occurrence; providing blanket contractual liability insurance products
and completed operations; independent contractor's liability; and covarage for
property damage to City facilities; and
• Automobile Liabilitv:
$1,000,000 per occurrence or accident; including, but not limited to, all vehicles,
whether owned or hired, in use by Consultant, its employees, agents or
subcontractors; and
� Worker's Compensation/Employer's Liability:
Worker's compensation coverage as required by applicable law; and Employer's
Liability at $100,000 per accident.
Conservator shall promptly provide the City with certificates of insurance that verify
Conservato�'s compliance with the insurance requirements of this Agreement. The City's Risk
Manager shall have the right to review and evaluate Conservator's insurance coverage and to

make reasonable requests or revisions pertaining to the types and limits of that coverage.
Conservator shall comply which such requests or revisions as a condition precedent to the
effectiveness of this Agreement.
8. Assi ent. Conservator shall not assign or subcontract all or any part of its rights,
privileges or duties under this Agreement without the prior written consent of City, and any
attempted assignment of subcontract of same without such prior written approval shall be void
and constitute a breach of this agreement.
9. Com�liance with Law. Conservator, its officers, agents, employees and subcontractors,
shall abide by and comply with a11 laws, federal, state and local, including all ordinances, rules
and regulations of City. It is agreed and understood that, if City calls to the attention of
Conservator any such violation on the part of Conservator or any of its officers, agents,
employees or subcontractors, then Conservator shall immediately desist from and correct such
violation.
10. Non-Discrimination. Conseryator, in the execution, performance or attempted
performance of this contract and Agreement, will not discriminate against any person or persons
because of disability, age, familial status, sex, race, religion, color or national origin, nor will
ConServator permit its officers, agents, employees, or subcontractors to engage in such
discrimination.
This Agreement is made and entered into with reference specifically to Chapter 17,
Article III, Division 3, of the City Code of the City of Fort Worth ("Discrimination in
Employment Practices"), and Conservator hereby covenants and agrees that Conservator, its
agents, employees and subcontractors have fully complied with all provisions of same and that
no employee or employee-applicant has been discriminated against by either Conservator, its
agents, employees or subcontractors.

directly pertinent books, documents, papers and records of the Conservator involving
transactions relating to this Agreement. Consen/ator agrees that the City shall have access
during normal working hours to all necessary Conservator facilities and shall be provided
adequate and appropriate workspace in order to conduct audits in compliance with the provisions
of this section. The City shall give Conservator reasonable advance notice of intended audits.
Conservator further agrees to include in all of its subcontractor agreements hereunder a
provision to the effect that the subcontractor agrees that the City shall, until the expiration of
three (3) years after final payment under the subcontract, have access to and the right to examine
any directly pertinent books, documents, papers and records of such subcontractor involving
transactions to the subcontract, and further that City shall have access during normal working
hours to all subcontractor facilities and shall be provided adequate and appropriate workspace in
order to conduct audits in compliance with the provisions of this paragraph. City shall give
subcontractor reasonable advance notice of intended audits.
This Section 11 shall survive the expiration or termination of this Agreement.
12. Fiscal Fundin�. In the event no funds or insufficient funds are appropriated by the City
in any fiscal period for any payments hereunder, City will notify Conservator of such
occurrence and this Agreement shall terminate on the Iast day of the fiscal period for which
appropriatians were received without penalty or expense to City of any kind whatsoever, except
as to the portions of the payments herein agreed upon for which funds sha11 have been
appropriated.
13. Entire Ag,reement. This written instrument constitutes the entire agreement by the parties
hereto concerning the work and services to be performed hereunder, and any prior ar
contemporaneous, oral or written agreement, which purports to vary from the terms hereof shall
be void.

14. Venue and Jurisdiction. Should any action, whether real or asserted, at law or in equity,
arise out of the execution, performance, attempted performance of this Agreement, venue for
said action shall lie in Tarrant County, Texas.
15. Notices. Notices to be provided hereunder shall be sufficient if forwarded to the
other party by hand-delivery or via U.S. Postal Service certified mail, postage prepaid, to the
address of the other party shown below:

16. Non-Waiver. The failure of City or Conservator to insist upon the performance of any
term or provision of this Agreement or to exercise any right herein confened shall not be
construed as a waiver or relinquishment to aYy extent of City's or District's right to assert or rely
upon any such term or right on any future occasion.
17. Disclosure of Conflicts. Conseivator hereby warrants to the City that Conservator
has made full disclosure in writing of any existing or potential conflicts of interest related to
Conservator's services and proposed services with respect to the Project. In the event that any
conflicts of interest arise after the Effective Date of this Agreement, Conservator hereby agrees
immediately to make full disclosure to the City in writing.
The City acknowledges that Conservator may use products, materials ar methodologies
proprietary to Conservator. The City agrees that Conservator's provision of services under this
Agreement shall not be grounds for the City to have or obtain any rights in such proprietary
products, materials or methodologies unless the parties have executed a separate written
agreement with respect thereto. Notwithstanding the foregoing, Conservator understands and
agrees that the City is subject to various public information laws and regulations, including, but
not limited to, the Texas Open Records Act. Conservator, for itself and its officers, agents and

employees, further agrees that it shall treat all information provided to it by the City as
confidential and shall not disclose any such information to any third party without the prior
written approval of the City.
18. Severabilitv. If any provision of this Agreement is held to be invalid, illegal or
unenforceable, the validity, legality and enforceability of the remaining provisions shall not in
any way be affected or impaired.
19. Force Majeure. The City and Conservator shall exercise their best efForts to meet their
respective duties and obligations as set forth in this Agreement, but shall not be held liable for
any delay or omission in performance due to force majeure or other causes beyond their
reasonable control, including, but not limited to, compliance with any government law,
ordinance or regulation, acts of God, acts of omission, fires, strikes, lockouts, national disasters,
wars, riots, material or labor restrictions by any governmental authority, transportation problems
and/or any other similar causes.
20. Headin�s not Controllin�. Headings and titles used in this Agreement are for reference
purposes only and shall not be deemed a part of this Agreement.

Workers' Comnensation Insurance Waiver, Indemnitv, and Release of Liability
This statement is being submitted in lieu of a certificate of insurance for the workers'
compensation insurance coverage required by the City of Fort Worth ("City"). I am a
sole proprietor with no employees, sub-contractors or volunteers. This project,
("Project"), to be completed for the City will be completed by myself
without employees, sub-contractors or volunteers.
I understand that if I hire anyone as an employee I will purchase Workers' Compensation
Insurance coverage immediately for the required limits and provide a certificate of
insurance indicating this coverage to the City. If I enter into an agreement or contract for
this Project with an independent contractor, subcontractor, consultant or volunteer, I will
provide the City with the required proof of insurance for Workers' Compensation for each
independent contractor, subcontractors, consultants, and/or volunteers regardless of the
structure of their firm or source of voiunteers.
I hereby accept all risk of my injury that may result from the Project and I hereby
FOREVER RELEASE AND WAIVE all claims against the City, its departments, its
officers, agents and employees, for any and all liability, including injuries, death or
property damage from my participation in and work on the Project, whether caused by
the alleged acts of commission, omission, negligence, intentional act or fault of (i) the
City, its departments, its officers, servants, agents or employees, or otherwise or (ii) me.
This waiver and release is intended to release and forever discharge the City, its
departments, its officers, servants, agents and employees from any and all claims, actions,
causes of action, damages, losses or expenses, including attorney's fees, whether real or
asserted, of every kind or character, arising out of my participation in and work on the
Project. I understand that this waiver and release is not a waiver of the City's immunity
under the Texas Tort Claims Act.
I further agree to indemnify and defend the City and hold the City harmless from all
claims, together with all costs, expenses, and legal fees in defending all claims directly
or indirectly attributable to the Project. This indemnity provision (including, without
limitallon, indemnity for costs, expenses and legal fees) is specifically intended to
operate and be applicable even if it is alleged Qr proved that all or some of the damages
being sought were caused as a whole or in part by any act, omission, negligence, gross
negl�gence, breach of contract, intentional conduct, violation of statute or common law,
breach of warranty, product defect, strict product liability, or any other conduct
whatsoever of the City.

Authorize Professional Services Agreement with the Arts Council of Fort Worth and Tarrant County
for FY2006-07 Management of the Fort Worth Public Art Program
RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to renew a professional services
agreement with the Arts Council of Fort Worth and Tarrant County, in the amount of $360,633, for FY2006-
07 management of the Fort Worth Public Art Program for a period of one year.
DISCUSSION:
Under the proposed FY2006-07 contract, the Arts Council will continue to administer the Fort Worth Public
Art Program, including management of 38 current and new public art and design enhancement projects, in
accordance with the Long-Range Public Art Plan for the 2004 CIP , the Long-Range Public Art Plan for the
Water Fund, and other projects, with a combined total budget of over $5 million.
In addition, the Arts Council will administer the Conservation Action Plan (CAP), which includes numerous
appraisals, condition assessments, and conservation treatment of 23 existing works in the Fort Worth Public
Art Collection. The Arts Council will also continue to present public educational programming, conduct artist
training workshops and improve the program's website (www.fwpublicart.org).
The Administrative Budget for FY2006-07 includes the addition of a new Project Manager position to bring
the staffing level in line with national best practices (the most recent Americans for the Arts Public Art
Program Survey reported an average workload of 10 projects per project manager). With the influx of new
projects, the staffing increase will enhance close coordination with the community and attention to technical
detail, resulting in successful projects.
The Programmatic Budget for FY2006-07 includes funds to support 22 artist selection processes and
administration of the Conservation Action Plan (CAP), as well as public education and artist training
expenses. The number of artist selection processes in a given fiscal year is driven by the Long-Range
Public Art Plan for the 2004 ClP , the City's 2004 Capital Improvement Program implementation schedule,
and the annual process for recommending new public art projects included in the Long-Range Public Art
Plan for the Water Fund. It should be noted that administrative costs of Collection Management, including
appraisals and condition assessments, are included in the Programmatic Budget; however, $28,000 for
conservation treatment of 23 pieces in the Fort Worth Public Art Collection will be funded from the City's
newly established, interest-bearing Public Art Conservation Fund.
The FY2006-07 Work Plan was endorsed by the Fort Worth Art Commission on August 14, 2006. The
FY2006-07 budget of $360,633 represents an increase of $4,034 (or 1%) over last year's budget.
BACKGROUND: �-'� - '' '
On October 2, 2001, (M&C G-13396) the City Council adopted Ordinance No.'i 14794, creating the Fort
Worth Public Art Program. The purpose of the Fort Worth Public Art Program �is to create an enhanced

visual environment for Fort Worth residents, to commemorate the city's rich cultural and ethnic diversity, to
integrate the design work of artists into the development of the city's capital infrastructure improvements
and to promote tourism and economic vitality in the city through the artistic design of public
spaces. Specific art projects are funded via a two percent set-aside of General Obligation Bond and Water
and Sewer Fund capital improvement funds.
On September 30, 2003, (M&C G-14087) the City Council adopted the Fort Worth Public Art Master Plan,
which sets forth administrative procedures, including the artist selection panel process, by which artists are
selected for individual projects. On May 17, 2005, (M&C G-14801) the City Council adopted the Long-
Range Public Art Plan for the 2004 CIP, which identifies specific projects in the 2004 Capital Improvement
Program that have a public artJdesign enhancement component to be funded by the two percent set aside
of bond funds. On May 9, 2006, (M&C G-15185) the City Council adopted the Long-Range Public Art Plan
for the Water Fund, which outlines a process by which the Fort Worth Art Commission may recommend
new public art projects for initiation each year utilizing Water funds, as well as an annual Conservation
Action Plan (CAP).
The FY2005-06 contract with the Arts Council of Fort Worth and Tarrant County, with oversight provided by
the Fort Worth Art Commission, provided comprehensive management of the Fort Worth Public Art
Program, including:
1) Initiation/management of some 20 public art/design enhancement projects, with a combined budget of
over $3 million, including the Fort Worth Convention Center, Fire Station No. 8, a catalogue of parks
system design enhancements, the Rolling Hills Communications Tower, Shamblee Branch Library and the
Public Health Center in the Evans and Rosedale Business and Cultural District, Southwest Parkway (SH-
121 Tollway) and Camp Bowie Boulevard;
2) Completion of the Long-Range Public Art Plan for the Water Fund;
3) Establishment of a City interest-bearing Public Art Conservation Fund; conservation treatment of the
John Peter Smith monument; and the initiation of restoration of the Northside Branch Library mural; and
4) Presentation of public educational programming, including an exhibition entitled, "Public Art in
Progress," a lecture by Public Art Review Editor Jack Becker and an artist training workshop entitled,

The FY2005-06 contract provided for a one-year term with four one-year renewal terms. This M&C will
authorize the renewal of the contract for the first of the four renewal terms, with the budget as summarized
above.
