HomeMy WebLinkAboutContract 35131COMMUNITY FACILITIES AGREEMENT THE STATE OF TEXAS § City Secretary COUNTY OF TARRANT § Contract No.������ � WHEREAS, Golden Triangle Retail Partners, Ltd.,_hereinaftet• called "Developer", desires to make certain improvements to NORTH BEACH STREET EXTENSION (fi•om Alta Vista Blvd. to Vista Meadows Drive), an addition to the City of Fort Worth, Texas; and WHEREAS, the said Developer has requested the City of Fort Worth, a municipal corporation of Tai7•ant, Denton and Wise Counties, Texas, hereinafter called "City", to do certain work in connection with said improvements. NOW, THEREFORE, KNOW ALL BY THESE PRESENTS: For and in consideration of the covenants and conditions contained herein, the City and the Developer do hereby agree as follows: I. General Requirements A. The Policy for the Installation of Community Facilities ("Policy") dated March 2001, approved by the City Council of the City of Fort Worth and subsequently amended, is hereby incorporated into this Community Facilities Agreement as if copied herein verbatim. Developer agrees to comply with all provisions of said Policy in the perfoi�rnance of its duties and obligations hereunder. B. The requirements of the Policy shall govern this Community Facilities Agreement, provided, however, that any conflict between the terms of this Community Facilities Agt�eement and the Policy shall be resolved in favor of this Agreement. C. Developer shall provide financial security in confoi7nance with paragraph 6, Section II, of the Policy. D. The Developer shall award all contracts for the construction of community facilities in accordance with Section II, paragraph 7 of the Policy. North Beach Street Gap (Expansion) CFA 1 3 21.07 E. The contracts for the construction of the public infrastructure shall be administered in conformance with paragraph 8, Section II, of the Policy. F. The Developer further covenants and agrees to, and by these presents does hereby, fully indemnify, hold harmless and defend the City, its officers, agents and employees from all suits, actions or claims of any character, whether real or asserted, brought for or on account of any injuries or damages sustained by any persons (including death) or to any property, resulting from or in connection with the consh•uction, design, performance or completion of any work to be performed by said Developer, his contractors, subcontractors, officers, agents or employees, or in consequence of any failure to properly safeguard the work, or on account of any act, intentional or otherwise, neglect or misconduct of said DEVELOPER, his contractors, sub-contractors, officers, agents or employees, tivlaetlaer or n�ot sa�cli� inicii�ies, �leatlr ot� damaQes are cause�l, in tivlzole or in part, bv tlze alle�e�l ne�li,�ence of tlae Citv of Fort Wortla, its of�cers, servants, o�• employees. G. Developer shall install or adjust all of the required utilities to serve the development or to construct the improvements required herein. H. In the event that City participation exceeds $25,000, Developer agrees that no street construction or storm drainage will begin prior to City Council approval of this Community Facilities Agi•eement. (Article 104.100, Ordinance 7234). I. Developer agrees that no lot shall be occupied under a certificate of occupancy until the improvements required herein have been constructed (Article 104.100, Ordinance 7234). J. Developer hereby releases and agrees to indemnify and hold the City harmless for any inadequacies in the preliminary plans, specifications and cost estimates supplied by the Developer for this contract. K. Developer agrees to provide, at its expense, all necessaty rights of way and easements across property owned by Developer required to North Beach Street Gap (Expansion) CFA 2 3.21.07 construct cui7•ent and future improvements provided for in this agreement. L. Developer agrees to construct proposed improvements as shown on the exhibits attached hereto. The following exhibits are made a part hereof: Water (A)None; Sewer (A-1) None; Paving (B)Attached Storm Drain (B-1) Attached; Street Lights and Signs (C) Attached. M. City shall not be responsible for any costs that may be incurred by Developer in the relocation of any utilities that are or may be in conflict with any of the community facilities to be installed hereunder. N. Developer and City agree that time is of the essence and that the infrastructure contemplated herein must be constructed in a timely fashion. As such the Developer and City agree to the following: 1. Developer agrees that it shall issue its contractor a notice to proceed no later than April 1, 2007, and said notice to proceed shall require the contractor to begin work within iive days of the date of the notice to proceed. 2. Developer agrees that it shall require its contractor to complete the work within 45 calendar days from the date of the notice to proceed required by I(N)(1) above. 3. Developer and City agree that if the requirements of I(N)(1) and (2) are not fulfilled, the City, at its sole option, may cause the completion of the improvements contemplated by this Agreement and utilize the funds pledged by the financial guarantee that Developer has submitted for this Agreement. IL Street and Storm Drain Facilities A. The Developer(s) agree to install oi• to cause to have installed, the street, storm drainage, street lighting, street name sign and other community facilities improvements shown as "current improvements" on the attached Exhibits B, B 1, and C. B. As shown below in the "Summary of Cost for Street and Storin Drain Facilities", the Developer shall fund its share of "cun•ent impi•ovements" North Beach Street Gap (E�pansion) CFA 3 3.21.07 and shall pay to the City for its share of the cost of street, storm drainage, street lighting, street name signs as shown on the attached Exhibits B, B1, and C. The estimated total cost of current improvements and related support services specified in this agreement, including design, constt•uction and inspection is estimated to $313,102.32. All Preliminary Plats filed after July 2000 will require sidewalks on all streets. 2. Developei•'s coluinri for Item D represents four percent (4%) cost for construction inspection fees. The City will pay additional inspection fee over 4%. 3. City not preparing plans and specifications. 4. Developer's column for Item E represents two percent (2%) of paving and storm di�ain costs for inaterials testing. 5. *Construction staking, and Paving and Storm Drainage Adjacent to Church, will be invoiced directly to the City and paid upon confirmation from Construction Services that the respective work is complete. 6. **City will reimburse Developer for the fir•st $40,000 of City's participation upon confirmation from Construction Services that a proportional share of worlc has been completed. Adopt the attached appropriation ordinance increasing the estimated receipts and appropriations in the Special Assessments Fund in the amount of $148,400.00 from prior developer contributions; 2. Authorize the transfer of $148,400.00 from the Special Assessments Fund to the Street improvements Fund; 3. Adopt the attached appropriation ordinance increasing the estimated receipts and appropriations in the Street Improvements Fund in the amount of $148,400.00 from developer contributions; and 4. Authorize the City Manager to execute a Community Facilities Agreement (CFA) with Golden Triangle Retail Partners, Limited, in the amount of $188,400.00 for the installation of a portion of North Beach Street between Golden Triangle Boulevard and Heritage Trace Parkway. DISCUSSION: North Beach Street is currently constructed as a rural, two-lane asphalt roadway north of Heritage Trace Parkway to Alta Vista Road, where it terminates entirely. Approximately 800' north of the terminus of the asphalt road, North Beach Street continues as a four-lane concrete arterial to Golden Triangle Boulevard. In order to improve traffic operations and site access in the vicinity of the gap, a group of business owners has, without any obligation to do so, executed a proposed contract for the installation of a two-lane concrete roadway through the western half of the existing gap. Heritage Addition, Phase 2E borders North Beach Street from Heritage Trace Parkway north 1500 feet, including a portion of the Beach Street Gap. The developer of Heritage Addition contributed $188,422.50 through a CFA for future improvements to North Beach Street adjacent to his development. The estimated cost of the gap construction adjacent to Heritage Addition is $148,400.00. The remaining $40,022.50 in future improvement funds collected through the Heritage Addition CFA will be held in escrow for improvements that are adjacent to the development. After having pooled their resources with the future improvement funds from the Heritage Addition Logname: 20BEACHGAP Page 1 of 2 development, Golden Triangle Retail Partners, Ltd. has identified a remaining funding shortfall of approximately $40,000.00. Due to the significant benefit to the community represented by the project, staff recommends that the shortfall be funded through the remaining 1998 CIP program City-wide unspecified funds for new development.
