CONSENT AGREEMENT
FOR
TEMPOIZARY USE OF PUBLIC PROPERTY
STATE OF TEXAS

THIS AGREEMENT is made and entered into by and between the City of Fort Worth, a
municipal corporation of Tarrant County, Texas, acting herein by and through its duly authorized
Building Official, hereinafter referred to as the "City" and

Hereinaiter referred to as "Grantee".
WITNESSETH:
For and in consideration of the payment by Grantee of charges set out below and the true and
faithful performance of the mutual covenants herein contained, City hereby grants to Grantee
permission to temporanly encroach upon, uses and occupy portion of the space under, on and/or
above the streets, alleys, sidewalks or other public nghts-af-way as follows:

The location and description of said encroachment is more particularly described in Exhibit "B"
attached hereto, incorporated herein and made a part hereof for all purposes.
2.
All use and occupancy of public street, alleys, sidewalks or other public rights-of-way under
this agreement sha11 be in sh-ict compliance with the Charter, Ordinances and Codes of the City
and in accordance with the directions of the Building Official and the Director of Transportation
and Public Works of City.

'Upon ex.pization o� Yhzs agrccznent and the privileges ganted hereunder, there shall be no
encroachment by Grantee in, under, on or above the surface of the pubiic rights-o� way invotved.

Grantee agrees to pay in advance an encroachment �fee for the tempRrary privilege of
encroaching upon a partion. of' tbc public rights-of way as described in Exhibit "�". Said fec is
calcu�ated in the manner and amounts prescribed by the Building Gode of the Ci.ty of T'ort Worth
for temporary use or o�cupancy of pub].ic �roperiy. '�'he cstimated tbtal amount of said fee is:

Grantee, at no expense to City, sha11 make praper provision for the reloca.tion ancUor

such encroachmetit, use and occupaney, including the seeurin.� o� appz�oval, and eonscnt from the
apprdp�iate agencies of the State and its political suUdivisions. In the event that any install�tion,
rein5tallation, relocation or repair of any existi.�ng or futur.� tra��tc control device or improvernerct
owned or construcicd by or on behalf of the public or at public �xpe�se is made morc coscly by
virtue of tbe existence of suci� encroacl�rnent and use, Gr.aniee s.h.a�l pay to City and additional
amovt�t �qual to such additional cost as determincd b� City.

Provided, 1lowcvcr, should ehe need for the encraachments granted hereunder at any time cease,
Grantce ag,-ees to immediately notify City of such. condition; and, upon receipt of such notic� by
thc Building Officia] of the C;ity of Fort Worth, this agreement shall teiminate.

should r�veal a breach of any ierms, covenants or conditions herein, City shall give Crrantee
notiee of such breaeh. Should such breach not be eorreeted by Grantee wi.ehin. twez�ty-�our. (24)
hours of rcceipt of the notice, or withi.n sueh shorter period of time as deemcd necessary by the
Building Officia] for the proteetion of pu}alic health �r safety, City may terminate and caneel this
agreement.

Upon expiration or tei-mination of this agreemcnt for arzy rcason whatsoever, C'rra.ntce sktall, at
no expensc to Cicy, restore t�e public ri.ghts�of-way and adJacent supporting s(ructures to a
eon.dition aeceptable tp the Directar of 'Transportation and T'ublic VJ�arks or his du3y authorized
rc�resentative and in accordance with tl�en existing City specifications, and Grantee shaIl remove
al) barricades, equipment, supp}ies, materials ar other property froxn said location_ Grantee
further covena.nts and agrees th.aY fo� a�criad of one (1) year after the termina#ion of this Consent
Agreement, Grantee will repair all conditions or da.magcs to th.c strects and sidcwal�Cs c��` oth�t
rights-of-way that have resulted from Grantee's use or occupancy of the streets and sidewalks or
other iights-of-way, as determin,ed by t11e Director of Transpo7-tation and I'ublic VJorks or h�s
desi�ec. Gz-antce agrees to begin sucl� repairs within thirty (30) days o�' reccapt of notice frorn
the T�irector of Transportation and Public Works �r. his d�sfgnee. .All repairs shal3 be performed
in an expeditious an.d w�rkmanlike masmer and sliall comply with all �ppiicablc laws, code:s,
prdinances and City specifications.

by the Code of the City of For# Worlh and th.e laws of the State of Texas for Grantee's continucd

It is further understoqd and agxced bcfween the parties hereto that City holds the ciiy stx'eets,
alleys, sidewalks and other public rights�of way, ineluding tk�e portions of such stceets used and
eneroaehed upon as described h�rein, as trustee for the publie; that City exercises such pawers
over the streets as have been delegated to it by 1hc Canstitution of the State of Texas ar by ihe
%egislature; and the City cannot coniraet away its duty and its ]egislative pawer. to coniral the
streets for the use and Uenefit af the public. It is according)y agrGed that if the governing body of
City, to wit, its City Council, shall at �ny time during the term hereof detcrmi.»c i.� iCs sol.c
di.scretion to usc or causc oz permit to be used far any public purpose the said encroached partion
of ihe streets, then this a�reement shall be automaticalty can�eled and terminated.

agreement or Uy any fedetai, state or IocaZ statue, law or regulation.

t�ranteE cpt�enancti and agrees that it shall exercise aIl rights and privileg�s granted hereunder
as an independent contractor, and not as an officer, agent, serva�lt or employee of City; t1�a.t
Gran�ee shall have exclusive eontro3 of and ihe exclusive right to eont�rol the details of its
o�erations and activities on said described public property and. all persons p�rforrning sa.me, and
sliall ve solely responsiUle for the acts and omissions of its officcrs, agents, scrvants, czz�p].oy�es,
contractors, subcontractors. lir.ensecs and aravitecs: that th� doetrine of respondeat superi.or shall
not apply as between, City at�d Grantee, its offtcers, agents, servants, employees, contractors and
subeontractors, and nothing hereii� shall be construed as creating a part�nershi}� or jo�nt enterprise
beh�een City and Grantec.

holder, as proof that it has �eeured and paid fos a policy of pub�ie liability insurance covering all
public risks related �o the pi•oposed use and occupaney o.f- publie pzoperty as Iocated and
described in Exllibit "B". Ti�e arnotints of such i�zsuran�e shall be not ]ess that the folfowing:

Grantee covenants and agrees tl�at it wiil not assign a�), or any of its rights, privilc�es or duties
uz�der this contract without pri4r written approval of City, and any attcmpted assignment without
such prior writien approval shall be void.
