This Amendment is entered into by and between the City of Fort Worth (hereafter "City"), a Texas home rule municipal corporation, acting by and through Fernando Costa, its duly authorized Assistant City Manager, and Tooty, Inc. (hereafter "Vendor"), an Illinois Corporation, acting by and through Lori Miller, its duly authorized President, each individually referred to as a "party" and collectively referred to as the "parties." WHEREAS, the parties have previously entered into a City of Fort Worth City Secretary Contract No. 46514 (the "Contract"), which was executed on March 13, 2015 and which has been renewed to expire on February 28, 2019; and WHEREAS, the Contract is for the purpose of providing call center monitoring services for the City; and WHEREAS, the City and Vendor now wish to amend the Contract to provide for a fourth one-year renewal period; and WHEREAS, the City and Vendor wish to renew the Contract for an additional one-year period. NOW, THEREFORE, City and Vendor acting herein by the through their duly authorized representatives, enter into the following agreement to amend the Contract: 1. Term. It is the parties' intent to revise and replace section 2. TERM of the Contract with the following: The initial term of this Agreement shall commence on March 16, 2015 ("Effective Date") and shall expire on February 29, 2016 unless terminated earlier in accordance with the provisions of this Agreement. The parties may renew this Agreement for up to four additional one-year periods by signed written mutual consent. 2. The term of the Contract is hereby renewed and shall expire on February 28, 2020, unless terminated earlier in accordance with the Contract. 3. All other provisions of the Contract which are not expressly amended herein shall remain in full force and effect. OFFICIAL RECORD CITY SECRETARY FT.
