FIRST AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 51531 This Second Amendment to Fort Worth City Secretary Contract No. 51013 ("Second Amendment") is made between the City of Fort Worth ("FORT WORTH"), a municipal corporation,acting herein by and through Susan Alanis,its duly authorized Assistant City Manager and DATAVAIL CORPORATION, a Delaware corporation ("DATAVAIL") acting herein through Rick Gaisser, its duly authorized CFO. WHEREAS, FORT WORTH and DATAVAIL entered into an Agreement identified as Fort Worth City Secretary Contract No. 51531 beginning November 14,2018 (the"Agreement"); and WHEREAS, it is the collective desire of both FORT WORTH and DATAVAIL to amend the Agreement to provide Client Senior SharePoint consulting services in accordance with Exhibit A to this Amendment. NOW THEREFORE, KNOWN ALL BY THESE PRESENT, FORT WORTH and DATAVAIL, acting herein by the through their duly authorized representatives, enter into this First Amendment, which amends the Agreement as follows: 1. The Agreement is hereby amended to add Statement of Work No. 2 as Exhibit A to this amendment to provide Client Senior SharePoint consulting services at a cost not to exceed $59,000.00. The total not to exceed amount of the contract is $71,000.00. 2. Section 2.Term shall be extended to expire no later than six(6)months after final execution ("Effective Date") of this amendment,unless terminated earlier in accordance with the provisions of the Agreement or otherwise extended by the parties. 3. All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. Summary: Datavail shall provide to Client Senior SharePoint consulting services as requested by Client. 2. Term:The initial term of this SOW shall begin on the Effective Date and expire six(6)months after the Effective Date. Either party shall have the right to terminate this SOW for any or no reason by providing the other party thirty(30)days prior notice. 3.
