Dear Melony:
Mission Critical Partners (MCP), formerly Athena Advanced Networks, is pleased to provide the City of Fort
Worth Police Department this proposal for SpyGlass monitoring services. MCP is proposing a one year
agreement, renewable for two additional years. This is a similar structure and approach to our previous
agreement provided.
Per your request, MCP is providing pricing for this one-year agreement, based upon Mission Critical
Partners' GSA Schedule 70 Contract#GS-35F-0410X. Each of the network engineers supporting
Ft.Worth are classified as a Senior Technology Specialist.
For budgeting purposes and in recognition of support time provided each month, MCP is proposing to keep
the monthly amount consistent with prior years,which is a monthly rate of$1,800.00 paid in advance for
one-year. The description of these services can be found in the attached statement of work.
Please acknowledge your intention to renew this Agreement by signing the signature page, or by sending a
purchase order or new agreement at your earliest convenience.

Statement of Work
MCP SpyGlass – High Availability Monitoring – Program Details
System availability is not optional in a mission critical command and control environment–it is an absolute
necessity.
Success in the battle for high-availability is determined by the ability to 1)detect and deter problems early,
and 2) respond quickly when there are problems or threats.
In a high-uptime, high-availability environment, application issues are irritating but the real culprit is in the
infrastructure—infrastructure issues can be disastrous. The MCP SpyGlass program monitors and resolves
infrastructure issues.
The goal of SpyGlass is to spot and head-off issues before they impact critical operations. In other words,
to fix problems before they happen!
SpyGlass Services
The SpyGlass program includes a comprehensive set of services:
• Establish secure connection between agency system and the MCP Network Operations Center(NOC)
• Prepare Site Manual –including an inventory of the system
• User Guide–including contact information and Helpdesk instructions
• Provide Helpdesk to answer your questions, provide advice and solve problems
• Dynamically collect status information
• Set thresholds for alerts
• Monitor the status of systems and network (see below for details)
• Respond when something needs attention
• Analyze and report on conditions–provide quarterly reports on routine matters–immediate reports on
critical conditions
• Provide recommendations to keep systems and networks in top shape
• Help add and configure devices on network–keep equipment inventory current
• Provide instructions and in-house training on maintaining systems and network
• Establish and monitor best practices for site backups and security/password management
• Serve as an advocate for the agency when dealing with multiple support providers
• Deploy staff when on-site services are needed
Systems and Network Monitoring
SpyGlass monitoring utilizes a server to collect and transmit data to the MCP NOC. The following are

In summary, MCP monitors the environment and springs into action as soon as something that needs
attention is detected.
Problem Resolution
As issues are identified, MCP follows a triage model to isolate the matter into one or more of the following
categories:

• Hardware
— Server
— Storage
— Computer-aided Dispatch (CAD)Workstation
• Database
• Virtualization
• Network
• Remote system /interfaces (not being monitored)
At this point MCP will either resolves the issue, or gets another party involved. MCP will monitor the status
until the matter has been resolved.
Communications and Reporting
Critical conditions are communicated to the agency immediately. The other monitoring results are reported
monthly, at a minimum. The monthly reports include:
• All issues detected
• Corrective actions take
• Summary of disk utilization

• Summary of system performance
• Status of system backups
• Site actions required
In addition to these communications, MCP assists in organizing monthly status calls that are attended by a
wide-range of stakeholders including representatives of management, the primary users within the agency,
the applications provider, IT support personnel and others.
Helpdesk
SpyGlass includes a comprehensive telephone support desk which is available for reporting issues,
requesting services, solving routine matters and answering question during normal working hours.
The SpyGlass Helpdesk and support are available 24/7/365 for critical matters.
Prerequisites
SpyGlass success is based upon the condition and capacity of the environment to support the
requirements of the application systems. It is also based upon MCP engineers having an in-depth
understanding of the requirements and the environment. MCP will take the following steps in establishing
the SpyGlass program:
• Conduct a System Assurance Review to assess the requirements and operating environment and
identify vulnerabilities that can contribute to problems
• Work with the agency to develop a plan to remedy deficiencies and optimize the environment
Agency Support and Facilities
The following are needed for MCP to monitor and perform troubleshooting triage of the systems and
network:
• Remote access to the site using VPN or other secure access facility
• Server to support monitoring —can be a virtual machine
• Ability to send email alerts and reports from the monitoring system to MCP
• Agency contact to assist in coordinating support services
• On-site assistance during triage and other problem-solving activities

Project Pricing
The cost for services for the SpyGlass program is$1,800 per month to monitor up to 10 units and an
additional $50 per month per unit for additional monitoring.
The services provided in 2019 will remain the same as in previous year. The term for services will be from
January 1, 2019 to December 31, 2019.
As quantity of monitored devices increases, a volume discount is applied and the per unit cost is lowered.
We estimate that the RMS system includes 10 servers which is covered under the base price of$1,800 per
month. The pricing table follows:

TERMS AND CONDITIONS APPLICABLE TO INFORMATION TECHNOLOGY(IT)
PROFESSIONAL SERVICES(SPECIAL ITEM NUMBER 132-51)
1. SCOPE
a. The prices,terms and conditions stated under Special Item Number 132-51
Information Technology Professional Services apply exclusively to IT Professional
Services within the scope of this Information Technology Schedule.
b. The Contractor shall provide services at the Contractor's facility and/or at the ordering
activity location, as agreed to by the Contractor and the ordering activity.
2. PERFORMANCE INCENTIVES I-FSS-60 Performance Incentives (April 2000)
a. Performance incentives may be agreed upon between the Contractor and the ordering
activity on individual fixed price orders or Blanket Purchase Agreements under this
contract.
b. The ordering activity must establish a maximum performance incentive price for these
services and/or total solutions on individual orders or Blanket Purchase Agreements.
c. Incentives should be designed to relate results achieved by the contractor to specified
targets. To the maximum extent practicable, ordering activities shall consider
establishing incentives where performance is critical to the ordering activity's mission
and incentives are likely to motivate the contractor. Incentives shall be based on
objectively measurable tasks.
3. ORDER
a. Agencies may use written orders,EDI orders, blanket purchase agreements,
individual purchase orders, or task orders for ordering services under this contract.
Blanket Purchase Agreements shall not extend beyond the end of the contract period;
all services and delivery shall be made and the contract terms and conditions shall
continue in effect until the completion of the order. Orders for tasks which extend
beyond the fiscal year for which funds are available shall include FAR 52.232-19
(Deviation—May 2003)Availability of Funds for the Next Fiscal Year. The purchase
order shall specify the availability of funds and the period for which funds are
available.
b. All task orders are subject to the terms and conditions of the contract. In the event of
conflict between a task order and the contract,the contract will take precedence.
4. PERFORMANCE OF SERVICES
a. The Contractor shall commence performance of services on the date agreed to by the
Contractor and the ordering activity.
b. The Contractor agrees to render services only during normal working hours,unless
otherwise agreed to by the Contractor and the ordering activity.
c. The ordering activity should include the criteria for satisfactory completion for each
task in the Statement of Work or Delivery Order. Services shall be completed in a
good and workmanlike manner.

d. Any Contractor travel required in the performance of IT Services must comply with
the Federal Travel Regulation or Joint Travel Regulations, as applicable, in effect on
the date(s) the travel is performed. Established Federal Government per diem rates will
apply to all Contractor travel. Contractors cannot use GSA city pair contracts.
5. STOP-WORK ORDER(FAR 52.242-15) (AUG 1989)
a. The Contracting Officer may, at any time,by written order to the Contractor, require
the Contractor to stop all, or any part, of the work called for by this contract for a
period of 90 days after the order is delivered to the Contractor, and for any further
period to which the parties may agree. The order shall be specifically identified as a
stop-work order issued under this clause. Upon receipt of the order, the Contractor
shall immediately comply with its terms and take all reasonable steps to minimize the
incurrence of costs allocable to the work covered by the order during the period of
work stoppage. Within a period of 90 days after a stop-work is delivered to the
Contractor, or within any extension of that period to which the parties shall have
agreed, the Contracting Officer shall either-
(1) Cancel the stop-work order; or
(2) Terminate the work covered by the order as provided in the Default, or the
Termination for Convenience of the Government, clause of this contract.
b. If a stop-work order issued under this clause is canceled or the period of the order or
any extension thereof expires, the Contractor shall resume work. The Contracting
Officer shall make an equitable adjustment in the delivery schedule or contract price,
or both, and the contract shall be modified, in writing, accordingly, if-
(1) The stop-work order results in an increase in the time required for, or in the
Contractor's cost properly allocable to, the performance of any part of this
contract; and
(2) The Contractor asserts its right to the adjustment within 30 days after the
end of the period of work stoppage; provided, that, if the Contracting
Officer decides the facts justify the action, the Contracting Officer may
receive and act upon the claim submitted at any time before final payment
under this contract.
c. If a stop-work order is not canceled and the work covered by the order is terminated
for the convenience of the Government, the Contracting Officer shall allow reasonable
costs resulting from the stop-work order in arriving at the termination settlement.
d. If a stop-work order is not canceled and the work covered by the order is terminated
for default, the Contracting Officer shall allow, by equitable adjustment or otherwise,
reasonable costs resulting from the stop-work order.

6. INSPECTION OF SERVICES
In accordance with FAR 52.212-4 CONTRACT TERMS AND CONDITIONS--
COMMERCIAL ITEMS (MAR 2009) (DEVIATION I - FEB 2007) for Firm-Fixed Price
orders and FAR 52.212-4 CONTRACT TERMS AND CONDITIONS �]COMMERCIAL
ITEMS (MAR 2009) (ALTERNATE I D❑OCT 2008) (DEVIATION I—FEB 2007)
applies to Time-and-Materials and Labor-Hour Contracts orders placed under this
contract.
7. RESPONSIBILITIES OF THE CONTRACTOR
The Contractor shall comply with all laws, ordinances, and regulations (Federal, State,
City, or otherwise) covering work of this character. If the end product of a task order is
software, then FAR 52.227-14 (Dec 2007) Rights in Data—General, may apply.
8. RESPONSIBILITIES OF THE ORDERING ACTIVITY
Subject to security regulations, the ordering activity shall permit Contractor access to all
facilities necessary to perform the requisite IT Professional Services.
9. INDEPENDENT CONTRACTOR
All IT Professional Services performed by the Contractor under the terms of this contract
shall be as an independent Contractor, and not as an agent or employee of the ordering
activity.
10. ORGANIZATIONAL CONFLICTS OF INTEREST
a. Definitions.
"Contractor" means the person, firm, unincorporated association,joint venture,
partnership, or corporation that is a party to this contract.
"Contractor and its affiliates"and"Contractor or its affiliates"refers to the Contractor,
its chief executives, directors, officers, subsidiaries, affiliates, subcontractors at any
tier, and consultants and any joint venture involving the Contractor, any entity into or
with which the Contractor subsequently merges or affiliates, or any other successor or
assignee of the Contractor.
An"Organizational conflict of interest" exists when the nature of the work to be
performed under a proposed ordering activity contract,without some restriction on
ordering activities by the Contractor and its affiliates, may either(i)result in an unfair
competitive advantage to the Contractor or its affiliates or(ii) impair the Contractor's
or its affiliates' objectivity in performing contract work.
b. To avoid an organizational or financial conflict of interest and to avoid prejudicing the
best interests of the ordering activity, ordering activities may place restrictions on the
Contractors, its affiliates, chief executives, directors, subsidiaries and subcontractors at
any tier when placing orders against schedule contracts. Such restrictions shall be
consistent with FAR 9.505 and shall be designed to avoid, neutralize, or mitigate
organizational conflicts of interest that might otherwise exist in situations related to

individual orders placed against the schedule contract. Examples of situations, which
may require restrictions, are provided at FAR 9.508.
11. INVOICES
The Contractor, upon completion of the work ordered, shall submit invoices for IT
Professional services. Progress payments may be authorized by the ordering activity on
individual orders if appropriate. Progress payments shall be based upon completion of
defined milestones or interim products. Invoices shall be submitted monthly for recurring
services performed during the preceding month.
12. PAYMENTS
For firm-fixed price orders the ordering activity shall pay the Contractor, upon submission
of proper invoices or vouchers, the prices stipulated in this contract for service rendered
and accepted. Progress payments shall be made only when authorized by the order. For
time-and-materials orders, the Payments under Time-and-Materials and Labor-Hour
Contracts at FAR 52.212-4 (MAR 2009) (ALTERNATE I–OCT 2008) (DEVIATION I–
FEB 2007) applies to time-and-materials orders placed under this contract. For labor-hour
orders, the Payment under Time-and-Materials and Labor-Hour Contracts at FAR 52.212-
4 (MAR 2009) (ALTERNATE I–OCT 2008) (DEVIATION I–FEB 2007) applies to
labor-hour orders placed under this contract. 52.216-31(Feb 2007) Time-and-
Materials/Labor-Hour Proposal Requirements—Commercial Item Acquisition As
prescribed in 16.601(e)(3), insert the following provision:
a. The Government contemplates award of a Time-and-Materials or Labor-Hour type of
contract resulting from this solicitation.
b. The offeror must specify fixed hourly rates in its offer that include wages, overhead,
general and administrative expenses, and profit. The offeror must specify whether the
fixed hourly rate for each labor category applies to labor performed by
(1) The offeror;
(2) Subcontractors; and/or
(3) Divisions, subsidiaries, or affiliates of the offeror under a common control.
13. RESUMES
Resumes shall be provided to the GSA Contracting Officer or the user ordering activity
upon request.
14. INCIDENTAL SUPPORT COSTS
Incidental support costs are available outside the scope of this contract. The costs will be
negotiated separately with the ordering activity in accordance with the guidelines set forth
in the FAR.

15. APPROVAL OF SUBCONTRACTS
The ordering activity may require that the Contractor receive, from the ordering activity's
Contracting Officer, written consent before placing any subcontract for furnishing any of
the work called for in a task order.

ADDENDUM TO TECHNOLOGY SERVICE AGREEMENT
BETWEEN
THE CITY OF FORT WORTH
AND
MISSION CRITICAL PARTNERS, LLC
This Addendum to Technology Service Agreement ("Addendum") is entered into by and
between the Mission Critical Partners, LLC ("Seller") and the City of Fort Worth ("City"),
collectively the "parties" for the purpose of monitoring systems.
The Contract documents shall include the following:
1. Technical Services Support Proposal;
2. GSA Schedule 70 Contract#GS-35F-0410X; and
3. This Addendum.
Notwithstanding any language to the contrary in the attached Technical Services Support
Proposal (the "Agreement"), the Parties hereby stipulate by evidence of execution of this
Addendum below by a representative of each party duly authorized to bind the parties hereto, that
the parties hereby agree that the provisions in this Addendum below shall be applicable to the
Agreement as follows:
1. Term. The Agreement shall become effective upon the signing of the Agreement
(the "Effective Date") and shall expire December 31, 2019 (1) year after the Effective Date (the
Expiration Date"), unless terminated earlier in accordance with the provisions of the Agreement
or otherwise extended by the parties. The Agreement may be renewed for 3 one-year renewals at
City's option, each a"Renewal Term." City shall provide Seller with written notice of its intent to
renew at least thirty(30) days prior to the end of each term.
2. Termination.
a. Convenience.Either City or Seller may terminate the Agreement at any time
and for any reason by providing the other party with 30 days written notice of termination.
b. Breach. If either party commits a material breach of the Agreement,the non-
breaching Party must give written notice to the breaching party that describes the breach
in reasonable detail. The breaching party must cure the breach ten(10) calendar days after
receipt of notice from the non-breaching party, or other time frame as agreed to by the
parties. If the breaching party fails to cure the breach within the stated period of time, the
non-breaching party may, in its sole discretion, and without prejudice to any other right
under the Agreement, law, or equity, immediately terminate this Agreement by giving
written notice to the breaching party.
C. Fiscal Funding Out. In the event no funds or insufficient funds are
appropriated by City in any fiscal period for any payments due hereunder, City will notify

Seller of such occurrence and the Agreement shall terminate on the last day of the fiscal
period for which appropriations were received without penalty or expense to the City of
any kind whatsoever, except as to the portions of the payments herein agreed upon for
which funds have been appropriated.
d. Duties and Obli)zations of the Parties. In the event that the Agreement is
terminated prior to the Expiration Date, City shall pay Seller for services actually rendered
up to the effective date of termination and Seller shall continue to provide City with
services requested by City and in accordance with the Agreement up to the effective date
of termination. Upon termination of the Agreement for any reason, Seller shall provide
City with copies of all completed or partially completed documents prepared under the
Agreement. In the event Seller has received access to City information or data as a
requirement to perform services hereunder, Seller shall return all City provided data to City
in a machine readable format or other format deemed acceptable to City.
3. Attorneys' Fees, Penalties, and Liquidated Damages. To the extent the attached
Agreement requires City to pay attorneys' fees for any action contemplated or taken, or penalties
or liquidated damages in any amount, City objects to these terms and any such terms are hereby
deleted from the Agreement and shall have no force or effect.
4. Law and Venue.The Agreement and the rights and obligations of the parties hereto
shall be governed by, and construed in accordance with the laws of the United States and state of
Texas, exclusive of conflicts of laws provisions. Venue for any suit brought under the Agreement
shall be in a court of competent jurisdiction in Tarrant County, Texas. To the extent the Agreement
is required to be governed by any state law other than Texas or venue in Tarrant County, City
objects to such terms and any such terms are hereby deleted from the Agreement and shall have
no force or effect.
5. Insurance. The City is a governmental entity under the laws of the state of Texas
and pursuant to Chapter 2259 of the Texas Government Code, entitled "Self-Insurance by
Governmental Units," is self-insured and therefore is not required to purchase insurance. To the
extent the Agreement requires City to purchase insurance, City objects to any such provision, the
parties agree that any such requirement shall be null and void and is hereby deleted from the
Agreement and shall have no force or effect. City will provide a letter of self-insured status as
requested by Seller.
6. Sovereign Immunity. Nothing herein constitutes a waiver of City's sovereign
immunity. To the extent the Agreement requires City to waive its rights or immunities as a
government entity; such provisions are hereby deleted and shall have no force or effect.
7. Limitation of Liability and Indemnity. To the extent the Agreement, in any way,
limits the liability of Seller or requires City to indemnify or hold Seller or any third party harmless
from damages of any kind or character, City objects to these terms and any such terms are hereby
deleted from the Agreement and shall have no force or effect.

8. No Debt. In compliance with Article 11 § 5 of the Texas Constitution, it is
understood and agreed that all obligations of City hereunder are subject to the availability of funds.
If such funds are not appropriated or become unavailable, City shall have the right to terminate the
Agreement except for those portions of funds which have been appropriated prior to termination.
9. Confidential Information. City is a government entity under the laws of the State
of Texas and all documents held or maintained by City are subject to disclosure under the Texas
Public Information Act. To the extent the Agreement requires that City maintain records in
violation of the Act,City hereby objects to such provisions and such provisions are hereby deleted
from the Agreement and shall have no force or effect. In the event there is a request for information
marked Confidential or Proprietary, City shall promptly notify Seller. It will be the responsibility
of Seller to submit reasons objecting to disclosure. A determination on whether such reasons are
sufficient will not be decided by City, but by the Office of the Attorney General of the State of
Texas or by a court of competent jurisdiction.
10. Addendum Controlling. If any provisions of the attached Agreement, conflict with
the terms herein, are prohibited by applicable law, conflict with any applicable rule, regulation or
ordinance of City, the terms in this Addendum shall control.
11. Immigration NationalitAct. City actively supports the Immigration&Nationality
Act(INA)which includes provisions addressing employment eligibility,employment verification,
and nondiscrimination. Seller shall verify the identity and employment eligibility of all employees
who perform work under the Agreement. Seller shall complete the Employment Eligibility
Verification Form(1-9),maintain photocopies of all supporting employment eligibility and identity
documentation for all employees, and upon request, provide City with copies of all 1-9 forms and
supporting eligibility documentation for each employee who performs work under the Agreement.
Seller shall establish appropriate procedures and controls so that no services will be performed by
any employee who is not legally eligible to perform such services. Seller shall provide City with a
certification letter that it has complied with the verification requirements required by the
Agreement. Seller shall indemnify City from any penalties or liabilities due to violations of this
provision. City shall have the right to immediately terminate the Agreement for violations of this
provision by Seller.
12. No Boycott of Israel. Seller acknowledges that in accordance with Chapter 2270
of the Texas Government Code, City is prohibited from entering into a contract with a company
for goods or services unless the contract contains a written verification from the company that it:
(1) does not boycott Israel; and (2) will not boycott Israel during the term of the contract. The
terms "boycott Israel" and "company" shall have the meanings ascribed to those terms in Section
808.001 of the Texas Government Code. By signing this Addendum, Seller certifies that Seller's
signature provides written verification to City that Seller: (1) does not boycott Israel; and(2) will
not boycott Israel during the term of the Agreement.
13. Right to Audit. Seller agrees that City shall, until the expiration of three (3) years
after final payment under the Agreement, have access to and the right to examine any directly
pertinent books, documents, papers and records of Seller involving transactions relating to the
Agreement. Seller agrees that City shall have access during normal working hours to all necessary

Seller facilities and shall be provided adequate and appropriate workspace in order to conduct
audits in compliance with the provisions of this section. City shall give Seller reasonable advance
notice of intended audits.
