AMENDMENT No.5 CONTRACT N0. 37013 -P6
TO CITY SECRETARY CONTRACT
WHEREAS, the City of Fort Worth (CITY) and Kimley-Horn and
Associates, Inc. , (ENGINEER) made and entered into City Secretary
Contract No. 37013, (the CONTRACT) which was authorized by M&C C-22765
on the 15th day of April, 2008 in the amount of $2 ,533,113.00; and
WHEREAS, the CONTRACT was subsequently revised by: Amendment
No. 1 in the amount of $1,580,000 . 00 which was authorized by M&C C-
25303, Amendment No. 2 in the amount of 1, 896, 000 . 00 which was
authorized by M&C C-26276 on May 21, 2013 and Amendment No.3 in the
amount of $1, 736,800 .00 which was authorized by M&C C- 26838 on June
10, 2014 and Amendment No. 4 in the amount of $1,596, 900 .00 which was
authorized by M&C C-27628 on February 16, 2016; and
WHEREAS, the CONTRACT involves engineering services for the
following project:
Water and Sanitary Sewer Main Relocations for the Trinity River
Vision (TRV) - Central City Project and the Trinity Uptown Service
Area, Phase 1 - Bridge and Channel Relocations; and
WHEREAS, it has become necessary to execute Amendment No. 5 to
the CONTRACT to include an increased scope of work and revised fee.
NOWTHEREFORE, CITY and ENGINEER, acting herein by and through
their duly authorized representatives, enter into the following
agreement, which amends the CONTRACT:

Article I of the CONTRACT is amended to include the additional
engineering services specified in a proposal dated November 14, 2018,
a copy of which is attached hereto and incorporated herein. The cost
to City for the additional design services to be performed by Engineer
totals $589,800 .00 .

Article II of the CONTRACT is amended to provide for an increase
in the fee to be paid to Engineer for all work and services performed
under the Contract, as amended, so that the total fee paid by the City
for all work and services shall be an amount of $9, 932, 613. 00 .

All other provisions of the Contract, which are not expressly

Dear Liam:
Kimley-Horn and Associates, Inc. is pleased to submit our Amendment No. 5 for the City's Trinity River
Vision Project. Attached is the additional scope of services (Attachment A) and the following is a
summary of the individual project descriptions and the scope and fee per project for Amendment No.
5. The fees for this Amendment, as stated in Attachment B, are not to exceed$589,800, increasing the
total not to exceed fee to$9,932,613.
Part 10 — Channel Segment A $340,800
o This project consists of water and sanitary sewer relocations associated with the USACE
Channel Segment A Project and includes approximately 1,750 LF of 12-inch water line
and 4,700 LF of 8-to 24-inch sanitary sewer line in order to clear conflicts for the
USACE. The project area encompasses the N Main Street/N Houston Street area north
of downtown Fort Worth.
o Amendment 5 includes the following project phases:

Design Program Management $200,000
o This Amendment includes 12 months of overall program management for the Water and
Sanitary Sewer Relocations for the Trinity River Vision Central City Project. This includes
project kickoff meetings, coordination meetings, monthly reporting, scheduling, capital
planning and tracking and other tasks necessary to manage the program as a whole.

USACE Plan Reviews $9,000
o This project includes the review of the USACE Bypass Channel, Valley Storage,
Ecosystem Restoration, and/or Recreation Plans for impacts to the City's water and
sanitary sewer systems.
o Amendment 5 includes the following anticipated projects:
• 20.06&20.07 Gateway/Oxbow Sites H & I Construction—Valley Storage
■ 23 Bypass Channel North Segment

o The City has requested we allocate an amount for unanticipated services for this project.

Kimley-Horn will subcontract a portion of these services to Gorrondona&Associates, Inc.; PIC-
Printing, LLC; and Lamb-Star Engineering, MNVBE subconsultants. The amount we will be
subcontracting is$204,300. This represents an MNVBE participation percentage of 34.6%for these
additional services. With these Additional Services, our revised contract amount will be$9,932,613.
This will revise our total contract MNVBE participation from$2,685,894.92(28.7%)to$2,890,194.92
(29.1%).

General Scope of Services
The scope set forth herein defines the work to be performed by the ENGINEER in conjunction with the
PROJECT. Both the CITY and ENGINEER have attempted to define services to be performed and
address the needs of the PROJECT through September of 2018.
OBJECTIVE
The objective of this PROJECT is to facilitate the relocation of the CITY's water and sanitary sewer
facilities that are in conflict with the Trinity River Vision improvements, and to relocate or rehabilitate
those facilities for the Panther Island Redevelopment Project.

TASK 1. DESIGN/PROGRAM MANAGEMENT
Anticipated durations 12 months (October 2017 to September 2018)
1.1 Kick-Off Meeting: None
1.2 Regular Period Meetings: Attend regular periodic meetings as required by CITY and TRVA.
The number of meetings is only intended to be an approximation of the frequency and content
of the meetings.
A. Semi-monthly CITY Progress Meetings: Conduct and document eighteen (18) semi-
monthly PROJECT update meetings with the CITY PROJECT Manager
B. Semi-monthly TRV and CITY Coordination Meetings: Conduct eighteen (18) semi-
monthly PROJECT update meetings with CITY' PROJECT Manager, Other CITY
Consultants, and TRV PROJECT partners. Prepare and distribute meeting notes and
action items.
C. Franchise Utility Progress Meetings: Attend three (3) franchise utility PROJECT
update meetings with CITY PROJECT Manager and TRV PROJECT partners.
D. Weekly TRV CITY Program Manager's Progress Meetings: Attend approximately
thirty-six (36) weekly TRV CITY Program Manager's progress meetings.
E. Semi-monthly TRVA PROJECT Managers Review Meetings: Attend approximately
eighteen (18) semi-monthly TRVA PROJECT Managers review meetings.
F. Quarterly USACE Coordination Meetings: Attend two (2) quarterly USACE PDT
meetings for PROJECT coordination.
1.3 City Reporting:
A. Progress Reports
B. Monthly Schedule Update: Prepare twelve (12) monthly PROJECT schedule status
updates to be provided to both CITY and TRVA. The schedules should reflect all of
the CITY's PROJECT Parts associated with this contract, appropriately labeled to
distinguish between FWCC and Non-FWCC PROJECT Parts. The design schedule
will not be cost loaded with the consultant's fees.
C. M/WBE Reporting: Complete twelve (12) Monthly MM/BE Report Forms for both
TRVA and the CITY. Submit M/WBE Change forms as necessary for any changes in
M/WBE Status.
D. Monthly Invoices and PROJECT Tracking by PROJECT Part: Prepare twelve (12)
monthly invoices that meet the CITY and TRVA invoice format requirements.

1.4 TRV Program Reporting: Facilitate coordination of PROJECT financial information and track
status
A. PROJECT Cost Monthly Update: Prepare and update monthly a spreadsheet that
tracks each PROJECT Part including projected Construction and Engineering Cost,
changes to the projected Construction and Engineering Cost, and actual Construction
and Engineering Cost.
B. Monthly CITY Actuals Reporting: Review the CITY's Water and Sanitary Sewer,
Storm Drain, Franchise, Bridges and Local Street Modifications monthly Project
Management Reports and prepare twelve (12) Actual vs. Budget Cost Summary
Reports.
C. Monthly Contracted and Reimbursable Tracking
D. CIP Coordination: The quarterly coordination of the CITY's Five-Year CIP to verify
how each PROJECT Part is included in each fiscal year budget. Cost shall be
summed by fiscal year.
E. Quarterly TRVA Schedule Review: Perform four(4) quarterly reviews of modifications
to the TRVA schedule and report potential impacts to both TRVA and CITY.
Coordinate with both TRVA and CITY as CITY and TRVA work to achieve a schedule
that is mutually agreed upon by each party.
F. TRVA PROJECT Change Form: None.
1.5 Coordination of other CITY Consultants: Facilitate action items/tasks for other CITY
Consultants as a result of the TRVA PROJECT Managers meeting. Services may include
delegation of tasks and conducting additional meetings associated with the directives of the
PROJECT Managers meeting.
1.6 Deliverables

TASK 5. BID PHASE SERVICES
The Part 10 Channel Segment A project may have to be re-bid due to eliminating the Grand Ave
Bypass Storm Drain, Part 3 project that was included in the bid.

5.1 General
A. The ENGINEER will update the Bidding Documents to remove the Grand Ave Bypass
Storm Drain, Part 3 project.
5.2 Advertisement
A. The CITY will publish the Invitation to Bidders in the local paper of record.
5.3 Issuing Bid Sets
A. Make available at an agreed location sufficient copies of the Bidding Documents to
distribute to potential bidders.
B. Upload Bidding Documents to Buzzsaw for electronic distribution
C. The ENGINEER may charge a non-refundable fee up to $100 per set of Bidding
Documents.
D. Issue Bidding Documents to four (4) Plan Rooms as determined by the CITY.
E. Maintain a log of all plan holders.
5.4 Request for Information
A. Receive requests for information from prospective bidders and maintain a log of
bidder's significant questions.
B. Provide technical interpretations of the Contract Documents.
C. Send written clarifications to all plan holders.
5.5 Addenda
A. Issue Addenda as necessary when clarifications require a modification to the Contract
Documents.
5.6 Pre-bid Meeting
A. Conduct a pre-bid meeting for each PROJECT Part as indicated in the Table above.

6.1 Public Meeting
A. The CITY shall be responsible for establishing the location and mailing the invitation
for the public meeting.
B. Attend one (1) Public Meetings for each PROJECT Part.
C. Prepare up to two (2) exhibits for each PROJECT Part for use in the public meeting.
6.2 Construction Support Services: Provide professional construction phase services for
construction of the proposed PROJECT Part for the purpose of providing assistance to CITY
during construction. The CITY will provide construction management services and inspection
for the PROJECT Part. This scope of services does not include construction phase services
related to inspections or testing, applications for payment, disagreements between the CITY
and the Contractor, or determination of substantial completion. The following services will be
performed for the construction contract:
A. Preconstruction Meeting
1. Attend a preconstruction conference for each PROJECT Part as determined by
the CITY.
2. Prepare and distribute Meeting Notes.
B. On-site Observation
1. Make site visits at intervals as directed by CITY in accordance with the table
above in order to observe the progress of the work.
a. Such visits and observations by ENGINEER are not intended to be
exhaustive or to extend to every aspect of Contractor's work in
progress. Observations are to be limited to spot checking, selective
measurement, and similar methods of general observation of the Work
based on ENGINEER'S exercise of professional judgment. Based on
information obtained during such visits and such observations,
ENGINEER will evaluate whether Contractor's work is generally
proceeding in accordance with the Contract Documents, and
ENGINEER will keep CITY informed of the general progress of the
Work.

b. The purpose of ENGINEER'S site visits will be to enable ENGINEER to
better carry out the duties and responsibilities specifically assigned in
this Agreement to ENGINEER, and to provide CITY a greater degree of
confidence that the completed Work will conform in general to the
Contract Documents. ENGINEER shall not, during such visits or as a
result of such observations of Contractor's work in progress, supervise,
direct, or have control over Contractor's work, nor shall ENGINEER
have authority over or responsibility for the means, methods,
techniques, equipment choice and usage, sequences, schedules, or
procedures of construction selected by Contractor, for safety
precautions and programs incident to Contractor's work, nor for any
failure of Contractor to comply with laws and regulations applicable to
Contractor's furnishing and performing the Work. Accordingly,
ENGINEER neither guarantees the performance of any Contractor nor
assumes responsibility for any, Contractor's failure to furnish and
perform its work in accordance with the Contract Documents.
C. Progress Meetings
1. Attend progress meetings twice a month and visit the site for observation at
that time.
D. Shop drawing, samples and other submittals Review
1. Review submittals according to the table above.
2. Review shop drawings, samples and other submittals submitted by the
contractor for general conformance with the design concepts and general
compliance with the requirements of the contract for construction.
3. Such review, approvals or other action will not extend to means, methods,
techniques, equipment choice and usage, sequences, schedules, or
procedures of construction or to related safety precautions and programs and
shall not relieve the Contractor from its responsibility for performance in
accordance with the contract for construction, nor is such review a guarantee
that the work covered by the shop drawings, samples and submittals is free of
errors, inconsistencies or omissions.
4. Log all shop drawings, samples and other submittals.
E. Substitutions
1. Evaluate and determine the acceptability of up to ten (10) substitute or "or-
equal" materials proposed by Contractor in accordance with the Contract
Documents, but subject to the provisions of applicable standards of the state or
the CITY.
F. Request for information (RFI):
1. Provide necessary interpretations and clarifications of contract documents, and
make recommendations as to the acceptability of the work. ENGINEER will
respond to reasonable and appropriate Cc;ntractor requests for information and

CITY as appropriate to the orderly completion of Contractor's work. Any orders
authorizing variations from the Contract Documents will be made by CITY.
G. Change Orders
1. Provide support for Change Orders as requested by the CITY. Change Order
support may include review and recommendations to the CITY for the
execution of change orders.
H. Final PROJECT Part Walk Through
1. Attend the "Final" PROJECT Part walk through and assist with preparation of
final punch list. Attend one (1)final site visit to determine if the completed Work
of Contractor is generally in accordance with the Contract Documents.
a. ENGINEER shall not be responsible for the acts or omissions of any
Contractor, or of any of their subcontractors, suppliers, or of any other
individual or entity performing or furnishing the Work. ENGINEER shall
not have the authority or responsibility to stop the work of any
Contractor.
6.3 Sanitary Sewer Service Site Plans
A. The Contractor shall provide the ENGINEER flow line information for service line
relocations, where the elevation of the service line was unable to be determined
during the design.
B. Provide two (2) Service line relocation design details which provide the line and grade
to relocate the service based on the information provided by the Contractor.
6.4 Resident Project Representative: ENGINEER will provide resident PROJECT representation
services for construction of each PROJECT Part for the purpose of providing assistance to
CITY during construction.
A. ENGINEER shall furnish a Resident PROJECT Representative ("RPR"), assistants,
and other field staff to assist ENGINEER in observing progress and quality of the
Work. The RPR, assistants, and other field staff under this Task may provide half time
representation or may provide representation to a lesser degree.
B. Through such additional observations of Contractor's work in progress and field
checks of materials and equipment by the RPR and assistants, ENGINEER shall
endeavor to provide further protection for CITY against defects and deficiencies in the
Work. However, ENGINEER shall not, during such visits or as a result of such
observations of Contractor's work in progress, supervise, direct, or have control over
Contractor's work nor shall ENGINEER have authority over or responsibility for the
means, methods, techniques, sequences, or procedures selected or used by
Contractor, for security or safety at the Site, for safety precautions and programs
incident to Contractor's work in progress, for any failure of Contractor to comply with
Laws and Regulations applicable to Contractor's performing and furnishing the Work,
or responsibility for Contractor's failure to furnish and perform the Work in accordance
with the Contract Documents.
C. The duties and responsibilities of the RPR are limited to those of ENGINEER in the
Agreement with the CITY and in the Contract Documents, and are further limited and
described as follows:

1. General: RPR is ENGINEER's agent at the Site, will act as directed by and
under the supervision of ENGINEER, and will confer with ENGINEER
regarding RPR's actions.
a. RPR's dealings in matters pertaining to a Contractor's work in progress
shall in general be with ENGINEER and Contractor, keeping CITY
advised as necessary.
b. RPR's dealings with subcontractors shall only be through or with the full
knowledge and approval of Contractor.
c. RPR shall generally communicate with CITY with the knowledge of and
under the direction of ENGINEER.
2. Schedules: Review the progress schedule, schedule of shop drawing and
sample submittals, and schedule of values prepared by a Contractor and
consult with ENGINEER concerning acceptability.
3. Conferences and Meetings: Attend meetings with Contractor, such as
preconstruction conferences, progress meetings, job conferences and other
PROJECT-related meetings, and prepare and circulate copies of minutes
thereof.
4. Liaison
a. Serve as ENGINEER's liaison with Contractor, working principally
through Contractor's superintendent, and assist in providing information
regarding the intent of the Contract Documents.
b. Assist ENGINEER in serving as CITY's liaison with Contractor when
Contractor's operations affect CITY's on-site operations.
c. Assist in obtaining from CITY additional details or information, when
required for proper execution of the Work.
5. Interpretation of Contract Documents: Report to ENGINEER when clarifications
and interpretations of the Contract Documents are needed and transmit to
Contractor clarifications and interpretations as issued by ENGINEER.
6. Shop Drawings and Samples
a. Record date of receipt of samples; and approved shop drawings.
b. Receive samples which are furnished at the Specific PROJECT Part
Site by Contractor, and notify ENGINEER of availability of samples for
examination.
c. Advise ENGINEER and Contractor of the commencement of any
portion of the Work requiring a shop drawing or sample submittal for
which RPR believes that the submittal has not been approved by
ENGINEER.
7. Modifications: Consider and evaluate Contractor's suggestions for
modifications in Drawings or Specifications and report such suggestions,
together with RPR's recommendations, to ENGINEER. Transmit to Contractor
in writing decisions as issued by ENGINE:E.R.

8. Review of Work and Rejection of Defective Work
a. Conduct on-Site observations of Contractor's work in progress to assist
ENGINEER in determining if the Work is in general proceeding in
accordance with the Contract Documents.
b. Report to ENGINEER whenever RPR believes that any part of
Contractor's work in progress will not produce a completed project that
conforms generally to the Contract Documents or will imperil the
integrity of the design concept of the completed Specific PROJECT as
a functioning whole as indicated in the Contract Documents, or has
been damaged, or does not meet the requirements of any inspection,
test or approval required to be made; and advise ENGINEER of that
part of work in progress that RPR believes should be corrected or
rejected or should be uncovered for observation, or requires special
testing, inspection or approval.
9. Inspections, Tests, and System Start-ups
a. Consult with ENGINEER in advance of scheduled major inspections,
tests, and systems start-ups of important phases of the Work.
b. Verify that tests, equipment, and systems start-ups and operating and
maintenance training are conducted in the presence of appropriate
CITY's personnel, and that Contractor maintains adequate records
thereof.
c. Observe, record, and report to ENGINEER appropriate details relative
to the test procedures and systems start-ups.
d. Accompany visiting inspectors representing public or other agencies
having jurisdiction over a Specific PROJECT, record the results of
these inspections, and report to ENGINEER.
10. Records
a. Maintain at the Site orderly files for correspondence, reports of job
conferences, reproductions of original Contract Documents including all
Change Orders, Field Orders, Work Change Directives, Addenda,
additional Drawings issued subsequent to the execution of the
Contract, ENGINEER's clarifications and interpretations of the Contract
Documents, progress reports, Shop Drawing and Sample submittals
received from and delivered to Contractor, and other Specific
PROJECT-related documents.
b. Prepare a daily report or keep a diary or log book, recording
Contractor's hours on the Site, weather conditions, data relative to
questions of Change Orders, Field Orders, Work Change Directives, or
changed conditions, Site visitors, daily activities, decisions,
observations in general, and specific observations in more detail as in
the case of observing test procedures; and send copies to ENGINEER.

c. Record names, addresses, fax numbers, e-mail addresses, web site
locations and telephone numbers of all Contractors, subcontractors,
and major suppliers of materials and equipment.
d. Maintain records for use in preparing PROJECT documentation.
e. Upon completion of the Work, furnish original set of all RPR Specific
PROJECT documentation to ENGINEER.
11. Reports
a. Furnish to ENGINEER periodic reports as required of progress of the
Work and of Contractor's compliance with the progress schedule and
schedule of Shop Drawing and Sample submittals.
b. Draft and recommend to ENGINEER proposed Change Orders, Work
Change Directives, and Field Orders. Obtain backup material from
Contractor.
c. Furnish to ENGINEER and CITY copies of all inspection, test, and
system startup reports.
d. Immediately notify ENGINEER of the occurrence of any Site accidents,
emergencies, acts of God endangering the Work, damage to property
by fire or other causes, or the discovery of any Constituent of Concern.
12. Payment Requests
a. Review Applications for Payment with Contractor for compliance with
the established procedure for their submission and forward with
recommendations to ENGINEER, noting particularly the relationship of
the payment requested to the schedule of values, Work completed, and
materials and equipment delivered at the Site but not incorporated in
the Work.
13. Certificates, Operation and Maintenance Manuals
a. During the course of the Work, verify that materials and equipment
certificates, operation and maintenance manuals and other data
required by the Specifications to be assembled and furnished by a
Contractor are applicable to the items actually installed and in
accordance with the Contract Documents, and have these documents
delivered to ENGINEER for revie,v and forwarding to CITY prior to
payment for that part of the Work.
14. Completion
a. Participate in a final inspection in the company of ENGINEER, CITY,
and Contractor and prepare a final list of items to be completed and
deficiencies to be remedied.
b. Observe whether all items on the final list have been completed or
corrected and make recommendations to ENGINEER concerning
acceptance and issuance of the Notice of Acceptability of the Work.

1. Authorize any deviation from the Contract Documents or substitution of
materials or equipment (including "or-equal" items).
2. Exceed limitations of ENGINEER's authority as set forth in the Agreement or
the Contract Documents.
3. Undertake any of the responsibilities of a Contractor, subcontractors, suppliers,
or a Contractor's superintendent.
4. Advise on, issue directions relative to, or assume control over any aspect of
the means, methods, techniques, sequences or procedures of the Contractor's
work unless such advice or directions are specifically required by the Contract
Documents.
5. Advise on, issue directions regarding, or assume control over safety practices,
precautions and programs in connection with the activities or operations of
CITY or Contractor.
6. Participate in specialized field or laboratory tests or inspections conducted off-
site by others except as specifically authorized by ENGINEER.
7. Accept Shop Drawing or Sample submittals from anyone other than
Contractor.
8. Authorize CITY to occupy a Specific PROJECT in whole or in part.
6.5 Record Drawings
A. The ENGINEER shall prepare Record Drawings from information provided by the
CITY depicting any changes made to the Final Drawings during construction. The
following information shall be provided by the CITY:
1. As-Built Survey
2. Red-Line Markups from Contractor
3. Red-Line Markups from City Inspector
4. Copies of Approved Change Orders
5. Approved Substitutions
B. The ENGINEER shall modify the Final Drawings electronically and shall place a stamp
on the plans indicating that they represent Record Drawings of the project as
constructed. The stamp shall be signed and dated by the ENGINEER and shall be
placed on each plan sheet, whether there are any revisions on the sheet or not. Each
sheet shall clearly indicate all changes which apply to that sheet by clouding and
numbering, or other suitable means.
C. The following disclaimer shall be included with the Record Drawing stamp:
1. These Record Drawings were prepared using information provided by others
and represent the as constructed conditions to the extent that documented
changes were provided for recording. The ENGINEER assumes no liability for
undocumented changes and certifies only that the documented changes are
accurately depicted on these drawings.

D. The ENGINEER shall submit a set of sealed Fine Drawings, modified and stamped as
Record Drawings, on mylar for record storage. The ENGINEER may keep copies of

the information provided by the CITY for their fil::s, but all original red-lined drawings
shall be returned to the CITY with the mylars.
E. Record Drawings shall also be submitted in both Adobe Acrobat PDF format (version
6.0 or higher) format and DWF format. There shall be one (1) PDF file and one (1)
DWF file for the TPW plan set and a separate PDF and DWF file for the Water plan
set. Each PDF and DWF file shall contain all associated sheets of the particular plan
set. Singular PDF and DWF files for each sheet of a plan set will not be
accepted. PDF and DWF files shall conform to naming conventions as follows:
1. TPW file name example—'W-1956_rec47.pdf'where "W-1956" is the assigned
file number obtained from the CITY, "_rec" designating the file is of a record
drawing plan set, "47"shall be the total number of sheets in this file.

I. Professional Engineering Services

II. Basis for Compensation
The CITY will compensate the ENGINEER for the various items listed above on a reimbursable
basis, where the total contract amount may not be exceeded without an amendment, task budget may
be exceeded. Labor fee will be billed at 3.5 times the salary cost.Direct reimbursable expenses such as
express delivery services, fees, air travel, and other direct expenses will be billed at 1.10 times cost. A
percentage of labor fee will be added to each invoice to cover certain other expenses such as
telecommunications, in-house reproduction,postage, supplies, project related computer time, and local
mileage. Administrative time related to the project will be billed hourly. All permitting, application,
and similar project fees will be paid directly by the Client.
Fees will be invoiced monthly based on the actual amount of service performed and expenses incurred.
Payment will be due within 25 days of your receipt of the invoice

Associates, Inc., in the Amount of$589,800.00 for Water and Sanitary Sewer Main Relocations for the
Trinity River Vision -Central City Project and the Trinity Uptown Service Area Phase 5 (TRV- Related
Expenses Eligible for Reimbursement from the TRWD) (COUNCIL DISTRICTS 2 and 9)
RECOMMENDATION:
It is recommended that the City Council authorize the execution of Amendment No. 5 to City Secretary
Contract No. 37013 with Kimley-Horn and Associates, Inc. in the amount of$589,800.00 for Trinity River
Vision -Central City Project and the Trinity Uptown Service Area Phase 5.
DISCUSSION:
On April 15, 2008, (M&C C-22765)the City Council authorized an Engineering Agreement in the amount
of$2,533,113.00 for water and sanitary sewer main relocations for the Trinity River Vision -Central City
Project and the Trinity Uptown Service Area Phase 1.
The Engineering Agreement was subsequently revised by Amendment No. 1 (M&C C-25303, November
15, 2011) in the amount of$1,580,000.00 to provide for Phase 2A, Amendment No. 2 (M&C C-26276,
May 21, 2013) in the amount of$1,896,000.00 to provide for Phase 2B, Amendment No. 3 (M&C C-
26838, June 10, 2014) in the amount of$1,736,800.00 to provide for Phase 3 and Amendment No. 4
(M&C C-27628, February 16, 2016) in the amount of$1,596,900.00 to provide for Phase 4.
This Amendment No. 5 allows Kimley-Horn and Associates, Inc., to commence with the necessary design
work for Phase 5.
The proposed scope of services for Trinity River Vision -Central City Project and the Trinity Uptown
Service Area Phase 5 includes the following:
. Design for the relocation of conflicting water and sanitary sewer mains to accommodate the USACE
Channel Segment A project;
. Construction phase services;
. Right-of-Way and Easement Services;
. Coordination meetings with TRV Management Team, TRV partners and Staff;
. Design program management;
Kimley-Horn and Associates, Inc., proposes to provide the necessary additional services for a lump sum
fee of$589,800.00. Staff considers the fee to be fair and reasonable for the scope of services proposed.
Upon approval of this amendment, the total of these water, sanitary sewer and major storm drain
appropriations for the Trinity River Vision -Central City Project and the Trinity Uptown Service Area will be
$41,007,000.
Of the $589,800.00 cost of this amendment, the amount of$481,640.00 is necessitated by the Trinity

River Vision (TRV) Project while the remaining amount of$108,160.00 is non-TRV related. Having met its
$26.6 million commitment to the TRV Project, the City will be reimbursed the amount of$481,640.00 by
the Tarrant Regional Water District(TRWD) upon contract completion, in accordance with the provisions
of the executed Interlocal Agreement between the City and the TRWD (City Secretary Contract No.
43425). Staff will record a receivable every month for reimbursable expenses and the TRV Program
Manager in the Planning and Development Department will be responsible for collecting the full
reimbursement from TRWD upon project completion. Available resources in the 2018 Water and Sewer
Revenue Bonds Capital Project Fund will be used to provide interim financing until reimbursement occurs.
Once reimbursement is received, the revenue will be receipted to the 2018 Water and Sewer Revenue
Capital Project Fund.
M/WBE OFFICE: Kimley-Horn and Associates, Inc. agrees to maintain its initial M/WBE commitment of
25%that it made on the original agreement and extend and maintain that same M/WBE commitment of
25%to all prior amendments up to and Inclusive of this Amendment No. 5. Therefore Kimley-Horn and
Associates, Inc. remains in compliance with the City's M/WBE Ordinance and attests to its commitment by
its signature on the Acceptance of Previous M/WBE Commitment form executed by an authorized
representative of its company.
This project is located in COUNCIL DISTRICT 2.
FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that funds are available in the Water and Sewer 2016 Bond Fund for
Main Relocations for the Trinity River Vision -Central City and the Trinity Uptown Service Area Project.
