HomeMy WebLinkAboutContract 45845-R1A1 CITY SECRETARY CONTRACT NO. 45 Fr'`f5-IRI A .41 CITY OF FORT WORTH I"AMENDMENT AND 1St RENEWAL OF AGREEMENT WHEREAS, this First Amendment and First Renewal of Agreement is between the City of Fort Worth, ("CITY'), and JQ Infrastructure, LLC,("ENGINEER"); and WHEREAS, CITY and ENGINEER desire to amend and renew the Original Agreement(City Secretary#45845); and WHEREAS,the Original Agreement including two renewals was approved by M&C C-26875(July 22,2014),for the Project generally described as: General Engineering Support 75 Services on Water and Wastewater Projects; and _ S r WHEREAS, funding for the renewal of this Agreement has been appropriated; NOW,THEREFORE, it is agreed by the CITY and ENGINEER as follows: Article I The Scope of Services as set forth in the Original Agreement has not changed. Article II The ENGINEER's compensation for this First Renewal shall be$500,000.00. Article III Article 11 of the Original Agreement is amended by adding the following: B. The term of this Agreement shall be for 24 months from the Effective Date of this renewal or the expiration of funds, whichever occurs earlier, unless,however, the parties amend the Agreement to provide for an extension of time in order to exhaust the funds. Article IV The Agreement is hereby amended to include the following language: Immigration Nationality Act ENGINEER shall verify the identity and employment eligibility of its employees who perform work under this Agreement, including completing the Employment Eligibility Verification Form(I-9). Upon request by City,ENGINEER shall provide City with copies of all 1-9 forms and supporting eligibility documentation for each employee who performs work under this Agreement. ENGINEER SHALL INDEMNIFY CITY AND HOLD CITY HARMLESS FROM ANY PENALTIES, LIABILITIES, OR LOSSES DUE TO VIOLATIONS OF THIS PARAGRAPH BY ENGINEER, ENGINEER'S EMPLOYEES, SUBCONTRACTORS, AGENTS, OR LICENSEES. City, upon written notice to ENGINEER, shall have the right to immediately terminate this Agreement for violations of this provision by ENGINEER. Article V The Agreement is hereby amended to include the following language: Prohibition on Contracts with Companies Boycotting Israel ENGINEER acknowledges that in accordance with Chapter 2270 of the Texas Government Code, the City is prohibited from entering into a contract with a company for goods or services unless the contract contains a written verification from the company that it: (1) does not boycott Israel; and(2)will not boycott Israel during the term of the contract. The terms "boycott Israel" and "company" shall have the meanings ascribed to those terms in Section 808.001 of the Texas Government Code. By signing this contract, ENGINEER certifies that ENGINEER's signature provides written verification to the City that ENGINEER: (1) does not boycott Israel, and(2) will not boycott Israel during the term of the contract. Article VI All other provisions of the Original Agreement not expressly amended herein, shall remain in full force and effect. DISCUSSION: The Water Department needs general engineering support to assist with smaller design projects and evaluations, such as sewer wet well rehabilitation, cat walk design, water pump station improvements, wholesale customer meter stations, and other water and sewer evaluations and designs. It is important to have stand-by design and evaluation capability in the event of emergencies, for short-duration and small-sized projects and also for maintaining satisfactory customer service levels. The Engineer will provide services for various as yet undefined assignments that may arise. Past contracts of this type have included work in the following areas: Water and Wastewater Treatment Design; Sewer Lift Station and Water Pump Station Design; Water and Sanitary Sewer System Hydraulic Design; Electrical, Instrumentation and SCADA Design; Emergency Services; and Other professional engineering evaluations or construction services. As the City identifies needs, the Engineer is issued an assignment. The Engineer develops a fee for the assigned scope of work, which must be approved by the City before work begins. Emergency or Directed work may be invoiced on a Time and Materials basis for reasonable costs. M/WBE Office-JQ Infrastructure, LLC, is in compliance with the City's DBE Ordinance by committing to 15 percent SBE participation on this project. The City's goal on this project is 15 percent. Additionally, JQ Infrastructure, LLC, is a certified MBE firm. This contract will be funded from water and sewer operating funds. Eligible projects will be moved to capital projects funding, as appropriate. In addition to the contract amount, $25,000.00 is required for Staff project management. This Agreement may be renewed up to two times at the City's option. Execution of the renewal options will not require additional City Council authorization provided that sufficient funds for each renewal have previously been appropriated. Both the CITY and ENGINEER have attempted to clearly.define the work to be performed and address the needs of the Project. SERVICES At the CITY'S request the ENGINEER shall make available time, personnel, and resources necessary to complete solutions relating, but not limited to: • Water Treatment • Wastewater Treatment • Pump Stations or Lift Stations • Water and Sewer Pipelines • Electrical Systems • Instrumentation Systems • Emergency Services • Other professional services as needed Professional Services will be provided as needed to address situations encountered by the City that are not covered by other Professional Services contracts. Services may include, but are not limited to, • preparation of plans and specifications for long term infrastructure solutions, • evaluation of alternative solutions and written letters of recommendation, • troubleshooting operations with written analysis and conclusions • other professional services as necessary. This contract may be renewed for up to two additional general engineering support phases at the City's option. SCOPE OF WORK It is expected that the scope of work will be determined by individual tasks developed by the Water Department and issued to the Engineer through work orders similar to the attached sample. These tasks/work orders are expected to be in response to emergencies or other short duration situations encountered by the Water Department. Compensation A. The ENGINEER shall be compensated for personnel time, non-labor expenses, and subcontract expenses in performing services enumerated in Attachment A as follows: i. Personnel Time. Personnel time shall be compensated based upon hours worked directly in performing the PROJECT multiplied by Direct Salaries multiplied by a factor of 2.5. Direct Salaries are the amount of wages or salaries paid ENGINEER's employees for work directly performed on the PROJECT, exclusive of all payroll- related taxes, payments, premiums, and benefits. ii. Non-Labor Expenses. Non-labor expenses shall be reimbursed as Direct Expenses at invoice or internal office cost. Direct Expenses (non-labor) include, but are not limited to, mileage, travel and lodging expenses, mail, supplies, printing and reproduction services, other direct expenses associated with delivery of the work; plus applicable sales, use, value added, business transfer, gross receipts, or other similar taxes. iii. Subcontract Expenses. Subcontract expenses and outside services shall be reimbursed at cost to ENGINEER plus a markup of ten percent (10%). iv. Budgets. ENGINEER will make reasonable efforts to complete the work within the budget and will keep the City informed of progress toward that end so that the budget or work effort can be adjusted if found necessary. ENGINEER is not obligated to incur costs beyond the indicated budgets, as may be adjusted, nor is the City obligated to pay ENGINEER beyond these limits. If ENGINEER projects, in the course of providing the necessary services, that the PROJECT cost presented in Article 2 of this Agreement will be exceeded, whether by change in scope of the project, increased costs or other conditions, the ENGINEER shall immediately report such fact to the City and, if so instructed by the City, shall suspend all work hereunder. When any budget has been increased, ENGINEER's excess costs expended prior to such increase will be allowable to the same extent as if such costs had been incurred after the approved increase. The ENGINEER shall be paid monthly payments as described in Section II - Method of Payment. If. Method of Payment A. The ENGINEER shall be paid by the City based upon an invoice created on the basis of statements prepared ,from the books and records of account of the ENGINEER, based on the actual hours and costs expended by the ENGINEER in performing the work. B. Each invoice shall be verified as to its accuracy and compliance with the terms of this Agreement by an officer of the ENGINEER. C. ENGINEER shall prepare and submit invoices in the format and including content as presented in Exhibit B-1. D. Payment of invoices will be subject to certification by the City that such work has been performed. III. Progress Reports A. The ENGINEER shall prepare and submit to the designated representative of the Water Department monthly progress reports and schedules in the format required by the City.
