LEASE AMENDMENT 1
(Sublease)
This Lease Amendment("Amendment") dated 2019, is made and
entered into by and between The Alliance for Children(a/k/a Alliance for Children, Inc. "AFC")
and the City of Font Worth,a Texas home rule municipal corporation (the"City").

WHEREAS, AFC and the City entered into that certain Lease Agreement dated October
1, 2014 (the "Lease") covering certain "Leased Premises" (hereafter so called) located at 908
Southland, Fort Worth,Texas;
WHEREAS, the Lease was amended pursuant to that certain Lease Amendment dated

WHEREAS,with the knowledge of the City and with a view to purchasing a replacement
property, AFC has agreed to sell the Leased Premises to Cook Children's Health Care System
("Cook");
WHEREAS, as part of the purchase and sale transaction between AFC and Cook, Cook
has agreed to Iease back the Leased Premises to AFC for a limited lease term pursuant to a lease
agreement between Cook and AFC (the"Primary Lease");
WHEREAS, in this context, it is necessary to amend the Lease Agreement to convert it
into a sublease and to further amend the Lease Agreement in certain other respects;
WHEREAS, AFC and the City have agreed to enter into this Amendment in order to
induce Cook to enter into the Primary Lease. j
NOW, THEREFORE, in consideration of the premises and other good and valuable
consideration, the receipt and adequacy of which is hereby expressly acknowledged, AFC and
HHSC hereby agree as follows:
1. A true and correct copy of the Lease Agreement is attached hereto,
2. The Lease Agreement is hereby converted into a sublease. Except as amended by this
Amendment, the Lease Agreement will remain in full force and effect. AFC and the
City will not amend the Lease Agreement without the prior written consent of Cook.
The Lease Agreement will be subordinate to the Primary Lease. Cook is not
responsible for performance of any of AFC's obligations under the Lease Agreement,

3. In no event shall the City have the ability to exercise any rights under the Primary
Lease, The City will look solely to AFC under the Lease Agreement.
4. The-Lease Agreement-is hereby.amended so as to provide that if the term of the j
Primary Lease expires or if the Prinamy ];ease is otherwise terminated by Cook or I
AFC prior to the expiration of the.Lease Agreement, then the Lease Agreement shall
terminate automatically,.

5. Except as amended hereby, all provisions of the Lease Agreement shall continue in j
full force and effect,

. 6. This Amendment may be executed in one or more counterparts, each of which when
taken together shall constitute one and the same agreement, and'each of which shall
constitute an original copy of this Amendment. In addition,this Amendment may be
executed via facsimile or other electronic record and such facsimile copy or other:
electronic record shall constitute an original copy of this.Amendment.
