LEASE AMENDMENT
BETWEEN THE CITY OF FORT WORTH AND
THE ALLIANCE FOR CHILDREN,INCORPORATED I
WHEREAS the ,it of Fort Worth a Texas home rule municipal corporation

("Lessee") entered into a Lease Agreement ("Lease") (City Secretary Contract No. 46260)
effective as of October 1,2014 with the Alliance for Children,Incorporated ("Lessor")for leased
premises located at 908 Southland Avenue, Fort Worth, Texas, 76104, more particularly
described in the Lease("Leased Premises); and
WHEREAS, that certain Lease will expire effective September 30,2018; and

WHEREAS,the Lessee and Lessor desire to extend the term for three(3)years to expire
on September 30, 2021 and add two (2) one (1) year automatic renewal options to expire
September 30,2023.

NOW THEREFORE,the Lease is hereby amended as follows; l
1. SECTION 3: Term. The term of the Lease is hereby extended for a term of three(3) years to
expire on September 30,2021. This Lease shall then automatically renew for up to two (2)
successive terms of twelve (12) months each, unless either party notifies the other party in
writing of its intent to terminate the Lease on or before 30 days prior to the expiration of the
Lease or any extension, The terms of this Lease shall continue to govern and control the
relationship of the parties during any extensions or holdover by Lessee. i
2. SECTION 10 (b): Termination. The paragraph labeled as "Section 10(c), Termination" is
hereby renamed as Section 10(b), Termination, and the first sentence of Section 10(b) is hereby
deleted and the following substituted therefore:
"Lessee and Lessor shall have the right to terminate this Lease at any time for any reason
by giving the other party 30 days' written notice prior to the intended termination date."

3. SECTION 10 (d): Sale of Property. It is the intention of both parties to enter this Lease
Amendment in good faith. However,Lessor has informed Lessee of the possibility of selling the
real property located at 908 Southland Avenue prior to the end of the extension period. It is
Lessor's intention to continue to operate from the Southland location until a new facility is
purchased and renovated. Lessor plans to retain Lessee as a sub-lessee, with Lessee's approval,
to any new lease agreement entered into with the buyer of the 908 Southland Avenue building.
Once a new location is secure, Lessee and Lessor,with both party's approval,plan to enter into a
new agreement to reflect the change of location.

3.SECTION IO(d)s Sale of Property. The following section is hereby added to the Lease:
"Section 10(d), Sale of Property. Lessor may sell the Property during the term or
renewal term;. It is Lessor's intention to continue'to operate from the Southland location until a i
new facility is located and made ready. The sale of the Property shall be subject to this Lease, '
and the parties hereto may enter into a lease amendment whereby Lessor shall be a sub landlord
of the Property as a lessee.of the new owner,and this Lease shall amended to become a sublease
under the same terms and conditions, provided that if the lease between Lessor and the new
owner terminates,at Lessee's option the Lessee's sublease shall become a lease between the new
owner and Lessee under the same terms and conditions. It is the intent of the parties that once a
new location is secured by Lessor, Lessee and.Lessor shall enter into a new lease agreement at
the new location, subject to approvals required by Lessee's City Council; provided, however,
that Lessee may, at Lessee's sole discretion,remain in its lease with the new owner."
All other terms and conditions of the Lease remain unchanged and in full force and

HEARING:
SUBJECT: Authorize Execution of Amendment to the Lease Agreement with Alliance For Children,
Incorporated To Extend the Lease Term at 908 Southland Avenue, Fort Worth, Texas
76104 being Used by the Fort Worth Police Department(COUNCIL DISTRICT 9)
RECOMMENDATION:
It is recommended that the City Council authorize execution of an amendment to the lease
agreement with Alliance For Children, Incorporated to extend the lease term at 908 Southland
Avenue, Fort Worth, Texas 76104 being used by the Fort Worth Police Department.
DISCUSSION:
On January 23, 2014, City Council approved the execution of a lease agreement between the City of
Fort Worth (City) and Alliance For Children, Incorporated (AFCI) for approximately 5,036 square feet
of office space located at 908 Southland Avenue, Fort Worth, Texas 76104 to be used by the Fort
Worth Police Department(FWPD) Crimes Against Children Unit.
The lease and renewals expired September 30, 2018 but continue in holdover status.
The City and AFCI desire to amend the lease to extend the term for three (3) years and provide for
two (2) one (1) year renewals. All other terms of the lease remain the same including the City's rent
payment of$2,500.00 per month with the Landlord bearing the cost for all utilities and maintenance of
the facility.
Approval of this Mayor and Council Communication authorizes the City Manager to amend the lease
to extend the term for three (3) years to terminate on September 30, 2020 with two(2) one (1) year
automatic renewals to terminate on September 30, 2023.
This property is located in COUNCIL DISTRICT 9.
FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that funds will be available in the Fiscal Year 2019 operating budget,
as appropriated, of the Crime Control and Prevention Fund. Prior to an expenditure being incurred,
the Police Department has the responsibility to verify the availability of funds. Future year
appropriations are subject to Mayor and Council approval.
