HomeMy WebLinkAboutContract 47516-R3A2 CITY SECRETARY CONTRACT NO. 471 b--1q, �a SECOND AMENDMENT AND THIRD RENEWAL OF CITY SECRETARY CONTRACT NUMBER 47516 A PROFESSIONAL SERVICES AGREEMENT FOR GOLF COURSE SOFTWARE THIS SECOND AMENDMENT AND THIRD RENEWAL OF CITY SECRETARY CONTRACT NUMBER 47516, as amended and renewed, ("Second Amendment and Third Renewal") is made and entered into by and between THE CITY OF FORT WORTH, a home-rule municipal corporation of the State of Texas ("City"), acting by and through its duly authorized Assistant City Manager, and PRO-SHOPKEEPER COMPUTER SOFTWARE CO. INC. d/b/a CLUB PROPHET SYSTEMS, a Pennsylvania corporation("Contractor"), acting by and through its duly authorized representative. WHEREAS, effective March 22, 2016, the City and Contractor entered into an agreement for golf course software, City Secretary Contract Number 47516 ("Agreement"); and WHEREAS, the Agreement provided for an initial one-year term from March 22, 2016 to March 23, 2017, which five optional one-year renewal periods; and WHEREAS, the City and Contractor executed the first renewal effective from March 22, 2017 to March 23, 2018, City Secretary Contract Number 47516-R2, which was identified as the second renewal term; and WHEREAS, the City and Contractor executed the second renewal effective from March 22, 2018 to March 23, 2019, City Secretary Contract Number 47516-R3, which was identified as the third renewal term; and WHEREAS, the City and Contractor amended the Agreement to add additional hardware and software Services for an increased fee to be paid to the Contractor, City Secretary Contract Number 47516-Al; and WHEREAS, the City and Contractor desire to renew the agreement for the third optional renewal term; and WHEREAS, the City and Contractor desire to amend the Agreement to correct the dates of the Initial Term and the Renewal Terms and clarify the number of renewal terms that have been exercised by the Parties; NOW, THEREFORE, the City and Contractor agree to amend and renew the Agreement as follows: I. Section 2 of the Agreement is amended to be and read as follows: This Agreement shall commence on March 22, 2016 ("Effective Date") and shall expire on March 21, 2017 ("Expiration Date"), unless terminated earlier in accord _ provision of this Agreement or otherwise extended by the parties. WORTH,TX { agreement may be renewed for up to five (5) one-year renewal terms at the City's option (each a "Renewal Term"). The City shall provide Contractor with written notice of its intent to renew at least thirty(30) days prior to the end of each term. The parties previously executed the first Renewal Term effective on March 22, 2017 and expiring on March 21, 2018. The parties previously executed the second Renewal Term effective on March 22, 2018 and expiring on March 21, 2019. The parties agree to exercise the third Renewal Term effective on March 22, 2019 and expiring on March 21,2020. II. 1. All other terms and conditions of the Agreement shall remain in full force and effect except as specifically set forth in this Second Amendment and Third Renewal. 2. All terms of this Second Amendment and Third Renewal that are capitalized but not defined shall have the meanings assigned to them in the Agreement. WPRU4 TX FORT WORTH MEMO TO RECORD TO: Contract File No. 47516 FROM: Vania Soto, City Secretary's Office DATE: May 20, 2019 SUBJECT: Memo about Numbering the Contracts for Pro-Shopkeeper (CSC No. 47516) Upon receiving the Second Amendment and Third Renewal of CSC No. 47516, we realized that the First Renewal and Second Renewal was numbered incorrectly on the document that was received by our office. The process that is normally done is to send it back to the department for the numbering to be corrected but in this case it was not caught in time. Therefore "Renewal No. 1" on the document states it is Renewal No. 2 and it is numbered as such. "Renewal No. 2" on the document states it is Renewal No. 3 so it was numbered as such. We have made notes online in parentheses that there was an error in the numbering and referring to the contracts that go along with it. As for the newest one we have received we have numbered is as CSC No. 47516-R3A2 and it will be listed as Renewal No. 3.
