INTERLOCAL AGREEMENT

This agreement is effective upon signature and shall be automatically renewed unless either party gives
sixty (60) days prior written notice of non-renewal. This agreement may be terminated with or without
cause by either party upon (60)days prior written notice, or may also be terminated for cause at anytime
upon written notice stating the reason for and effective date of such terminations and after giving the
affected party a thirty (30)day period to cure any breach.
Statement of Services to be Performed:
Authority for such services is granted under Government Code,Title 7,Chapter 791 lnterlocal
Cooperation Contracts, Subchapter B and Subchapter C,and Local Government Code, Title 8,Chapter
271,Subchapter F, Section 27 1.101 and Section 271.102. The purpose of this cooperative is to obtain
substantial savings for member school districts and public entities through volume purchasing.
Role of the Purchasing Cooperative
1. Provide for the organizational and administrative structure of the program.
2. Provide staff time necessary for efficient operation of the program.
3. Receive quantity requests from entities and prepare appropriate tally of quantities.
4. Initiate and implement activities related to the bidding and vendors selection process.
5. Provide members with procedures for ordering, delivery, and billing.
Role of the Participating Agency:
I. Commitment to participate in the program as indicated by an authorized signature in the
appropriate space below.
2. Designate a contact person for the cooperative.
3. Commit to purchase products and services that become part of the official products and services
list when it is in the best interest of the member entity.

5. Accept shipments of products ordered from vendors in accordance with standard purchasing
procedures.
6. Pay vendors in a timely manner for all goods and services received.
Authorization:
Region 14 Education Service Center and the National Cooperative Purchasing Alliance (NCPA) executed
a contract to provide cooperative purchasing opportunities to public and nonprofit agencies nationwide.

ADDENDUM TO INTERLOCAL AGREEMENT
BETWEEN
THE CITY OF FORT WORTH
AND
NATIONAL COOPERATIVE PURCHASING ALLIANCE
This Addendum to Interlocal Agreement ("Addendum") is entered into by and between
National Cooperative Purchasing Alliance Region 14 Educational Service Center ("NCPA") and
the City of Fort Worth("City"),collectively the"parties,"for the purchase of information services.
The Contract documents shall include the following:
l. The National Cooperative Purchasing Alliance Interlocal Agreement; and
2. This Addendum.
Notwithstanding any language to the contrary in the attached National Cooperative
Purchasing Alliance Interlocal Agreement (the "Agreement"), the Parties hereby stipulate by
evidence of execution of this Addendum below by a representative of each party duly authorized
to bind the parties hereto,that the parties hereby agree that the provisions in this Addendum below
shall be applicable to the Agreement as follows:
1. Addendum Controlling. If any provisions of the attached Agreement conflict with
the terms herein, are prohibited by applicable law, conflict with any applicable rule, regulation or
ordinance of City, the terms in this Addendum shall control.
2. Payments. While nothing in this Agreement is to be construed as an obligation of
City funds, City and NCPA agree that each party paying for the performance of governmental
functions or services shall make those payments from current revenues available to the paying
party. City and NCPA further agree that any contractual payments made pursuant to this
Agreement shall be in an amount that fairly compensates the performing party for the services or
functions performed.
3. Indemnity. To the extent the Agreement requires City to indemnify or hold NCPA
or any third party harmless from damages of any kind or character, City objects to these terms and
any such terms are hereby deleted from the Agreement and shall have no force or effect.
4. No Boycott of Israel. NCPA acknowledges that in accordance with Chapter 2270
of the Texas Government Code, City is prohibited from entering into a contract with a company
for goods or services unless the contract contains a written verification from the company that it:
(1) does not boycott Israel; and (2) will not boycott Israel during the term of the contract. The
terms "boycott Israel" and "company" shall have the meanings ascribed to those terms in Section
808.001 of the Texas Government Code. By signing this Addendum, NCPA certifies that
NCPA's signature provides written verification to City that NCPA: (1) does not boycott Israel;
and(2) will not boycott Israel during the term of the Agreement.

5. Right to Audit. NCPA agrees that City shall, until the expiration of three (3)years
after final payment under the Agreement, have access to and the right to examine any directly
pertinent books, documents, papers and records of NPCA involving transactions relating to the
Agreement.NCPA agrees that City shall have access during normal working hours to all necessary
NCPA facilities and shall be provided adequate and appropriate workspace in order to conduct
audits in compliance with the provisions of this section. City shall give NCPA reasonable advance
notice of intended audits.
