CHAMPIONSHIP SHOW This AMENDMENT TO CITY SECRETARY CONTRACT NO. 35744 ("Amendment') is made and entered into by and between the City of Fort Worth ("Licensor"), a home-rule municipal corporation, acting herein through its duly authorized Assistant City Manager, and Region 9 AHA, INC. CHAMPIONSHIP SHOW("Licensee"), acting herein by and through its Director. WHEREAS, on September 5, 2007, Licensor and Licensee entered into City Secretary Contract No. 35744 (the "Contract") for the purpose holding the Region 9 AHA, Inc. Championship Show (the"Event')at certain facilities in the Will Rogers Memorial Complex; WHEREAS, certain dates for the Year 2012 Event have been modified; WHEREAS, the parties wish to add the new Equestrian Multi-purpose Building to the list of Facilities for the Year 2012 Event and provide for the rental rate schedule for the new Equestrian Mulit- purpose Building; WHEREAS, it is the mutual desire of Licensor and Licensee to amend the Contract to (1) modify the event dates for the Year 2012 Event, (2) add the new Equestrian Multi-purpose Building to the list of Facilities for the Year 2012 Event, and (3) provide for the rental rate schedule for the Equestrian Multi-purpose Building. NOW,THEREFORE, KNOW ALL PERSONS BY THESE PRESENTS That Licensor and Licensee for and in good and valuable consideration of the mutual conventants and agreements contained herein, do mutually covenant and agree that the Contract is hereby amended as follows: 1. Addendum A, SHOW DATES BEYOND 2010, YEAR 2012 shall be amended for the purpose of modifying certain Event dates for the Year 2012 Event and to add the Equestrian Multi-purpose Building to the list of Facilities. Addendum A, SHOW DATES BEYOND 2010, YEAR 2012 shall be amended to read as follows: YEAR 2012 a. June 5--Set Up • Will Ropers Coliseum (including base dirt) • Burnett Building Includes all stalls, Vet Clinic, office areas, exercise area and cattle pens if needed. • Richardson-Bass Building Includes all stalls, John Justin Arena, James L. and Eunice West Arena, Brown- Lupton Exhibits Area, Coburn Room, all available meeting rooms and office areas. • Charlie and Kit Moncrief Building Includes all stalls and exercise area only. June 7-10 and June 13-16-Show Dates Will Rogers Coliseum • Burnett Building Includes all stalls,Vet Clinic, office areas, exercise area and cattle pens if needed. • Richardson-Bass Buildinq Includes all stalls,John Justin Arena, James L. and Eunice West Arena, Brown- Lupton Exhibits Area, Coburn Room,all available meeting rooms and office areas. • Charlie and Kit Moncrief Buildinq Includes all stalls and exercise area. W. R. Watt Arena, all meeting rooms and office areas are not available until 7:00 a.m. on Monday, June 11, 2012. • Equestrian Multi-Purpose Buildinq Includes all stalls and Exercise Arenas. e. June 17—Move Out Must Be Completed by 5:00 p.m. • Will Rogers Coliseum • Burnett Buildinq Includes all stalls,Vet Clinic, office areas, exercise area and cattle pens if needed. • Richardson-Bass Buildinq Includes all stalls, John Justin Arena, James L. and Eunice West Arena, Brown- Lupton Exhibits Area, Coburn Room, all available meeting rooms and office areas. • Charlie and Kit Moncrief Buildinq Includes all portable stalls in stall area,W. R.Watt Arena, exercise area, all meeting rooms and office areas. • Equestrian Multi-Purpose Buildinq Includes all stalls and Exercise Arenas. 2. Addendum A, RENTAL RATE SCHEDULE is hereby amended to add a new subsection, Subsection m., which sets forth the rental rate schedule for the new Equestrian Multi-purpose Building. Subsection m. of Addendum A, RENTAL RATE SCHEDULE, shall read as follows: M. RENTAL RATE SCHEDULE a. Equestrian Multi-Purpose Exercise Arenas • $500 -per Exercise Day Amendment to CSC 35744 Page 2 of 3 • $1,000 -per Exercise Day(if fewer than 800 city-owned stalls are rented) b. Equestrian Multi-Purpose Stalls • $45-per stall used • There will be a$15.00 per stall per day early move-in fee for each stall occupied prior to 8:00 a.m. on the first move-in day of each respective year contracted. 3. All terms in this Amendment that are capitalized but not defined shall have the meanings assigned to them in this Amendment. 4. All terms and conditions of the Contract that are not expressly amended pursuant to this Amendment shall remain in full force and effect. 5. This Amendment may be executed in several counterparts, each of which will be deemed an original, but all of which together will constitute one and the same instrument. A signature received via facsimile or electronically via email shall be as legally binding for all purposes as an original signature.
