(CSO #42492) WHEREAS, the City of Fort Worth, a Texas home rule municipal corporation("Lessee") entered into a Lease Agreement ("Lease") (City Secretary Contract No. 42492) effective as of October 1,2011,with Town Center Mall,L.P., a Texas Corporation("Lessor")for leased premises known as Suite 2495, located at 4200 S. Freeway, Fort Worth, Texas, 76115, more particularly described in the Lease ("Premises); WHEREAS, that certain Lease was amended (City Secretary Contract No. 42492-A1) to extend the Term of the lease for five years and to set rents; WHEREAS, the Term of the Lease will expire effective August 31, 2019; and WHEREAS, the Lessee and Lessor desire to amend the Lease to extend the Term by five (5) years and one (1)month to expire September 30,2024; to set Rent for the extended Term; and to add a termination provision granting Lessee and Lessor the right to terminate the Lease for any reason by providing the other party a 180-day written notice; NOW THEREFORE, in consideration of the terms outlined below and set forth in the Lease,the parties agree to amend the Lease as follows: I. TERM OF LEASE: The Term of the Lease shall be extended for five (5) years and one (1) month for a total term of thirteen(13) years. The Term began on October 1, 2011, and continued through August 31, 2019, and shall now expire on September 30, 2024. 11. The parties agree that the following section is hereby added to the Lease: "42. TERMINATION FOR ANY REASON WITH 180 DAY NOTICE. Regardless of anything contained in the Lease to the contrary, Lessee or Lessor shall each have the right to terminate this Lease at any time for any reason by giving the other party 180 days' written notice prior to the intended termination date. If this Lease is terminated under this Section, or as a result of the expiration of the Lease Term or any renewal period, neither party shall have any further obligation or liability to the other under this Lease. Lessor and Lessee shall be bound by the terms, covenants and conditions expressed herein until Lessee surrenders the Premises, regardless of whether the date of surrender coincides with the date of termination of the Lease." DISCUSSION: On January 26, 2016 (M&C L-15856), City Council approved the execution of the First Amendment to a lease with Town Center Mall, L.P. (Landlord)for office space known as Suite 2495, located at 4200 South Freeway, Fort Worth, Texas. The current lease (City Secretary Contract No. 42492-A1) includes 1866 square feet of office space for use by Park and Recreation Department administrative staff. The lease expires on August 31, 2019. Staff negotiated a Second Amendment to the lease to provide for an extended term of five (5) years and one (1) month to correspond with the expiration date of other City leases in LaGran Plaza, to set annual rent for this suite, and to add a 180-day termination provision for either party. Annual rent for Fiscal Year 2020 is $26,179.98 and will increase at two (2) percent each year. The rent rate is comparable with current market rents. This property is located in Council District 9. FISCAL INFORMATION/CERTIFICATION: The Director of Finance certifies that upon approval of the above recommendation, funds are available in the operating budget, as appropriated, of the General Fund for the Park and Recreation Department.
