TERM Lease: Commencement or this agreement is the inceptlo,i date of the lease. The term of this agreement is the same as the term of the lease unless otherwise stated on the face of this contract No Lease: Commencement of this agreement is the riate of delivery of the equipment The terms of this agreement are 12 months unless otherwise specified on the face of the contract. Unless ratified in wnting sody(60)days prior to the expiration dale hereof by the customer or Dales lridustnes,this maintenance agreement shall be automatically renewed for the same suncessive period or time uF on the same terms and conditions as stated herein and shall be subject to any priceirate increase necessary to conform to the then Dahill Industries rates(not to(xceed 10%per year)and at any twelve(12)month interval thereafter 2. CANCELLATION This agreement may not be transferred if the equioment is sold or title is transferred.This agreement is non-cancelable or refundable. 3 BREACH OR DEFAULT If the customer does not pay all charges for maintenance or parts as provided hereunder,promptly when due:Dahill Industries may(a)refuse to service the equipment or(b)Furnish service on a C.O.D.'Per Call'basis at published rates. As equipment sold by Dahill Industries is designed Io give excellent performance when operated within the following guidelines: (1) Machines must;oe placed in a normal office setting free from excessive dust,humidity,temperature and ammonia fumes (2) Machines must bit operated on an isolated electrical line(A so noted on reverse side of this documerit). (3) Mach nes should be operated within the specified volume limitations. (4) Only supplies within mamdacturer required specifications should be used If the customer operates any tradhine oinlstde the above listed guidelines and thereby muses abnormally frequent service calls or service problems,then Oandl Industries may at its option.terminate'his agreement immediately.In that evert,the customer will be offered service on a per tail'basis at published rates 4 RELOCATION Buyer agrees not to relocate the etnapmenl subject to the Maintenance Agreement portion of this agreement outside of Dalai Industries servicing area and in the event of such relocation Buyer agrees that this agreement shah be deemed terminated by Buyer and Buyer agrees to pay balance remaining on agreement 5 NO WARRANTY Other than the obligations set forth herein,DAHILL INDUSTRIES DISCLAIMS ALL WARRANTIES,EXPRESS OR IMPLIED.INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY,FITNESS FOR USE OR FITNESS FOR A PARTICULAR PURPOSE DAHILL INDUSTRIES SHALL NOT BE 1 RESPONSIBLE FOR 9"teef.INCIDENTAL OR CONSEQUENTIAL DAMAGES INCLUDING BUT NOT LIMITED TO,DAMAGES ARISING OUT OF THE USE OR PERFORMANCE OF THE EQUIPMENT OR THE LOSS OF USE OF THE EQUIPMENT AND CUSTOMER HEREBY WAIVES ANY CLAIMS THEREBY. ASSIGNMENT No assignment of any rights 9nereunder shall be valid as to either party unless consented to in writing in advance by same e. COMPLETE AGREEMENT Buyer sper9fically,agrees that NO OTHER representations,oonstifutiornt or wairanties other than those set speafically in writing hereon have been made or have been retied on in the maahrg of this agreement. 9 RECONDITIONING This agreement does not include:In shop reconditioning or overhauling that requires major disassembly.The replacement of trays,doors&covers caused by accident or misuse.The repairs necessitated by the use of toner not consistent with the model copier listed on reverse side. 10. CHARGES The initial charge for maintenance under this agreement shag be the amount set forth as the Rate-on the reversed side hereof.The maintenance charges with respect to any renewal term will be Dahill Industries charge in effect at the time of renewal.Customer agrees to pay the total of as charges for maintenance during the Initial term and any renewal term within 10 days of the date of Dahill Industries invoice for such charges.Customer understands that alterations.Attachments or specification Charges may require an increase in maintenance charges and agrees to pay such promptly when due.Dahill Industries is hereby authorized to offset any past balance against amounts due Customer at termination.CUSTOMER AGREES THAT,SHOULD THEY HAVE ANY PAST DUE BALANCES WITH DAHILL INDUSTRIES FOR ANY REASON,SERVICE UNDER THIS AGREEMENT WILL BE SUSPENDED UNTIL SUCH PAST DUE BALANCES SHALL HAVE BEEN SATISFIED. If Dahill Industries does not receive the current month copy count,the current month Maintenance Agreement charges will be estimated. 11. SERVICE HOURS In the event service is requested by the customer other then 8:00-5:00 Monday-Friday,it will be provided,if avadeble with forty eight hour prior notice,subject to the following rates.Service performed on Saturday between 8:00 a.m.and 5 00 p.m.,will be at one and one-half times the prevalling hourly rate.Service performed after 5:00 p.m.to midnight,Sunday and holidays will be charged twice the hourly rate. 12. CONNECTED COPIER/PRINTERS Connected equipment will be covered up to the computertnetwork connection Service calls produced by computertnetwork problems may be tilled at current published rate. P,. .t
