AN ORDINANCE PROVIDING FOR THE INSTALLATION, OPERATION AND
MAINTENANCE OF A HIGHWAY-RAILROAD GRADE CROSSING PROTECTION
DEVICE ON WHITE SETTLEMENT ROAD MERE SAID STREET CROSSES -
THE LINE OF THE ST. LOUIS, SAN FRANCISCO AND TEXAS RAILWAY
COMPANY IN THE CITY OF FORT WORTHS TEXAS, AND AUTHORIZING
THE MAYOR OF THE CITY TO EXECUTE AND THE CITY SECRETARY TO
AFFIX THE CORPORATE SEAL AND ATTEST THE SAME, A CERTAIN CON-
TRACT BETWEEN THE CITY, THE STATE OF TEXAS AND THE RAILROAD
COMPANY FOR THE INSTALLATION, CONSTRUCTION AND MAINTENANCE
OF SAID PROTECTION DEVICE PROJECT; FOR THE PAYMENT BY THE
STATE OF TEXAS OF THE CONSTRUCTION COSTS OF SAID PROTECTION
DEVICE PROJECT; FOR THE INDEMNITY BY THE CITY OF ALL DAMAGES
TO ADJOINING, ABUTTING AND OTHER PROPERTY, INCIDENT TO AND
ARISING OUT OF THE CONSTRUCTION AND INSTALLATION OF SAID PRO-
TECTION DEVICE PROJECT; AND DECLARING AN EMERGENCY AND PROVID-
ING THAT THIS ORDINANCE SHALL BE EFFECTIVE FROM AND AFTER ITS
PASSAGE.
WHEREAS, the public convenience, safety and necessity of the City,
and the people of the City require that the protection device project be in-
stalled where White Settlement Road crosses the track of the St. Louis, San
Francisco and Texas Railway Company in the City of Fort Worth, Texas, since
the existing railroad grade crossing constitutes a danger and serious incon-
venience to the public which is urgently required to be remedied and the only
practical remedy is that of installing a highway-railroad grade crossing pro-
tection device; and
WHEREAS, the City has requested the State of Texas to contribute
financial aid in the installation of the protection device project; and
'WHEREAS, the State of Texas has made it known to the City that it
will assist the City in the installation of the protection device project
by furnishing the necessary funds for the actual construction and by super-
vising construction, providing the City approves the plans for said protec-
tion device; and
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL:
Section 1. That since the public convenience, safety and necessity
of the City and the people of the City require it, a highway-railroad grade
crossing protection device project shall be installed where White Settle-
ment Road crosses -the track of the St. Louis, San Francisco and Texas Rail-
way Company in the City.

Section 2. That the State of Texas be and is hereby authorized
to construct or to have constructed the protection device project at the
location and in the manner as shown on the plans attached hereto and marked
"Exhibit All and made a part hereof in all respects and approved changes
thereof.
Section 3. That nothing in this ordinance shall be construed to
obligate the State of Texas or said Railroad Company to pay any direct,
incidental or consequential damages to adjoining, abutting or other prop—
erty caused by, incidental to, or in any Way connected with the enforcement
of this ordinance and,/or by the installation and construction of the pro—
tection device project herein.
Section 4. For and in consideration of the mutual covenants here—
in contained, the City does hereby agree to indemnify and save harmless
the State of Texas and said Railroad Company from all damages and claims
for damages to adjoining, abutting or other property, arising out of, in—
cident to, or in any Way connected with the installation and construction
of said protection device project for which they are liable, and shall, if
requested in writing by either the State of Texas or the Railroad Company,
relieve it from defending suits for such damages.
Section 5. That the Mayor of the City be and is hereby authorized
to execute for and on behalf of the City an agreement and contract with
the State of Texas and said Railroad Company in accordance with and for
the purpose of carrying out the terms and provisions of this ordinance in
the form attached hereto and marked Exhibit "C". The. City Secretary is
hereby directed to attest the agreement and contract and to affix the proper
seal of the City thereto.
Section 6. That the Railroad Company shall maintain said protec—
tion device project.
Section 7. That the Mayor of the City, having requested in writ—
ing that this ordinance take effect forthwith and there being in fact an
emergency and imperative public necessity that the work herein provided
for be begun and carried out promptly and with expedition, and that the
contract aforesaid shall be immediately made, executed and delivered to
the end that such work herein provided for may be begun and carried out
promptly and with expedition. The reading of the ordinance on three several
days is hereby dispensed with and the same shall be in full force and effect
from and after its passage.

That the following is a full, true and complete
copy of a resolution adopted by the Hoard of Directors of ST. LOUIS,
SAN FRANCISCO AND TEXAS RAILWAY COMPANY at a meeting held in Port
Worth, Texas, on January 249 19399 at which a quorum was present and
acting throughout, and of record in book No. 2, page 227 of the min-
utes of the meeting, to wits
On motion, duly made and seconded, the following resolu-
tion was unanimously adopted:
"RESOLVED, That the President and Vice Presidents
of this Compe.ny, or either of them, be and they hereby
are authorized in behalf of this Company to enter into
W contract they deem advisable with the State of Texas
or the State Highway Department of the State of Texas
for grade separation projects, signal devioes, relectorized
arose buck, easementsl ostossing or any other similar agree-
ments affecting this Company; and said President, Vice-
Presidents of this Company, or either of them are likewise
fully authorised and empowered to sign any and all such
contracts and when so signed in behalf of this Company same
shall be binding upon the Company► according to the terms
thereof.'
IN WITNESS WHEREOF, I have hereunto set my hand and affixed
the corporate seal of said ST. LOUIS, SAN FRANCISCO AND TEXAS RAILWAY
COMPANY, at Dort Worth, Texas, this fourth day of ftbruary, 1939.
