Jca foS RAG 5 2©\g K MEMORANDUM OF UNDERSTANDING t� t 0� C�CSc��P�Y City of Fort Worth University of North Texas Health Science Center at Fort Worth Texas Christian University THIS MEMORANDUM OF UNDERSTANDING("MOU") is made this 7 day of A 2019, by and between the City of Fort Worth ("the City"), a home rule municipal corporation organized under the laws of the State of Texas., Texas Christian University, ("TCU") a private institution of higher education having a business address of 2800 S. University Dr., Fort Worth, Texas 76109 and the University of North Texas Health Science Center at Fort Worth("UNTHSC),a Texas institution of higher education having a business address of 3500 Camp Bowie Blvd, Fort Worth,Texas 76107. WHEREAS, the City, TCU and UNTHSC desire to promote and facilitate entrepreneurship in Fort Worth and Tarrant County; WHEREAS, the City, TCU and UNTHSC believe that leveraging expertise and tools available from SourceLink®will help create a richer entrepreneurial ecosystem in Fort Worth; WHEREAS,the City,TCU and UNTHSC agree to cooperate in the implementation of SourceLink®tools as intended in this MOU. NOW THEREFORE, in consideration of the mutual promises set forth herein,the City, TCU and UNTHSC agree as follows: 1. The City,TCU and UNTHSC agree to independently obligate resources to implement the SourceLink® Entrepreneurial Ecosystem Development Plan outlined in the proposal attached as Exhibit A and as modified as indicated in Exhibit B("the Plan"). 2. The specific resource contributions by each party for the term of this MOU are detailed in Exhibit C Each party acknowledges the sufficiency of the consideration exchanged in this MOU and no other exchange of funds between or among the City, TCU or UNTHSC is implied or intended without a separate written agreement to govern such activity. 3. UNTHSC will assume the primary role of implementing the Plan and utilizing the SourceLink®tools. UNTHSC agrees to keep the City and TCU informed on progress and utilization ("Updates"). This MOU shall not preclude a party from bidding or contracting independently from the others on any sponsor or other foundation, industry, or government agency program which may develop or arise in the general area of activity related to this MOU or in any other area. 5. Each party has sole responsibility for its own operations and functions. Nothing in this MOU shall limit the authority of a party to oversee the conduct of its own personnel. This MOU does not restrict a party in the execution of any statutory responsibilities;or in its rights to enter into agreements with other entities. 6. The personnel of each party shall remain at all times the employee of each respective party. Each respective party shall be responsible for the salary and fringe benefits of its personnel and will be responsible for making all appropriate payroll deductions for its personnel as required by law. For no purposes will the personnel be considered an employee of any other party.This MOU is not intended to and does not create an agency, joint venture, joint enterprise, partnership or other similar relationship between the parties. 7. In addition to complying with the Texas Public Information Act, each party commits to public release of non-confidential publicly available information related to activities under this MOU. Publicity for purposes of describing and promoting activities will be the responsibility of UNTHSC. 8. Each party reserves the right to control the use of its copyrighted materials, symbols, trademarks, service marks and other proprietary rights presently existing or hereafter established. Each party agrees that it will not use such works, symbols, trademarks, service marks, or other devices in advertising, promotional materials or otherwise and that it will not advertise or display such devices without consulting with the other parties and receiving prior written consent. 9. The term of this MOU shall commence on the Effective Date, and terminate on the expiration of a five-year period from that date. The City, TCU and UNTHSC will review participation annually. Notwithstanding any other provisions in this MOU,a party may terminate this MOU at any time,with or without cause, upon one hundred eighty(180) days prior written notice to the other parties. 10. No party shall assign this MOU or any rights or obligations hereunder without the express written consent of the other parties. 11. This MOU and the rights and remedies of the parties arising out of or relating to this MOU shall be governed solely in accordance with the laws of the State of Texas without regard to its conflict of law principles. 12. This Agreement sets forth the entire understanding of the parties, and it supersedes all prior agreements and understandings between the parties with regard to the subject matter herein. Since our launch in 2003, we have helped over 100 communities develop their own unique recipe from SourceLink base components to identify and connect entrepreneurial resources,engaging them and their constituent entrepreneurs in a process of continuous improvement and delivering economic impact. Over time,we have built a successful roadmap that communities of all sizes have put to successful use. UNT Health Science Center and Texas Christian University can help Ft.Worth grow by identifying and mobilizing resources to the areas of need. It starts with identifying assets available to support entrepreneurs,and then connecting them to entrepreneurs and to each other.Building in a feedback loop by collecting information from the entrepreneurs and the resource providers helps focus efforts where needed and brings to light gaps in services. By operating a central"hub"for the ecosystem,you can learn what resources are in most demand,what kinds of businesses are being developed,and what is missing. Beginning with simple outreach and promotion,a network can become more effective as it engages,listens, responds and collaborates to solve problems and fill gaps within the entrepreneurial ecosystem. i it it -4" SourceLink suggests that you start by building a strong network of resources.We can help you build your network,activate it,and leverage the network for meaningful entrepreneurial impact.Most communities work through a three-step process to build their ecosystem: Build the network. This includes identification of resource organizations that serve owners in your community.Through our SourceLink methodology,we will help you build on the foundation of resources already identified in your region. We can move with you as quickly as needed or spend more time laying the groundwork.Typical implementations evolve over a three- year period. We offer both a`foundational"and"enterprise"set of tools and services to support your development We suggest that the foundational tool set is necessary and that enterprise tools can be used as add-ons to Improve your system.We can work with you to plug and play as needed. SourceLink will work with you to determine the best way to leverage the current Resource Navigator•smart search database technology currently available on the TCU website. Foundational Ecosystem Toolkit Technology License SourceLink will continue to support and empower Ft.Worth with the SourceLink technology platform that includes The Resource Navigator,SiteConnex website,and SourceLink Pro reporting system. Annual Progress Report The second annual report will build on data collected in year one. Share your progress with the community and key stakeholders. Year 2 Recommended Success Measures In addition to the data collected and reported on during the first year,this is the time that your community should be able to track business startups,sales and employment counts.You will be able to identify common struggles facing your entrepreneurs as well as most utilized resources and can work strategically toward partner coalitions to address systemic obstacles. Critical data points at the end of the second year can include: • Gap reports • Entrepreneurial activity snapshots and interactions • Partner engagement and collaboration • Funding resources • Jobs,starts,debt/equity infusion,sales Year III:Leveraging the Network By the third full year of system usage,your resource network should be well acquainted,entrepreneurs should be informed about available resources,and your focus as an entrepreneurial ecosystem building champion can shift to collaboration outcomes and how you are doing meeting systemic entrepreneur community challenges. Global Entrepreneurship Week(GEW) GEW is the world's largest celebration of innovators and job creators.With SourceLink guidance, you can have a comprehensive listing of all of the events taking place in your community for entrepreneurs to be able to find and attend.When coupled with SiteConnex additional benefits like registration and owner attendance data may be captured. 9 1 P a g e Memorandum of Understanding TCU, City of Fort Worth& UNTHSC Page 12 of 15 Exhibit B Implementation Modifications to SourceLink®Proposal • Since the Resource Navigator Smart Search Database("Resource Navigator")as listed on page 2 of Exhibit A is already in place, it will not need to be built.TCU agrees to work with the UNTHSC to allow access and release control of the existing assets in the Resource Navigator Smart Search Database that they have collected.TCU may still use the Resource Navigator on appropriate websites and for their students where appropriate,as long as it complies with SourceLink and UNTHSC guidelines. • Regarding footnote in Exhibit A referencing the Scope of Work(the final page of Exhibit A),the license agreement has already been signed and executed between UNTHSC and SourceLink within the appropriate timeframe. • Regarding the"Assumptions—LINT Health Science Center and TCU will:"section on page 7 of Appendix A,the following modifications will be made: o The UNTHSC will execute the license with SourceLink. o The UNTHSC will be responsible for future collaboration with Dallas and their version of Resource Navigator. o The UNTHSC will hire a full time Network Builder. o The UNTHSC may hire a Network Navigator to manage hot-line and email inquiries once the program is up and running. o Existing marketing staff will be leveraged to promote SourceLink. • As a part of the"Three Year Investment"on page 7 of Appendix A, all travel costs for the Network Builder and Network Navigator will be the responsibility of the UNTHSC. • The UNTHSC is already under a separate contract with SourceLink to create the We Create Jobs Report as indicated on page 8 of Appendix A. • The UNTHSC and other resource partners, including TCU and the City of Fort Worth, led Fort Worth's Global Entrepreneurship Week in 2018,as indicated on page 8 of Appendix A. • The Scope of Work, as indicated in the footnote at the bottom of page 12 of Appendix A,will be extended until this agreement is signed. Memorandum of Understanding TCU, City of Fort Worth&UNTHSC Page 13 of 15 Exhibit C Specific Resource Contributions by Each Party UNTHSC • The UNTHSC's Department of Research Development and Commercialization will contribute $15,000 in the first year of the SourceLink agreement in order to purchase the SourceLink Foundational Ecosystem Toolkit software tools outlined on page 7 of Appendix A.This payment has already been completed by UNTHSC. • The UNTHSC will negotiate, execute and hold the license for the SourceLink Foundational Ecosystem Toolkit as outlined on page 7 of Appendix A. • The UNTHSC will initially hire one full time employee(Network Builder)who will implement and oversee the SourceLink program in Fort Worth.The UNTHSC will cover the costs of salary and benefits for this person as well as office space and other associated overhead.A small operating budget that will include travel costs will also be contributed by the UNTHSC. • A second employee(Network Navigator)position could be added to the SourceLink team at a later date at the sole discretion of UNTHSC.The salary, benefits, overhead and other costs will be covered by the UNTHSC. City of Fort Worth • The City of Fort Worth will contribute$25,000 in the first year of this agreement to purchase the SourceLink Foundational Ecosystem Toolkit software tools as outlined on page 7 of Appendix A. UNTHSC will upfront the cost of the first year contribution and will be reimbursed by the City through the UNTHSC Technology&Commercialization grant received from the State of Texas. • The City of Fort Worth agrees to contribute$14,000 in both the second and third years of the agreement with SourceLink subject to appropriation of the grant funds by the State of Texas. If the grant funds are not appropriated,the City will have no obligation to fund the second and third year contributions for the program. • Per Table C1 below, payments from the City of Fort Worth will be completed on or before September is`in each of the three years for which payments will be made • The City of Fort Worth will provide any relevant data and expertise to assist in the data collection efforts as outlined above. TCU • This agreement recognizes that TCU has already contributed several years of funding to bringing the Resource Navigator software to Fort Worth and for maintaining its license.TCU has already contributed around$40,000 to this effort to date. • Upon execution of the license agreement between SourceLink and UNTHSC,TCU will cancel its license agreement with SourceLink and the University of Missouri Kansas City.TCU will cancel its license upon signing of a license cancellation letter with SourceLink. • TCU will contribute an additional$15,000 to purchase the SourceLink Foundational Ecosystem Toolkit software tools outlined on page 7 of Appendix A. • Per Table C1 below, payment from TCU will be completed on or before September V, 2019 • TCU will also support this effort to collect data and refer entrepreneurs to the SourceLink team in Fort Worth.
