Re: Letter Agreement Extending the Term of City of Fort Worth Bid 14-0073 by Six Months for
the sole Purpose of Storage, Delivery, and Invoicing
Ms. Miosi,
As you are aware, since 2014 the City of Fort Worth (" City") and Brodart Co. ("Brodart") have
been parties to an agreement for the purchase, storage, and delivery of the City's Opening Day
Collection ("ODC") for a new library location, that agreement being known as Fort Worth Bid
14-0073, as renewed ( such agreement, amendments, and renewals referred to collectively as
the" Contract"). The Contract is set to expire on September 23, 2019 ("Original Expiration
Date").
However, due to circumstances outside of the Parties' control, the City does not anticipate being
able to accept delivery of the ODC on or before the Original Expiration Date. Because these
books must be stored in climate-controlled facilities, the City approached Brodart to determine
whether Brodart would continue to store the ODC and deliver it to the City on a date following
the Original Expiration Date. Brodart has agreed to provide the additional storage at no cost to
the City.
The City appreciates Brodart's assistance in storing and delivering the ODC after the Original
Expiration Date. To memorialize this Agreement, the City and Brodart hereby enter into this
Letter Agreement to extend the term of the Contract until January 2, 2020 ("New Expiration
Date") for the sole purpose of being able to receive delivery after the Original Expiration Date
and to pay invoices for the ODC thereafter. The costs included in the invoice are for books and
materials and related services allowed under the Contract ordered by the City prior to but
delivered after the Original Expiration Date. City will not order any additional books or materials
under the Contract past the Original Expiration Date, and the City will only pay for books and
materials received from Brodart for orders that were placed prior to the Original Expiration Date.
Brodart agrees to store the ODC in its facilities until the City requests delivery, which may occur
in one or a series of deliveries, at no additional cost to the City. The City will provide Brodart at
least thirty days' written notice before the first delivery date.

After delivery, Brodart will invoice the City and the City will pay Brodart in accordance with the
Contract. All other terms and conditions of the Contract remain the same.
A signature received via facsimile or electronically via email shall be as legally binding for all
purposes as an original signature. The person signing this Letter Agreement hereby warrants that
he or she has the legal authority to execute this Letter Agreement on behalf of his or her
respective Party, and that such binding authority has been granted by proper order, resolution,
ordinance, or other authorization of the entity. The other Party is fully entitled to rely on this
warranty and representation in entering into this Letter Agreement.
