�i► FIRST AMENDMENT TO OFFICE LEASE AGREEMENT

THE CITY OF FORT WORTH,TEXAS
This First Amendment to Office Lease Agreement("First Amendment") is entered into by
and between SUNDANCE SQUARE PARTNERS, L.P., a Texas limited partnership ("Landlord"), and
THE CITY OF FORT WORTH,TEXAS,a Texas home-ruled municipal corporation("Tenant"),as of the
,?6�Z_day 04 VVO17("First Amendment Effective Date").
RECITALS
A. Pursuant to that certain Office Lease Agreement ("Lease") dated February 4, 2008,
by and between Landlord and Tenant,Tenant leases from Landlord the approximately 19,804 square
feet of Rentable Area ("Leased Premises") consisting of the entirety of the Press Building
(`Building") located at 501 Jones Street on Block 88, Original City Addition to the City of Fort
Worth,Tarrant County,Texas.
B. Landlord and Tenant desire to amend the Lease to, among other things, extend the
Term of the Lease,on the terms and conditions set forth in this First Amendment.
AGREEMENT
In consideration of the mutual covenants set forth in this First Amendment and other good
and valuable consideration, the receipt and sufficiency of which are acknowledged, Landlord and
Tenant agree as follows:
1. Renewal and Extension of Term. Section 2 of the Lease is amended to provide that
the Term of the Lease is extended for an additional sixty(60)months,commencing on May 1,2017
and expiring April 30,2022("First Renewal Term").
2. Base Rent,Base Index,and Base Year.Base Rent for the First Renewal Term shall
continue to be $15.00 per square foot of Rentable Area of the Leased Premises per year, comprised
of a"Fixed Rent Component"of$5.00 and a"Variable Maintenance Component"of$10.00,which
is subject to escalation as set forth in Section 4.B.of the Lease,with no change in the Base Index or
the Base Year; provided, however, the "Consumer Price Index" is amended to mean the Consumer
Price Index for All Urban Consumers for Dallas Fort Worth, Texas: All items, published by the
Bureau of Labor Statistics,United States Department of Labor.
3. No Tenant Improvements. Tenant accepts the Leased Premises for the First
Renewal Term in its current"AS IS" condition with Landlord having no obligation to provide any
tenant improvements or any tenant improvement allowance.
4. Renewal Option. Section 38 of the Lease Rider is amended in its entirety to read as
follows:
"SECTION 38. RENEWAL OPTION. Provided there has been no Event of Default by Tenant
J under this Lease during the First Renewal Term, Tenant shall have an option to renew the
Lease for an additional sixty (60) months ("Second Renewal Tenn") commencing upon the
2�? expiration of the First Renewal Term. To exercise this renewal option, Tenant must give
Landlord written notice of its election to renew at least six (6) months, but no more than
-». twelve (12)months,prior to the expiration of the First Renewal Term. All of the terms and
conditions of this Lease applicable to the First Renewal Term shall apply to the Second
GRenewal Term except that the Base Rent,Base Index,and Base Year for the Second Renewal
Term shall be adjusted to the then current amount being charged by Landlord to new and
renewing tenants for comparable space in the Building,taking into consideration the size and
location of the leased space,length of the term,brokerage commissions,tenant improvement
allowances,and any other tenant inducements."
5. No Brokers. Tenant represents and warrants that it has dealt with no broker, agent
or other person in connection with this First Amendment. The provisions of this Paragraph 5 shall
survive the expiration or earlier termination of the Lease.
6. Miscellaneous. Landlord and Tenant each represent and warrant that each has full
authority to execute this First Amendment. All capitalized words not expressly defined in this First
Amendment have the same meaning assigned to such corresponding defined terms in the Lease. The
paragraph headings in this First Amendment are for convenience only and do not modify, define,
limit, or expand the express provisions of this First Amendment. Except as amended and
supplemented by this First Amendment, all of the terms and conditions of the Lease are ratified and
confirmed and remain in full force and effect. In the event of a discrepaFOFFICIAL
