RE: Termination of Automated Red Light Program Services Contract and
Right of Way Use Agreement
Dear Ms. Burghdoff:
Reference is made to the Automated Red Light Program Services Contract and
Right of Way Use Agreement by and between American Traffic Solutions, Inc., doing
business as Verra Mobility ("Verra Mobility") and the City of Fort Worth,Texas (the"City")
dated as of August 15, 2007 (the"Agreement"). This Letter memorializes the procedures
to wind down the City's red light photo enforcement program (the "Program").
Capitalized terms used in this letter and not otherwise defined shall have the meaning
ascribed to such terms in the Agreement.
Pursuant to the instruction provided by the City and in accordance with the City's
letter dated May 23, 20191, Verra Mobility began its internal processes to wind down the
City's Program including:
• Disabling all Contractor Systems within the City limit;
• Ceasing the processing of all Events in the Axsis Violation Processing System
(the "Axsis System") and terminating the access and functionality of
violation info.com and all payment portals, including the lockbox, for City
Violations. 'Event" means a potential Violation captured by a Contractor
System;
• Coordinating the mailing of any payments mailed to the lockbox after June 7,
2019 to City of Fort Worth, Attn: Elizabeth Camargo - 5001 James Ave. Ste.
301 Fort Worth TX 76115 no less frequently than every two weeks;
• Rejecting all Events in queue within the Axsis System that had not been issued
by the City as Violations; and

• Ceasing all collection efforts on behalf of the City for unpaid Notices of Violation.
Upon the City's countersignature of this Letter below and receipt by Verra Mobility
of such countersigned copy of this Letter, Verra Mobility will commence the following
actions:
• If citizens contact Verra Mobility regarding City violations, the citizen will be
directed to the City of Fort Worth Website (http://fortworthtexas.gov/tpw/red-
light-cameras/);
• Verra Mobility will forward all citizen written correspondence, including but not
limited to affidavit and hearing request processing correspondence to City of
Fort Worth, Attn: Elizabeth Camargo at 5001 James Ave. Ste. 301 Fort Worth,
TX 76115;
• Within 90 days of this Letter, Verra Mobility shall remove all cameras, radar
units, strobes and controllers from the red light camera poles installed at all
locations in the City and will also remove all signage, including the post
structure and foundation installed for the signage; and
• Within 90 days of this Letter, Verra Mobility shall place the last two (2) years
of Program Data (with Program Data defined as "Violation images, non-
Violation Event images, video clips, evidence packages, and Violation payment
records, not previously disposed of in accordance with the City's business
rules"), on an encrypted hard-drive with a key code and will ship the hard-
drive to the City, Attn: Elizabeth Camargo at 5001 James Ave. Ste. 301 Fort
Worth, TX 76115. Verra Mobility is under no obligation to maintain any
Program Data after such 90 day period and may delete such data from the
Axsis System.
Both Parties, by signature below, agree that the City shall take (i) ownership and
full responsibility for all camera poles, their foundation, "I" arms attached to the poles
(top components removed), lower enclosure (gutted), conduit or other below-grade
infrastructure, and any power related infrastructure installed for the Program pursuant
to the Agreement; and (ii) full responsibility for and custody of all Program Data placed
on the hard-drive specified above. Further, upon completion of all activities outlined in
this Letter or as may be required under the Agreement, both Parties agree and
acknowledge that Verra Mobility shall have no further obligation with respect to the
Agreement, except for those requirements that survive termination (e.g. the City's right
to audit or any indemnity requirements).
Please indicate your acknowledgement and agreement of the substance of this
Letter by signing where indicated and returning an executed copy either via email to
