ORDINANCE AUTHORIZING THE ISSUANCE OF CERTIFICATES OF OBLIGATION
THE STATE OF TEXAS

CITY OF FORT WORTH
We, the undersigned officers of said City, hereby certify
as follows:
1. The City Council of said City convened in
REGULAR MEETING ON THE 29TH DAY OF APRIL, 1974,
at the City Hall, and the roll was called of the duly constituted
officers and members of said City Council, to-wit:

the following was transacted at said Meeting: a written

ORDINANCE AUTHORIZING THE ISSUANCE OF CERTIFICATES OF OBLIGATION
was duly introduced for the consideration of said City Council
and read in full. It was then duly moved and seconded that said
Ordinance be passed; and, after due discussion, said motion,
carrying with it the passage of said Ordinance, prevailed and
carried by the following vote:

2. That a true, full, and correct copy of the aforesaid
Ordinance passed at the Meeting described in the above and fore-
going paragraph is attached to and follows this Certificate;
that said Ordinance has been duly recorded in said City Council's
minutes of said Meeting; that the above and foregoing paragraph
is a true, full, and correct excerpt from said City Council's
minutes of said Meeting pertaining to the passage of said Ordi-
nance; that the persons named in the above and foregoing para-
graph are the duly chosen, qualified, and acting officers and
members of said City Council as indicated therein; that each of
the officers and members of said City Council was duly and suffi-
ciently notified officially and personally, in advance, of the
time, place, and purpose of the aforesaid Meeting, and that said
Ordinance would be introduced and considered for passage at said
Meeting, and each of said officers and members consented, in ad-
vance, to the holding of said Meeting for such purpose; and that
said Meeting was open to the public, and public notice of the
time, place, and purpose of said meeting was given, all as re-
quired by Vernon's Ann. Civ. St. Article 6252-17.
3. That the Mayor of said City has approved, and hereby
approves, the aforesaid Ordinance; that the Mayor and the City
Secretary of said City have duly signed said Ordinance; and that
the Mayor and the City Secretary of said City hereby declare that
their signing of this Certificate shall constitute the signing of
the attached and following copy of said Ordinance for all pur-
poses.

ORDINANCE AUTHORIZING THE ISSUANCE OF CERTIFICATES OF OBLIGATION
THE STATE OF TEXAS
COUNTY OF TARRANT
CITY OF FORT WORTH
WHEREAS, the Certificates of Obligation authorized
by this Ordinance are to be issued, sold and delivered pursuant
to Vernon's Article 2368ao1; and
WHEREAS, heretofore the City Council of said City
adopted a resolution authorizing and directing the City Secretary
to cause notice of its intention to issue the Certificates of
Obligation herein authorized to be issued to be published in a
newspaper as required by Section 8(b) of Vernon's Ann, Civ. St.
art. 2368a.1; and
WHEREAS, said notice was published as required by
said Section 8(b) ; and
WHEREAS, no petition, signed by 510 of the qualified
electors of said City as permitted by said Section 8(b) pro-
testing the issuance of such Certificates has been filed;
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF
FORT WORTH, TEXAS:
Section 1, That the City's Certificates of Obligation
(hereinafter sometimes called "Certificates") are hereby author-
ized to be issued in the aggregate principal amount of
$1,200,000, for the purpose of paying contractual obligations
to be incurred for the purchase of land, to-wit: Blocks 86
and 53 of City Addition of the City of Fort Worth, for the
purpose of establishing a public transportation terminal for
the City of Fort Worth, and for the payment of contractual
is
obligations for legal services in connection with the acquisi-
tion of said land.
Section 2. That said Certificates shall be desig-
nated "CITY OF FORT WORTH CERTIFICATES OF OBLIGATION, SERIES
19740"
Section 3. That said Certificates shall be dated
May 1, 1974, shall be numbered consecutively from 1 through
240, shall be in the denomination of $5,000 each, aggregating
$1,200,000, and shall mature on May 1, 1989.
Said Certificates of Obligation may be redeemed
prior to their scheduled maturity, at the option of said City,
at the time, and in the manner provided in the Form of
Certificate of Obligation set forth in this Ordinance.
Section 4. That the Certificates shall bear interest
at the rate of 5% per annum, evidenced by interest coupons
which shall appertain to said Certificates, and which shall be
payable in the manner provided and on the dates stated in the
FORM OF CERTIFICATE set forth in this Ordinance,
Section 5. That said Certificates and interest
coupons shall be issued, shall be payable, may be redeemed
prior to their scheduled maturity, shall have the characteris-
tics, and shall be signed and executed (and said Certificates
shall be sealed) , all as provided, and in the manner indicated,
in the FORM OF CERTIFICATE set forth in this Ordinance.
Section 6. That the form of said Certificates, in-
cluding the form of Registration Certificate of the Comptroller
of Public Accounts of the State of Texas to be printed and
endorsed on each of said Certificates, and the form of the
aforesaid interest coupons which shall appertain and be attached

initially to each of said Certificates, shall be, respectively,
substantially as follows:

ON MAY 1, 1989, THE CITY OF FORT WORTH, TARRANT
COUNTY, TEXAS, promises to pay to bearer hereof the principal
amount of
FIVE THOUSAND DOLLARS
($5,000) , and to pay interest thereon, from the date hereof, at
the rate of 5% per annum, evidenced by interest coupons payable
on May 1, 1975, and annually thereafter on each May 1 while
this Certificate of Obligation is outstanding.
THE PRINCIPAL of this Certificate and the interest
coupons appertaining hereto shall be payable to bearer, in law-
ful money of the United States of America, without exchange or
collection charges to the bearer, upon presentation and surrender
of this Certificate or proper interest coupons at the following,
which shall constitute and be defined as the "Paying Agent" for
this Series of Certificates:

THIS CERTIFICATE is one of a Series dated as of
May 1, 1974, authorized, issued and delivered in the principal
amount of $1,200,000, for the purpose of paying contractual
obligations to be incurred for the purchase of land, to-wit:
(Blocks 86 and 53 of City Addition of the City of Fort Worth, for
the purpose of establishing a public transportation terminal for
ithe City of Fort Worth, and for the payment of contractual
obligations for legal services in connection with the acquisi-
!btion of said land.
SAID CERTIFICATES OF OBLIGATION may be redeemed
prior to their scheduled maturity, at the option of said City,
in whole, or in part, at any time, for the principal amount
thereof and accrued interest thereon to the date fixed for
redemption. If said Certificates of Obligation are redeemed
prior to maturity, at least ten days prior to the date fixed for
redemption said City shall cause a written notice of such re-
demption to be delivered to the Paying Agent specifying the date
of redemption and the numbers of such Certificates of Obligation
being redeemed. By the date fixed for any such redemption due
provision shall be made with the Paying Agent for the payment
of the principal amount of the Certificates of Obligation which
are to be so redeemed and accrued interest thereon to the date
fixed for redemption. If such written notice of redemption is

given and if due provision for such payment is made, all as
provided above, the Certificates of Obligation which are to be
so redeemed thereby automatically shall be redeemed prior to
their scheduled maturity, and they shall not bear interest after
the date fixed for redemption, and they shall not be regarded as
being outstanding except for the purpose of being paid by the
Paying Agent with the funds so provided for such payment.
IT IS HEREBY CERTIFIED, RECITED AND COVENANTED that
this Certificate has been duly and validly authorized, issued
and delivered; that all acts, conditions and things required

or proper to be performed, exist and be done precedent to or
in the authorization, issuance and delivery of this Certificate
have been performed, existed and been done in accordance with
law; that this Certificate is a general obligation of said City,
issued on the full faith and credit thereof; and that annual
ad valorem taxes sufficient to provide for the payment of the
interest on and principal of this Certificate, as such interest
comes due and such principal matures, have been levied and
ordered to be levied against all taxable property in said City,
and have been pledged irrevocably for such payment, within the
limit prescribed by law,
IN WITNESS WHEREOF, this Certificate and the interest
coupons appertaining hereto have been signed with the facsimile
signature of the Mayor of said City and countersigned with the
facsimile signature of the City Secretary of said City, and
said Certificate has been approved as to form and legality
by the City Attorney, evidenced by his facsimile signature,
and the official seal of said City has been duly impressed,
or placed in facsimile, on this Certificate of Obligation.

this interest coupon, in lawful money of the United States of
America, without exchange or collection charges to the bearer,
unless due provision has been made for the redemption prior
to maturity of the Certificate of Obligation to which this
interest coupon appertains, upon presentation and surrender
of this interest coupon, at The Fort Worth National Bank,
Fort Worth, Texas, said amount being interest coming due that
day on the Certificate, bearing the number hereinafter desig-
nated, of that issue of CITY OF FORT WORTH CERTIFICATES OF

Section 7. That a special "Interest and Sinking
Fund" is hereby created solely for the benefit of said Certif-
icates, and said Interest and Sinking Fund shall be established
and maintained by said City at an official depository bank
of said City, Said Interest and Sinking Fund shall be kept
separate and apart from all other funds and accounts of said
City, and shall be used only for paying the interest on and
principal of said Certificates. All ad valorem taxes levied
and collected for and on account of said Certificates shall
be deposited, as collected, to the credit of said Interest
and Sinking Fund. During each year while any of said Certif-
icates or interest coupons appertaining thereto are out-
standing and unpaid, the governing body of said City shall
compute and ascertain a rate and amount of ad valorem tax
which will be sufficient to raise and produce the money re-
quired to pay the interest on said Certificates as such
interest comes due, and to provide and maintain a sinking
fund adequate to pay the principal of such Certificates as
such principal matures (but never less than 21 of the original
principal amount of said Certificates as a sinking fund each
year) ; and said tax shall be based on the latest approved tax
rolls of said City, with full allowance being made for tax

delinquencies and the cost of tax collection. Said rate and
amount of ad valorem tax is hereby levied, and is hereby
ordered to be levied, against all taxable property in said
City for each year while any of said Certificates or interest
coupons appertaining thereto are outstanding and unpaid; and
said tax shall be assessed and collected each such year and
deposited to the credit of the aforesaid Interest and Sinking
Fund, Said ad valorem taxes sufficient to provide for the
payment of the interest on and principal of said Certificates,
as such interest comes due and such principal matures, are
hereby pledged irrevocably for such payment, within the limit

prescribed by law,
Section 8. That the Mayor of said City is hereby
authorized to have control of said Certificates and all
necessary records and proceedings pertaining to said Certif-
icates pending their delivery and their investigation,
examination and approval by the Attorney General of the State
of Texas, and their registration by the Comptroller of Public
Accounts of the State of Texas. Upon registration of said
Certificates, said Comptroller of Public Accounts (or a
deputy designated in writing to act for said Comptroller)
shall manually sign the Comptroller's Registration Certificate
printed and endorsed on each of said Certificates, and the
seal of said Comptroller shall be impressed, or placed in
facsimile, on each of said Certificates,
Section 9, That the City covenants to and with
the purchasers of the Certificates that it will make no use
of the proceeds of the Certificates at any time throughout
the term of this issue of Certificates which, if such use had
been reasonably expected on the date of delivery of the Cer-
tificates to and payment for the Certificates by the Purchasers,
would have caused the Certificates to be arbitrage obligations
within the meaning of Section 103(d) of the Internal Revenue
Code of 1954, as amended, or any regulations or rulings per-
taining thereto; and by this covenant the City is obligated
to comply with the requirements of the aforesaid Section 103(d)
and all applicable and pertinent Department of the Treasury
regulations relating to arbitrage obligations, The City
further covenants that the proceeds of the Certificates will
not otherwise be used directly or indirectly so as to cause
all or any part of the Certificates to be or become arbitrage
obligations within the meaning of the aforesaid Section 103(d) ,
or any regulations or rulings pertaining thereto,
Section 10, That it is hereby officially found
and determined that a case of emergency or urgent public
necessity exists which requires the holding of the meeting
at which this Ordinance is passed, such emergency or urgent
public necessity being that the proceeds from the sale of
said Certificates are required as soon as possible and without
delay for necessary and urgently needed public improvements;
and that said meeting was open to the public, and public
notice of the time, place and purpose of said meeting was
given, all as required by Vernon's Ann. Civ. St. , art. 6252-17,
as amended.
Section 11, That said Certificates are hereby sold,
and shall be delivered to The Fort Worth National Bank, Fort
Worth, Texas, for cash for the par value thereof and accrued
interest thereon to the date of delivery.
Section 12. That this ordinance shall take effect
and be in full force and effect from and after its passage,
and it is so ordained.

and acting as Treasurer , but left undated.
(3) Five copies of the SIGNATURE IDENTIFICATION AND NO-
LITIGATION CERTIFICATE, which should be signed by the
officers indicated therein, but left undated. The signatures
on each copy of the CERTIFICATE should be verified by a bank
official in the manner indicated therein, and the bank seal
should be impressed on each such copy.
(4) Five copies of the NO-ARBITRAGE CERTIFICATE, which
should be signed by the officers indicated therein, but left
undated. Attached to the CERTIFICATES is a letter addressed
to this firm which should be signed and dated and returned
with the CERTIFICATES to us.
After execution as aforesaid , please return all copies of
each of the enclosures to us and we will make proper dis-
tribution of them at the proper time.

Dear Roy:
In connection with the authorization of the captioned Certificates
of Obligation it is necessary to publish Notice of Intention to
Issue Certificates of Obligation once a week for two consecutive
weeks , the date of the first publication to be at least fourteen
days prior to the date tentatively set for passage of the ordinance
authorizing such Certificates. Enclosed is a copy of the Notice
to be handed to the newspaper with instructions to publish it in
the evening edition on April 15th and April 22nd. The Certificates
will be authorized by the City Council on April 29 , 1974. Please
be sure that someone proofs the galley proof prior to publication
as we will not have time to republish in the event of a mistake.
The Council will authorize and direct this publication at its
meeting on the morning of April 15 , 1974 and I am sending this
Notice to you in advance so that the paper can have everything
ready for it to be published that afternoon.
We will forward resolutions and affidavits of publication (in
connection with these please ask the paper to furnish you with
five copies of the Notice as published) to you tomorrow for
execution after action has been taken by the City Council.

NOTICE OF INTENTION TO ISSUE
CERTIFICATES OF OBLIGATION
NOTICE is hereby given that it is the intention
of the City Council of the City of Fort Worth to issue the
interest bearing certificates of obligation of the City
entitled "City of Fort Worth Certificates of Obligation,
Series 1974," for the purpose of paying contractual obliga-
tions to be incurred for the purchase of land, to-wit:
Blocks 86 and 53 of City Addition of the City of Fort Worth,
for the purpose of establishing a public transportation
terminal for the City of Fort Worth, and for the payment
of contractual obligations for legal services in connection
with the issuance of said Certificates of Obligation, The
City Council tentatively proposes to authorize the issuance
of said Certificates of Obligation at its regular meeting
place in the City Hall at its meeting to commence at 9:30
o'clock, A.M. , on the 29th day of April, 1974. The maximum
amount of Certificates of Obligation indebtedness that may
be authorized for such purpose is $1,200,000.00. The City
Council presently proposes to provide for payment of such
certificates by the levy of taxes.

RESOLUTION DIRECTING PUBLICATION OF NOTICE OF

WHEREAS, it is hereby officially found and determinedt
that a case of emergency or urgent public necessity exists which

BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FORT WORTH, TEXAS:
1, That attached hereto and marked "Exhibit A" is

2. That the City Secretary shall cause said notice
to be published, in substantially the form attached hereto, in
a newspaper, as defined in Chapter 84, Acts of the 43rd Legis-
lature, First Called Session, 1933, as amended (Article 28a,
Vernon's Texas Civil Statutes) , of general circulation in the
City of Fort Worth, Texas, once a week for two consecutive week ,
the date of the first publication thereof to be at least fourte n
days prior to the date tentatively set for the passage of the

NOTICE OF INTENTION TO ISSUE
CERTIFICATES OF OBLIGATION
NOTICE is hereby given that it is the intention
of the City Council of the City of Fort Worth to issue the
interest bearing certificates of obligation of the City
entitled "City of Fort Worth Certificates of Obligation,
Series 1974," for the purpose of paying contractual obliga-
tions to be incurred for the purchase of land, to-wit:
Blocks 86 and 53 of City Addition of the City of Fort Worth,
for the purpose of establishing a public transportation
terminal for the City of Fort Worth, and for the payment
of contractual obligations for legal services in connection
with the issuance of said Certificates of Obligation. The
City Council tentatively proposes to authorize the issuance
of said Certificates of Obligation at its regular meeting
place in the City Hall at its meeting to commence at 9:30
o'clock, A.M. , on the 29th day'of April, 1974. The maximum
11 amount of Certificates of Obligation indebtedness that may
be authorized for such purpose is $1,200,000.00. The City
Council presently proposes to provide for payment of such
certificates by the levy of taxes.

We, the undersigned, hereby officially certify that
we are the Mayor and City Secretary, respectively, of said
City, and we further certify as follows:
1. That said City is a duly incorporated home
rule city, having more than 5000 inhabitants, operating and
existing under the Constitution and laws of the State of
Texas and the duly adopted home rule charter of said City,
which charter has not been changed or amended since the
passage of the ordinance authorizing the issuance of the most
recently dated, issued and outstanding bonds of said City
shown on Exhibit A which is attached to this certificate,
2. That no litigation of any nature has ever been
filed pertaining to, affecting, questioning or contesting:
(a) the ordinance which authorized said City's Certificates
of Obligation, Series 1974, dated May 1, 1974, in the prin-
cipal amount of $1,200,000; (b) the issuance, execution,

said City to issue, execute and deliver said Certificates;
(d) the validity of the corporate existence of said City;
(e) the current Tax Rolls of said City, or (f) the home rule
charter of said City; and that no litigation is pending
pertaining to, affecting, questioning or contesting the
current boundaries of said City.
3, That attached to this certificate and marked
"Exhibit A" is a true, full and correct schedule and state-
ment of all presently outstanding tax indebtedness of the
City of Fort Worth,
4. That the currently effective ad valorem Tax
Rolls of said City are those for the year 1973, being the most
recently approved Tax Rolls of said City; that said City has
caused the taxable property in said City to be assessed as
required by law; that the Board of Equalization of said City
has equalized and approved the valuation of taxable property
in said City for said year; that the Tax Assessor of said City
has duly verified the aforesaid Tax Rolls, and said Board of
Equalization has finally approved the same; and that the
assessed value of taxable property in said City, and the
aggregate amount of exemptions, if any, of assessed values of
residence homesteads of persons sixty five years of age or
older pursuant to Section 1-b(b) of Article VIII of the Texas

On April 15, 1974, the City Council authorized publication of "Notice of
Intention to Issue Certificates of Obligation" for the purchase of
Blocks 53 and 86, City Addition, for the site of the Downtown Public
Transportation Terminal. The notice has been published for two consecutive
weeks as provided by law, setting April 29, 1974, as the date for adoption
of the ordinance authorizing issuance of the certificates.
In accordance with the Notice of Intention, an ordinance has been prepared
authorizing the issuance of the certificates in the amount of $1,200,000.
Recommendation
It is recommended that the City Council adopt the ordinance authorizing
issuance of certificates of obligation for the purpose of paying contractual
obligations to be incurred in the purchase of land for the Downtown Trans-
portation Terminal, in the amount of $1,200,000.
