AMENDMENT NO. 1 TO CITY SECRETARY CONTRACT NO. 35334 PROFESSIONAL SERVICES AGREEMENT WITH DATA APPLICATIONS CORPORATION WHEREAS, on or about May 31, 2007, the City of Fort Worth ("City") and Data Applications Corporation ("DAC") a Texas corporation, collectively referred to as the "parties," made and entered into an agreement for professional consulting services for the purpose of computer and technology equipment maintenance and support under the terms and conditions set forth in the Agreement(the"Agreement"); and WHEREAS, the Agreement is a public document on file in the City's Secretary Office and referenced as City Secretary Contract No. 35334, and WHEREAS, the Agreement expires on April 30, 2012; and WHEREAS, the parties wish to amend the Agreement to extend the term for six months, with an option to extend for an additional six months. NOW THEREFORE, City and DAC, acting herein by and through their duly authorized representatives, enter into the following agreement: i 1. Section 2, Term, shall be modified to extend the term of the Agreement. The extended 1 term shall commence on May 1, 2012 and expire on October 31, 2012. Section 3, Compensation shall be amended to add the following: Unless otherwise approved by the City, payment for this extended term shall not exceed $596,000.00 and payment for any renewal term shall not exceed $596,000-. b 40 3. DISCUSSION: On April 7, 2007, (M&C C-22072)the City Council authorized execution of an Agreement with Data Applications Corporation for Computer Support Services. IT Solutions would like to amend the current Agreement for continued computer and peripherals maintenance and support services for six months with an option to extend for an additional six months. IT Solutions is currently reviewing the best option to support computers and peripherals throughout the City. In order to review the best option, IT Solutions needs time to assess and make a recommendation that is fitting and cost effective for the City. M/WBE-A waiver of the goal for M/WBE subcontracting requirements was requested by IT Solutions Department and approved by M/WBE Office because the purchase of goods or services is from sources where subcontracting or supplier opportunities are negligible. RENEWAL OPTIONS-This Agreement may be renewed for an additional six months at the City's option in the amount of $595,600.00. This action does not require specific City Council approval provided that the City Council has appropriated sufficient funds to satisfy the City's obligation during the renewal term. ADMINISTRATIVE CHANGE ORDER-An administrative change order or increase may be made by the City Manager for an amount up to$50,000.00 and does not require specific City Council approval as long as sufficient funds have been appropriated. FISCAL INFORMATION/CERTIFICATION: The Financial Management Services Director certifies that funds are available in the current operating budget, as appropriated,of the participating departments.
