HomeMy WebLinkAboutContract 35334-A3 City Secretary Contract No. 5 AMENDMENT NO. 3 TO CITY SECRETARY CONTRACT NO. 35334 PROFESSIONAL SERVICES AGREEMENT WITH DATA APPLICATIONS CORPORATION WHEREAS, on or about May 31, 2007, the City of Fort Worth ("City") and Data Applications Corporation ("DAC"), a Texas corporation, collectively referred to as the "parties," made and entered into an agreement for professional consulting services for the purpose of computer and technology equipment maintenance and support under the terms and conditions set forth in the Agreement (the "Agreement"); and WHEREAS, the Agreement is a public document on file in the City's Secretary Office and referenced as City Secretary Contract No. 35334, and WHEREAS, on or about April 13, 2012, the parties subsequently amended the Agreement via City Secretary Contract No. 35334-A1, extending the term for six months, with an option to extend for an additional six months and clarify other matters under the Agreement; and WHEREAS, on or about November 22, 2012, the parties further extended the term of the Agreement and modified the compensation amount; City Secretary Contract Nos. 35334, 35334-A1, and 35334-A2 are hereby collectively referred to as the ("Agreement"); and WHEREAS, the parties wish to amend the Agreement to further extend the term and modify the compensation under the Agreement. NOW THEREFORE, City and DAC, acting herein by and through their duly authorized representatives, enter into the following agreement: 1. Term ("Extended Term") shall commence on May 1, 2013 and expire on November 1, 2013, unless terminated earlier pursuant to Section 4.1 of the Agreement. The City shall have the option to further extend the Term ("Additional Extended Term") on a monthly basis for up to an additional six months, but not longer than May 1, 2014. 2. Section 3, Compensation shall be amended to add the following: Unless otherwise approved by the City, payment for this Extended Term shall not exceed $600,000.00, and payment for any Additional Extended Term shall not exceed $600,000.00 over a six month period. 3. Section 4.1, Written Notice, shall be amended to read as follows: The City or DAC may terminate this Agreement at any time and for any reason by providing the other party with thirty (30) days written notice of termination. 4. All other provisions of the Agreement that are not expressly amended herein. shall remain in full force and effect. DISCUSSION: On April 7, 2007, (M&C C-22072)the City Council authorized execution of an Agreement with Data Applications Corporation for Computer Support Services. On April 3, 2012, (M&C C-25538)the City Council authorized execution of Amendment No. 1 to City Secretary Contract 35334 to extend the Agreement for an additional six months for continued computer and peripherals maintenance and support services, and authorized an additional six month extension at the City's option. The City administratively extended the Agreement for an additional six months with the term expiring April 30, 2013. Information Technology Solutions Department (IT Solutions) is currently reviewing the best option to support computers and peripherals throughout the City. In order to review the best option, IT Solutions needs time to assess and make a recommendation that is fitting and cost effective for the City. IT Solutions would like to amend the Agreement to extend the term for an additional six months. M/WBE Office: A waiver of the goal for M/WBE subcontracting requirements was requested by IT Solutions Department and approved by M/WBE Office because the purchase of goods or services is from sources where subcontracting or supplier opportunities are negligible. RENEWAL OPTIONS-This Agreement may be renewed on a monthly basis for up to an additional six months at the City's option in the amount not to exceed $600,000.00 in a six month period. This action does not require specific City Council approval provided that the City Council has appropriated sufficient funds to satisfy the City's obligation during the renewal term. ADMINISTRATIVE CHANGE ORDER-An administrative change order or increase may be made by the City Manager for an amount up to $50,000.00 and does not require City Council approval as long as sufficient funds have been appropriated.
