CONTRACT FOR TELECOMMUNICATIONS AND DATA SERVICE WITH
SMART CITY NETWORKS, LP
This Amendment to City Secretary Contract No. 28044, as previously renewed or
amended ("Amendment"), is made and entered into by and between the City of Fort Worth, a
home-rule municipal corporation of the State of Texas, located within Tarrant, Denton, Wise and
Parker Counties, ("City"), acting by and through its duly authorized Assistant City Manager, and
Smart City Networks,LP, ("Smart City").
WHEREAS, on June 11, 2002, the City entered into an agreement with Smart City to
provide exclusive telecommunications and data service for the facility users and exhibitors at the
Fort Worth Convention Center(M&C C-19120, City Secretary Contract No. 28044);
WHEREAS, the primary term of the contract was for five years through June 10, 2007 with
an option to renew for five one-year terms upon approval of the City Council;
WHEREAS, on May 29, 2007,the City Council approved renewal of the contract for a term
of one year and authorized the City Manager to execute the four remaining renewal options on the
contract(M&C C-22143; City Secretary Contract No. 35399);
WHEREAS, the City and Smart City executed the remaining four renewal options, the last
of which expires on June 11, 2012; and
WHEREAS, the parties now desire to amend City Secretary Contract No. 28044, as
previously renewed or amended, to extend the term of the Agreement for one year with the option
to renew for an additional year.
NOW THEREFORE, the parties, in consideration of the mutual covenants and agreements
contained herein, do mutually covenant and agree that City Secretary Contract (CSC)No. 28044, as
previously renewed or amended by CSC Nos. 35399, 35399-A2, 35399-A3, 35399-A4, and 35399-
A5 (the "Agreement') on file with the City Secretary of the City of Fort Worth, is further amended
as follows:

Section II, "Term" is hereby amended in its entirety to read as follows: CITY SECRETARY

II. TERM
The term of the Agreement shall be extended for one additional year beginning on June 12,
2012 and ending on June 11, 2013.
In addition to the above-stated extended term, the City and Smart City may mutually agree
to exercise an option to renew for one (1) additional year. Either party wishing to renew this
Agreement shall provide a written notice of the request to renew for the additional one (1) year, no
less than 180 days prior to the end of the extended term. If either party does not object within

ninety (90) days after receipt of such notice, this Agreement shall be renewed for the additional one
(1) year period.
2.
All terms in this Amendment that are capitalized but not defined shall have the meanings
assigned to them in this Amendment.
4.
All terms and conditions of the Agreement that are not expressly amended pursuant to this
Amendment shall remain in full force and effect.
5.
This Amendment may be executed in several counterparts, each of which will be deemed an
original, but all of which together will constitute one and the same instrument. A signature received
via facsimile or electronically via email shall be as legally binding for all purposes as an original
signature.

Authorize Extension of the Contract with Smart City Networks to Provide Exclusive Communications
Services for Facility Users and Exhibitors at the Fort Worth Convention Center for a Period of One Year
with a One Year Extension (COUNCIL DISTRICT 9)
RECOMMENDATION:
It is recommended that the City Council authorize the extension of the contract with Smart City Networks
to provide exclusive communications services for facility users and exhibitors at the Fort Worth
Convention Center for a period of one year beginning June 11, 2012 and ending June 10, 2013, with a
one year extension.
DISCUSSION:
On June 11, 2002, (M&C C-19120, City Secretary Contract No. 28044) the City entered into an
Agreement with Smart City Networks (Smart City) to provide exclusive telecommunication and data
services for the facility users and exhibitors at the Fort Worth Convention Center. The primary term of the
contract was for five years from June 11, 2002 through June 10, 2007. The contract provided an option
for five one year renewal terms. The final extension will expire on June 10, 2012.
The Public Events Department anticipates soliciting proposals for a new telecommunications provider for
both the Fort Worth Convention Center and the Will Rogers Memorial Center to take advantage of a larger
client base in order to obtain the maximum value for the City. Staff is currently in the process of a
comprehesive analysis of the telecommunication infrastructure and requirements of both of the facilities. It
is anticipated that it will be at least nine to twelve months before the analysis is complete and another six
months will be needed to develop the specifications for a solicitation.
Staff is recommending the contract be extended for one year with an additional one year extension option
with Smart City under the same terms and conditions. Under the provisions of the contract, Smart City will
continue to pay the City the established commission rates. Smart City paid commissions in the previous
contract year of$94,000.00.
The Fort Worth Convention Center is located in COUNCIL DISTRICT 9.

The Finance Director certifies that the Public Events Department is responsible for the collection and
deposit of funds under this contract.
