WHEREAS, Berry Street Limited Partnership ("Developer"), a Texas limited
partnership, and the City of Fort Worth (the "City"), a home rule municipal corporation
organized under the laws of the State of Texas, previously entered into that certain Tax
Abatement Agreement dated on or about December 30, 2004, a public document on file
in the City Secretary's Office as City Secretary Contract No. 31168 (the "Tax
Abatement Agreement") pursuant to which Developer agreed to make certain
improvements (the "Required Improvements") to real property owned by Developer
(the "Land") in return for certain real property tax abatements by the City, all as more
specifically described in the Tax Abatement Agreement; and
WHEREAS, Developer desires to make certain public improvements in the
public right-of-way adjacent to the Land; and
WHEREAS, Developer has requested the City to fund a portion of such public
improvements;
NOW,THEREFORE, KNOW ALL BY THESE PRESENTS:
For and in consideration of the covenants and conditions contained herein, the
City and the Developer do hereby enter into this Enhanced Community Facilities
Agreement ("Agreement") and agree as follows:
I. General Requirements
A. The Policy for the Installation of Community Facilities ("Policy")
dated March 2001, approved by the City Council of the City of Fort
Worth, as subsequently amended, is hereby incorporated into this
Agreement as if copied herein verbatim. Developer agrees to comply
with all provisions of the Policy in the performance of its duties and
obligations hereunder. pa py{ ^

B. The requirements of the Policy shall govern this Agreement; provided,
however, that any conflict between the terms of this Agreement and
the Policy shall be resolved in favor of this Agreement.
C. Developer shall:
1. Construct enhanced streetscape as shown in Exhibits "B"
and "C" (which Exhibits are attached hereto and hereby
made a part of this Agreement for all purposes) within the
public right-of-way (collectively, the "Public
Improvements") in accordance with this Agreement and
City-approved plans and specifications; and,
2. Construct and complete the Required Improvements in
accordance with the terms and conditions of the Tax
Abatement Agreement.
D. Within thirty (30) calendar days following both (i) completion of the
Public Improvements, as evidenced by a written statement signed by
the City, Developer and Developer's general contractor that the final
punch list related to the Public Improvements has been completed, and
(ii) completion of the Required Improvements in accordance with the
terms and conditions of the Tax Abatement Agreement, the City
agrees pay Developer, as a reimbursement for a portion of the total
cost of the Public Improvements, an amount not to exceed$305,100.
E. Developer shall provide financial security to guarantee completion of
the Public Improvements in conformance with paragraph 6, Section II,
of the Policy.
F. Developer acknowledges that there shall be no reduction in the amount
of financial security prior to completion of the Public Improvements
and acceptance of the Public Improvements by the City.
G. Developer shall award all contracts for construction of the Public
Improvements in accordance with Section II, paragraph 7 of the
Policy.

H. The contracts for the construction of the Public Improvements shall be
administered in conformance with paragraph 8, Section H, of the
Policy.
I. Developer further covenants and agrees to, and by these presents does
hereby, fully indemnify, hold harmless and defend the City, its
officers, agents and employees from all suits, actions or claims of any
character, whether real or asserted, brought for or on account of any
injuries or damages sustained by any persons (including death) or to
any property, resulting from or in connection with the construction,
design, performance or completion of any work to be performed by
said Developer, his contractors, subcontractors, officers, agents or
employees, or in consequence of any failure to properly safeguard the
work, or on account of any act, intentional or otherwise, neglect or
misconduct of Developer, its contractors, sub-contractors, officers,
agents or employees, whether or not such injuries, death or damages
are caused, in whole or in part, by the alleged negligence of the City,
its officers, servants, or employees.
J. Developer, at Developer's sole cost and expense, shall install or adjust
all of the required utilities to serve the Land and to construct the Public
Improvements.
K. In the event that City participation for the Public Improvements
exceeds $25,000, Developer agrees that no street construction or storm
drainage will begin prior to City Council approval of this.Agreement.
(Article 104.100, Ordinance 7234).
L. Developer agrees that the City shall have the right to withhold
issuance of final certificates of occupancy for the Required
Improvements until the Public Improvements have been completed in
accordance with this Agreement.
M. Developer hereby releases and agrees to indemnify and hold the City
harmless for any inadequacies in the preliminary plans, specifications

and cost estimates for the Public Improvements that are supplied by
Developer.
N. Developer agrees to provide, at its expense, all necessary rights-of-
way and easements across property owned by Developer required to
construct current and future Public Improvements provided for in this
Agreement.
O. The City shall not be responsible for any costs that may be incurred by
Developer in the relocation of any utilities that are or may be in
conflict with any of the Public Improvements to be installed
hereunder.
II. Street and Storm Drain Facilities
A. The Developer(s) agree to install or to cause to have installed, the street, storm
drainage, street lighting, street name sign and other community facilities
improvements shown as "current improvements" on the attached Exhibits B and
C.
B. Developer shall pay all costs associated with the construction of the Public
Improvements. The estimated total cost of the Public Improvements is estimated
to be $396,887.38. Following completion of the Public Improvements in
accordance with this Agreement, the City shall reimburse Developer for a portion
of the total cost of the Public Improvements pursuant to Section I.D of this
Agreement.

Notes:
1. All Preliminary Plats filed after July 2000 will require sidewalks along all streets.
2. Developer's column for Item C represents four percent (4%) cost for construction
inspection fees. The City will pay additional inspection fee over 4%.
3. City not preparing plans and specifications.
4. Developer's column for Item D represents two percent (2%)of paving and storm drain
costs for materials testing.

Authorize Execution of Enhanced Community Facilities Agreement with Phoenix Property, Inc., for
Construction of Streetscape Enhancements Around the Grand Marc Mixed-Use Development
Project in Accordance with the Berry Street Initiative Streetscape Design Standards
RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to execute an Enhanced Community
Facilities Agreement (ECFA) with Phoenix Property, Inc. (Developer) in an amount not to exceed $305,100
for streetscape enhancements around the Grand Marc Mixed-Use Development Project (Project) in
accordance with the Berry Street Initiative Streetscape Design Standards.
DISCUSSION:
On October 10, 2004, (M&C C-20354) City Council authorized the execution of a ten-year municipal real
property tax abatement agreement (City Secretary Contract No. 31168) with Phoenix Property, Inc. for the
development of a mixed-use project, called Grand Marc. The Developer has committed to (i) invest
$46,000,000 in real property improvements; (ii) invest $1,000,000 in personal property investment; and
(iii) construct two mixed-use buildings consisting of 245 units of housing, 31,000 square feet of ground-
floor retail and an eight-story 580-space structured parking garage by August 31, 2007.
The incentive package outlined in M&C C-20354 included City participation in paying for the incremental
increase in enhanced pedestrian improvements bounding the property in accordance with the Berry Street
Streetscape Initiative design standards. The City's T/PW Department has determined that these
improvements can occur at this time without damaging any future enhanced streetscape improvements
along Berry Street fronting the property. The City's participation for the incremental cost of upgrading the
public streetscape and pedestrian areas shall not exceed $305,100. Enhanced streetscape improvements
around the perimeter of the property are included in the $46,000,000 in real property investment. The
chart below summarizes the City and Developer participation in public street and storm drainage
contemplated under the ECFA:

The North Central Texas Council of Governments (NCTCOG) staff and City Council have recommended
the West Berry Streetscape to receive $2,400,000 in Sustainable Development Program funding to extend
the current street reconstruction project from Waits Avenue to University Drive. The ECFA bond funds
would address the streetscape enhancements fronting the Project within the scope of the Sustainable

Development Program. The Developer will be responsible for future maintenance of the public streetscape
improvements around the Project property.
The 2004 Capital Improvement Program included $6,970,000 for Enhanced Community Facility
Agreements. Upon approval by Council of this Agreement, the remaining balance of these funds will be
$1,710,694.39.
The project is located in COUNCIL DISTRICT 9 in Neighborhood Empowerment Zone Number Twenty-
eight.

The Finance Director certifies that funds are available in the current capital budget, as appropriated, of the
New Development Fund.
