SATI Mission. The mission of the Airway Education & Research Foundation is to: • Promote safe and effective airway management for victims of trauma, cardiac arrest and others requiring emergency airway management-, • Develop and deliver educational resources on safe and effective airway management for the public and others-, • Foster excellence in airway management on a mufti-disciplinary scale-, and • Advocate research and life long learning. In furtherance of which SATI provides the SLAM® Express One-Day Advanced Airway Workshop (hereinafter referred to as "The Workshop"), an advanced one-day workshop that presents aspects of the 3-day SLAM® National Emergency Airway Conference. Instruction consists of lecture and hands- on training in effective techniques to assess, secure, protect and rescue the airway. 1.02. Host's Desires. Host desires to employ SATI to present The Workshop and to provide facilities for such presentation upon the dates and times and at the location or locations set forth below. 1 03. Length of Agreement.This agreement contains twelve (12) pages. Each representative must initial at the designated location at the bottom of each page. 1.04. Attachments. Attachments and Appendices to this Agreement are incorporated within it in their entirety,just as though all their provisions had been written within the body of this Agree t. 1.05. Captions. Captions to sections or paragraphs to this Agreement are for convenience only ndshall not,)i change the meaning of any part hereof. Strike-Throughs or Additions. Both parties in the margin next to where the change is made must initial any items crossed out in this agreement or added to this agreement. 1.07. Severability. If any part of this Agreement shall be determined to be invalid, unenforceable, or illegal, all parts of the Agreement shall remain in full force and effect. 1.08. Request for Changes to Agreement. Requests for changes to this Agreement should be sent to the addresses listed in paragraph 2.19 of this Training Agreement. TERMS AND CONDITIONS IN CONSIDERATION of the foregoing premises, the mutual promises set forth herein, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, S AT I and Host on behalf of themselves, their subsidiaries, affiliates, officers, employees, and agents, do hereby PROMISE AND AGREE AS FOLLOWS: 2.01. Venue. SATI will present"The Workshop" in substantial accordance with the Course Agenda attached hereto as Appendix"A"for and on behalf of Host at the following locations and on the dates set forth below: Date: February 16, 2008 Time: 0800 hours to 1800 hours Location: Fort Worth Fire Department, Fort Worth, Texas and University of North Texas HSC, Fort Worth, TX Function: SLAM-Street Level Airway Management Course 2.02. Course Purpose and Content. a. Course Purpose. The Workshop is designed for mec ical, dental, nursing, EMS personnel and other health care providers whose daily occupation d amands proficiency and certification in the knowledge and skills of emergency and rescue airway r ianagement. b. Course Content. The Workshop syllabus, and th course schedule, content, instructors, equipment, concepts, learning strategies, times, and any and all other aspects are subject to change without notice to Host whenever deemed necessary and convenient to SATI based upon changes in medical procedures, concepts of patierit airway management, developments in research, equipment, instructor availability, equipment availability, federal, state and local regulations, and any and all other considerations that would be reasonable at the sole discretion of SATI; however, it is expressly provided that no such change will alter the basic and essential concepts, skills, knowledge and content of the course in such a way as to diminish the applicability or relevance of the course to the needs of those taking the course. 2.03. Continuing Education Credits. General Responsibilities. Host agrees to provide the facilities and equipment set forth in paragraph 2. In the event Host is unable or unwilling to provide any item set forth in paragraph 2.06, it shall give notice to SATI not less than 90 days prior to the first date of a presentation which is the subject of this Agreement SATI reserves the right to cancel this Agreement if Host cannot or will not furnish any such item of equipment or any facility needed SATI agrees that it will not unreasonably cancel the Agreement because of such failure or refusal but shall use every reasonable means to present the course. However, Host recognizes and agrees that if its failure to provide any such facility or equipment, which renders SATI unable reasonably to present the course, that said course may be canceled at the sole discretion of SATI. 2.05. Rights to Reproduction of Workshop. a. Retention of Rights. SATI retains the sole and absolute rights to reproduction, dissemination, sale, use, or exploitation of"The Workshop" and any of its components of any nature, and shall have the exclusive right to record, reproduce, disseminate, sell, trade, or otherwise use or exploit any and all portions thereof, subject to the provisions in paragraph 2.22(c)of this Training Agreement. b. No Electronic Recording. Host agrees that it will not permit the recording by any electronic means whatsoever by any agent of Host or any attendee of the course. c. Prohibition on Workshop Duplication. Host agrees to not hold, present, produce or co-produce for itself or others, subsequent airway workshops that are substantially patterned after the "The Workshop" unless techniques are common knowledge. This in no way places any prohibition on the Host from teaching airway management techniques to its employees or others in the future. It also places no prohibition on Host from contracting with other organizations for provision of future airway workshops. 2.06. Attendees, Facilities, Equipment and Faculty. a. Minimum Number of Attendees. Host agrees to provide a minimum of 30 students for each date of The Workshop" unless otherwise agreed in writing by Host and SATI. Failure of Host to provide the minimum number of students shall be conclusive grounds for SATI to cancel the course, subject to the other provisions contained in this Agreement governing cancellations. b. Workshop Obligations. 1) Obligations of Host. Host agrees to provide the following facilities for the workshop. A conference room with separate areas or rooms with separate areas that are large enough to hold: a) Host is contracting for a minimum of 30 attendees each day. b) A room for lectures with projector stand and projection screen that utilizes table and chair (or if necessary theater style) seating for not less than 60 attendees (to ensure that there is room for any additional attendees). c) LCD projector and/or 35 mm project and/or overhead projector for lectures. d) Airway simulator testing station area large enough for 6 - 10 attendees and an instructor along with two 6-feet X 30-inch tables. (See Diagram No. 1 below.) e) Cricothyrotomy station area with 10 6-feet by 30-inch tables set up in the form of a rectangle with 10 tables. (See Diagram No. 2 below.) f) One additional table will be required for every 6 additional attendees beyond the agreed upon minimum of 30 attendees. Provide 4 volunteer helpers as needed. h) An area where 5 separate stations can be set up far enough apart to keep instruction at one station from interfering with instruction at another station. This area is used for: the overcoming difficult intubation station 1 &2; rescue ventilation station; blind whistle intubation station and Intubating LMA Station. (See Diagram No 3). i) Assistance in advertising the course to other individuals and outside agencies. j) Purchase from the SLAM Airway Training Institute for$36 each, SLAM. SATI Representative Initials Host Representative Initials 1 Version—6.26.02 Page 5 of 12 Fort Worth Fire Department SLAM—Street Level Airway Management Course Fort Worth,Texas February 16,2008 2)Obligations of SATI: a) Faculty for the workshop at a ratio of 1 faculty per 8-10 attendees up to the 1St 30 attendees(thereafter the ratio will increase to between 1: 10). b) Certificates of Completion for all attendees, 2-year SLAM Provider Card for attendees (Paramedics and higher) scoring a minimum of 80% overall (Emergency Airway Management Provider Card). c) Equipment, supplies and medical specimens needed for the hands-on workshops and labs. d) Enough AirMan Laerdal Upper Body Airway Simulators. e) Medical specimens for the cricothyrotomy workshop. f) Lab and 2 cadavers. g) Electronic version of Course Syllabus / Handbook will be furnished to host well before the workshop(for printing out and distribution by host). c. Attendee Registration Fees. Per attendee registration fees payable to SATI for"The Workshop"shall be as follows for each type of student: $500 per student plus$36 for SLAM: Street Level Airway Management Textbook. Host is contracting with SATI to teach 30 attendees per day for 1 day(s)of the workshop at the above rates at a minimum agreed upon estimated amount of $16,080 ("minimum agreed estimated charge for pre-workshop registration"). 2.07. Workshop Costs. a. Calculation of Estimated Compensation due SATI prior to the first day of the workshop(s). 1) "Minimum agreed charge for pre-workshop registration"=$15,000 2) +"textbook chart"=$1080 3) Total estimated preworkshop payment=$16,080 b. Pre-workshop registration for 30 attendees =$16,080. c. Schedule of Payments. 1)An initial preworkshop payment of$16,080 is due no later than 5 days after signing agreement in order to secure the scheduled dates. An invoice will be issued for this payment and is due per the terms of this agreement. d. Unpaid Fees and Late Charges. Any fees that are unpaid 30 days after the completion of the final workshop shall accrue interest at the highest rate permitted by law. 2.08. Cancellation by SATI. a. Nonpayment. If SATI does not receive such payments as agreed, it may, in its sole and absolute discretion cancel the presentation(s) contemplated by this Agreement and retain as liquidated damages any and all sums received from Host, and retention of such sums shall in no way act as a defense against SATI nor a release, settlement, nor Agreement by SATI not_tst demand_and-..__ collect any sums of money due SATI under any provision of this Agreement. rl 1 =,, V b. Logistical Problems. Should SATI be forced to cancel the workshop due to loss f faculty or other_ logistical problems that would prevent proper presentation of the workshop,that is iot the fault of the SATI Representative Initials Host Representative Initia t/v / jj Version—6.26.02 Page 6 of 12 Fort Worth Fire Department SLAM—Street Level Airway Management Course Fort Worth,Texas February 16,2008 Host, SATI agrees to refund all monies, to include transportation, lodging, per diem, shipping and registration fees received by SATI from Host. 2.09. Cancellation by Host without rescheduling. The following applies if Host cancels without rescheduling at a mutually agreeable time: Cancellation Fees are payable in accordance with the time limits and criteria stipulated in paragraph 2.09 a, b, c, d, e, f, g, and h. a. Before 181 days prior to date of first workshop: Host may cancel workshop prior to 180 days without being charged a cancellation fee. b. Upon receipt of written notice of cancellation SATI will either refund any fees previously received from Host in excess of the amounts stated in addendum paragraph 2.09 c, d, e, f, g, & h, or SATI will bill host for any amounts remaining due in accordance with paragraph 2 09 c, d, e, f, g, & h. Host agrees that refunds due Host or payments due SATI will be made within 30 days that notice of cancellation is received by SATI. c. Cancellation 180-151 days prior to date of first workshop: If cancellation is made between 180 and 151 days, Host agrees to pay a cancellation fee equal to 15% of the minimum agreed charge for pre-workshop attendee registration in addition to any nonrefundable fees paid by SATI. d. Cancellation 150 to 121 days prior to date of first workshop: If cancellation is made between 150 and 121 days, Host agrees to pay a cancellation fee equal to 30% of the minimum agreed charge for pre-workshop attendee registration in addition to any nonrefundable fees paid by SATI. e. Cancellation 120 to 91 days prior to date of first workshop: If cancellation is made between 120 and 91 days, Host agrees to pay a cancellation fee equal to 40% of the minimum agreed charge for pre-workshop attendee registration in addition to any nonrefundable fees paid by SATI. f. Cancellation 90 - 46 days prior to date of first workshop: If cancellation is made between 90 and 46 days, Host agrees to pay a cancellation fee equal to 50% of the minimum agreed charge for pre-workshop attendee registration in addition to any nonrefundable fees paid by SATI. g. Cancellation 45 days or less prior to date of first workshop: 1) In the event of cancellation within 45 days prior to the first course date SATI shall have no obligation to refund any portion whatsoever of any monies paid by Host and shall, additionally have the further rights to liquidated damages as provided by this Agreement. 2) Cancellation fee equals 100% of the minimum agreed charge for pre-workshop attendee registration. 3) Additionally host agrees to pay any nonrefundable fees paid by SATI. h. Transportation Costs. If Host cancels the Workshop after nonrefundable airfare has been purchased by SATI, Host agrees to pay as liquidated damages the sum of any and all nonrefundable air fares purchased by SATI in connection with the Workshop which cannot be used or rescheduled by SATI and any additional fees charged by travel agents or airline companies pursuant to purchase of tickets for or rescheduling of flights. 2.10. Additional Attendees. a. Additional Attendees Registered by SATI. SATI reserves the right to register additional students directly through its offices, websites, telephone and in any other ways in order to supplement the number of students enrolled in the course and to present the course for Host. Host is not responsible for registration fees of any attendee that SATI registers directly. Additional Attendees Registered by Host. Host may enroll additional attendees after pre- workshop payment to SATI and prior to start of workshop. Should Host enroll additional attendees that were not included in the last payment prior to the workshop. Host shall pay the agreed amount of tuition for each such additional attendee not more than 15 business days after the issuance of the post workshop invoice. 2.11. Property Rights. SLAMTM, SLAMTm Express, SLAMTm Express Workshop, SLAMTm Express One- Day Workshop on Emergency & Rescue Airway Mana8ement, SLAMTm Emergency & Rescue Airway Conference and Street Level Airway Management , are trade names, service names, service marks, and trademarks of SATI, and they are all the sole property of SATI and its principals. They consist of intellectual property, copyrights, patents, licenses, and other forms of property both tangible and intangible which are owned by SATI or employed by permission or license of any other owners thereof, and all such property is protected to the full extent of the law as the exclusive and sole property of SATI and may not be used by Host except as permitted hereby. 2.12. Complete Agreement. This Agreement forms the sole and complete Agreement and understanding between SATI and Host and cannot be amended except in writing duly signed and executed by both parties. 2.13. No License. Neither this Agreement nor any negotiations or other communications between the parties are, unless explicitly stated otherwise in a subsequent writing signed by SATI, intended to grant a license to use, employ, or exploit any of SATI's proprietary information. Host may not adopt, employ, use or otherwise exploit any concept, technique, or any other kind of proprietary information which is the property of SATI without the explicit written consent of SATI except within the context of the Courses permitted hereby. 2.14. Authority of Parties. The person or persons executing this Agreement hereby represent and guarantee that they are authorized to do so on behalf of themselves and the entities that they represent, that all necessary internal procedures, due diligence, and process required to legally bind and enter into such an Agreement have been satisfied, and that the Agreement will be executed according to all its provisions. 2.15. State of Jurisdiction. This Agreement and all matters relating to it, including any matter or dispute arising from the Agreement, shall be governed, interpreted, and enforced in accordance with the laws of the State of Texas, United States of America; and the parties to this Agreement do hereby agree that for the resolution of such disputes,jurisdiction and venue shall lie exclusively in any appropriate court within the State of Texas, United States of America. 2.16. Defaulting. If either of the parties to this Agreement shall be in default or breach of this Agreement, such defaulting or breaching one of the parties shall be liable to pay all reasonable attorney's fees, court costs, and other related collection costs and expenses incurred by the non-defaulting or non- breaching one of the parties in prosecuting its rights under this Agreement. 2.17. Release. Host hereby forever releases, discharges, acquits and forgives SATI from any and all claims, actions, suits, demands, Agreements, and each of them, if more than one, liabilities arising from the Course. This release shall be binding upon and inure to the benefit of the parties, their successors, assigns and personal representatives. 2.18. Force Majeure. Proper Notice. Any notice, request, demand, or other communication required or permitted hereunder shall be deemed to be properly given when deposited in the United States mail, postage prepaid or deposited with an express delivery service: 1.To SATI, P.O 3526 Lakeview PKWY, STE B238, Rowlett, TX 75030 2.To Host at Fire Administration,Attn: Dana Alden, 1000 Throckmorton, Fort Worth, TX 76102 2.20. Right to Audit. a. Records and Notice provisions. SATI agrees that the Host shall, until the expiration of seven (7) years after final payment under this Training Agreement, have access to and the right to examine any and all directly pertinent books, documents, papers, stubs and records of SATI and any subcontractors, subconsultants, agents or employees of SATI who instruct or assist with instructing the course made the basis of this Agreement. SATI agrees that the Host shall have access during normal working hours to all necessary SATI facilities and shall be provided adequate and appropriate workspace in order to conduct audits in compliance with the provisions of this section provided that Host provides at least two (2) business days advance written notice. Both parties agree that such inspection shall take place within Tarrant County or a place mutually agreeable to both parties. b. Subcontractors' and subconsultants' records. SATI further agrees to include in all its subcontractors' or subconsultants' contracts hereunder a provision to the effect that the subcontractors or subconsultants, and their agents or employees agree that the Host, until the expiration of seven (7) years after final payment under this Training Agreement, have access to and the right to examine any and all directly pertinent books, documents, papers, stubs and records of subcontractors or subconsultants of SATI, agents or employees of same who instruct or assist with instructing the course made the basis of this Agreement. c. Access to subcontractors' and subconsultants' records. SATI further agrees to include in all of its subcontractors' or subconsultants' contracts a provision to the effect that the subcontractors or subconsultants, and their agents or employees agree that the Host shall have access during normal working hours to all necessary facilities of subconsultants or subcontractors, and shall provide Host adequate and appropriate workspace in order to conduct audits in compliance with the provisions of this section, provided that Host provides subconsultants or subcontractors at least two(2) business days advance written notice. 2.21. Cooperation with mediation or lawsuit. Upon request by Host, SATI agrees to cooperate in any mediation or lawsuit by a third party, including but not limited to the State of Texas or its departments, which arises in connection with this Training Agreement or the instruction provided thereunder. Likewise, upon request by SATI, Host agrees to cooperate in any mediation or lawsuit by a third party, including but not limited to the State of Texas or its departments, which arises in connection with this Training Agreement or the instruction provided thereunder. 2.22. Compliance with State's grant requirements. SATI certifies that it is in compliance with the following provisions that are a part of the State's requirements in Grant Contract Number 2008-025212 (for the Street Level Airway Management Course): a. No Child Support Arrearage. SATI certifies that it is in compliance with Texas Family Code § 231.006 relating to child support delinquencies. Antitrust provision. Section 11.06 Antitrust. Pursuant to 15 U.S.C.A. Sec. 1, et seq. and TEX. BUS. & COMM. CODE Section § 15.01, et seq. SATI certifies that neither it, nor anyone acting for SAT[ has violated the antitrust laws of this state or federal antitrust laws. c. Copyright requirements. Section 13.05 Intellectual Property. Texas Health and Safety Code§12.020 authorizes DSHS to protect intellectual property developed as a result of this Contract. (a) "Intellectual property" means created property that may be protected under copyright, patent, or trademark/service mark law. (b) For purposes of this Training Agreement, intellectual property prepared for Texas Department of State Health Services' (DSHS) use, or a work specially ordered or commissioned through a contract for DSHS use is"work made for hire."DSHS owns works made for hire unless it agrees otherwise by contract. To the extent that title and interest to any such work may not, by operation of law, vest in DSHS, or such work may not be considered a work made for hire, SATI irrevocably assigns the rights, title and interest therein to DSHS. DSHS shall have the right to obtain and hold in its name any and all patents, copyright, registrations or other such protections as may be appropriate to the subject matter, and any extensions and renewals thereof. SATI must give DSHS and the State of Texas, as well as any person designated by DSHS and the State of Texas, all assistance required to perfect the rights defined herein without charge or expense beyond those amounts payable to SATI for goods provided or services rendered under this Training Agreement. (c) If federal funds are used to finance activities supported by this Training Agreement that result in the production of intellectual property, the federal awarding agency reserves a royalty-free, nonexclusive, and irrevocable license to reproduce, publish, or otherwise use, and to authorize others to use, for federal government purposes (1) the copyright in any intellectual property developed under this Training Agreement, including any subcontract and (2) any rights of copyright to which SATI purchases ownership with contract funds. SATI shall place an acknowledgment of federal awarding agency grant support and a disclaimer, as appropriate, on any publication written or published with such support and, if feasible, on any publication reporting the results of or describing a grant supported activity. An acknowledgment shall be to the effect that "This publication was made possible by grant number from (federal awarding agency)" or "The project described was supported by grant number from (federal awarding agency)" and "Its contents are solely the responsibility of the authors and do not necessarily represent the official views of the (federal awarding agency)." (d) In the event the terms of a federal grant award the copyright to SATI, DSHS reserves a royalty-free, nonexclusive, worldwide and irrevocable license to reproduce, publish or otherwise use, and to authorize others to use, for DSHS, public health, and state governmental noncommercial purposes (1) the copyright, trademark, service mark, and/or patent on an invention, discovery, or improvement to any process, machine, manufacture, or composition of matter, products, technology, scientific information, trade secrets, and computer software, in any work developed under a grant, subgrant, or contract under a grant or subgrant; and (2) any rights of copyright, service or trade marks or patents to which a grantee, subgrantee or Host purchases ownership with contract funds. (e) If the results of the contract performance are subject to copyright law, SATI cannot publish those results without prior review and approval of DSHS. Section 13.06 Other intangible Property. At the conclusion of the contractual relationship between DSHS and the Host, for any reason, DSHS shall have the sole ownership rights and interest in all non-copyrightable intangible property that was developed, produced or obtained by Host as a specific requirement under the DSHS Contract with Host or under any grant that funds this Training Agreement, such as domain names, URLs, etc. SATI shall cooperate with DSHS and perform all actions necessary to transfer ownership of such property to DSHS or its designee, or otherwise affirm DSHS's ownership rights and interest in such property.
