AMENDMENT NO.1 TO LEASE AGREEMENT(CSO 49832)
This Amendment No. 1 to Lease Agreement("Amendment)is entered into as of the 121'
day of December,2019 by and between the Tarrant Regional Water District,a Water Control and
Improvement District("District'),and the City of Fort Worth,dhome-rule municipal corporation,
acting by and through its duly authorized representative("City").
RECITALS
A. Lessor and Lessee entered into a certain Lease Agreement dated October 25,2017 (City
Secretary Contract No,49832)(the"Lease"),involving premises located at 303 Arthur,as more
particularly described therein.
B. Lessor and Lessee now desire to amend the Lease as set forth below.
AGREEMENT
NOW,THEREFORE,for good and valuable consideration,the receipt and sufficiency of
which is hereby acknowledged,Lessor add Lessee agree as follows:
1. Section 9 of the Lease is deleted in its entirety and.replaced with the following
Section 9:
9. Repairs and Maintenance.
A. City expressly acknowledges and agrees that the District shall have no
obligation to make repairs or to generally maintain the Lease Premises.
B. If deemed necessary by City, any such repairs (including structural repairs) or
general maintenance shall be City's sole responsibility and expense. City shall
maintain the Lease Premises as necessary to serve City's purposes hereunder. If
City requests in writing that the District perform any repairs to the Lease Premises,
the District may, in its sole discretion, following the submission of a written
estimate of the actual costs of the repair and staff administrative time,perform such
repairs either through District employees or third party contractors. The parties
understand and acknowledge that the District is subject to statutory contracting and
purchasing requirements. If the City authorizes the District in writing to perform
the repairs, the City shall pay as additional rent to the District the amount of the
actual costs for the repair and, if performed by District employees, staff

administrative time,as detailed by an invoice for actual costs of the repairs and staff
administrative time. District shall make its best efforts to perform the work within
the estimate provided to the City,and if,during the course of the work,it becomes
apparent to District that the actual costs will exceed the estimate by 10%,District
shall stop work and provide a written re-estimate to the City as soon as practicable.
City may, in its sole discretion, determine whether to proceed with the repairs
through the District or the District's contractor, or perform such repairs through
City employees or contractors,but shall in any event pay District additional rent for
the actual costs of the repairs through the day the work stopped following receipt
of an invoice fiom District for same.
C. Notwithstanding the contrary,the District will not be responsible for repairing any
damage to the Lease Premises caused by City or its officers,directors,employees,
contractors,subcontractors, invitees or licensees.
D. City shall keep the Lease Premises locked and secured at all times while the Lease
Premises are not occupied.
2. The Lease, as amended hereby, remain in full force and effect. Capitalized terms
not defined herein have the meanings assigned in the Lease.
IN WITNESS WHEREOF, this Amendment No. 1 has been duly executed in multiple
counterparts by the parties hereto as of the date and year first written above.
