AMENDMENT NO. 1 TO CSC NO.34065
FORT WORTH SPINKS AIRPORT
UNIMPROVED GROUND LEASE AGREEMENT
WITH MANDATORY IMPROVEMENTS
(CITY SECRETARY CONTRACT NO.34065)
This AMENDMENT NO. 1 ("Agreement") is made and entered into by and
between the CITY OF FORT WORTH ("Lessor"), a home rule municipal corporation
organized under the laws of the State of Texas and Spinks West Side Associates, LLC.
("Lessee"),acting by and through Darrell Clendenen,its duly authorized Manager.
A. WHEREAS, on or about September 29, 2006, Lessor and Lessee entered into City
Secretary Contract ("CSC") No. 34065, an unimproved ground lease agreement with
mandatory improvements for four (4) parcels identified as 13601 Wing Way, Twenty Six
Thousand Four Hundred (26,400) square feet; 13655 Wing Way, Forty Two Thousand
(42,000) square feet ; 13701 Wing Way, Forty Two Thousand (42,000) square feet; and
13745 Wing Way, Thirty One Thousand Two Hundred (31,200) square feet (the "Leased
Premises"),at Fort Worth Spinks Airport ("Airport"). CSC No. 34065 shall hereinafter be
referred to as the"Lease"; and
B. WHEREAS, the attachment to the original Lease describing the Leased Premises
bears incorrect property boundaries and square footages; and
C. WHEREAS, Lessor and Lessee now wish to amend the Lease to reflect the full
survey and the corrected property boundary description and to revise the scope of the
mandatory improvements as required by the Lease;and
D. WHEREAS, the properties identified in the lease are referenced only by four (4)
individual physical addresses;and
E. WHEREAS, Lessor and Lessee wish to amend the Lease to identify the four (4)
parcels not only by physical addresses,but also by Lease Sites W-3,W-4,W-5,and W-6.
NOW, THEREFORE, in consideration of the mutual covenants, promises and
obligations contained herein,the parties agree as follows:

AGREEMENT
1. Section 1. ("PROPERTY LEASED.')of the Lease is hereby repealed and replaced
with the following:
1. PROPERTY LEASED.
Lessor hereby demises to Lessee four (4) parcels of
unimproved ground space at Fort Worth Spinks Airport ("Airport")
in Fort Worth,Tarrant County,Texas identified as:
13601 Wing Way,commonly known as Lease Site W-3,
13655 Wing Way,commonly known as Lease Site W-4,
13701 Wing Way,commonly known as Lease Site W-5,and
13745 Wing Way,commonly known as Lease Site W-6,
Fort Worth, Texas (hereinafter individually referred to as a"Parcel"
and collectively referred to as the "Premises"), as shown in Exhibit
"A", attached hereto and hereby made a part of this Lease for all
purposes.
2 The documents attached hereto as Exhibit "A" shall replace the previous Exhibit
"A" attached to CSC No. 34065 and shall be incorporated therein by reference for all
purposes. The statements set forth in the recitals above are true and correct and form the
basis upon which Lessor and Lessee have entered into this Agreement. The Lease is a
public document on file in Lessor's City Secretary's Office and is incorporated herein by
reference for all purposes.
3. Section 4.1 ("Mandatory Improvements")of the Lease is hereby amended to include
the following:
4.1.1 In accordance with Section 4.1 of this Lease, changes to the
provisions and specifications of Exhibit "B", referred to in this Lease as
"Mandatory Improvements" have been made by both Lessor and Lessee.
Accordingly, Lessor and Lessee hereby agree to those changes and now
attach a revised Exhibit "B" known as Exhibit "B-1" which is hereby
incorporated into the Lease for all purposes. In accordance with this Lease,
Exhibit"B-1"hereby supersedes the previous Exhibit"B".
4. All other provisions and conditions of the Lease that are not expressly amended
herein or directly in conflict with the provisions and conditions of this Amendment shall
remain in full force and effect.

RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to:
1. Execute Amendment No. 1 to City Secretary Contract No. 34065, an unimproved ground lease
agreement with mandatory improvements with Spinks West Side Associates, LLC, at Fort Worth Spinks
Airport; and
2. Execute a written Consent to Deed of Trust Lien by Spinks West Side Associates, LLC, in favor of
Southwest Securities, FSB, for Leased Premises 13601, 13655, 13701 and 13745 Wing Way at Fort Worth
Spinks Airport.
DISCUSSION:
On September 29, 2006, City Secretary Contract (CSC) No. 34065 was executed through M&C's C-20855,
C-21373 and C-21374 as approved by City Council. CSC No. 34065 is an unimproved ground lease with
mandatory improvements with Spinks West Side Associates, LLC, for the construction of four aircraft
hangars at Fort Worth Spinks Airport. Spinks West Side Associates, LLC, currently leases lease sites
known as 13601, 13655, 13701 and 13745 Wing Way, Fort Worth, Texas.
CSC No. 34065 identifies four parcels of unimproved ground as physical addresses 13601, 13655, 13701
and 13745 Wing Way. These parcels will also be reflected within the airport as Lease Sites W-3, W-4, W-5
and W-6.
Staff has been informed of a change to the initial Exhibits "A" and "B" attached to CSC No. 34065 which
indicates the boundary lines for each parcel and each hangar square footage. Article I, Section 2-9(d) of the
Fort Worth City Code requires City Council approval prior to execution or acceptance by the City Manager
of any contract or other legal instrument for the sale, lease or purchase of real property. A new site plan has
been provided with the corrected boundaries. This change requires amending Exhibit °B", to reflect 13601
(W-3) 28,800 square feet, 13655 (W-4) 42,980 square feet, 13701 (W-5) 36,840 square feet, and 13745
(W-6) 18,420 square feet. The new site plan will replace the previous Exhibit "A" attached to CSC No.
34065.
All other terms and conditions of CSC No. 34065 will remain unchanged and in effect.

Mr. Darrell Clendenen, President of Spinks West Side Associates, LLC, wishes to obtain financing for the
four aircraft hangars from Southwest Securities, FSB. Accordingly, Spinks West Side Associates, LLC, has
requested the City's consent to the execution of a Deed of Trust Lien on the premises in order for the Bank
to secure their loan. The Deed of Trust Lien will grant the Bank the right to operate as Lessee or to secure
another tenant in place of Spinks West Side Associates, LLC, if approved by the City Council, in the event
that Spinks West Side Associates, LLC, defaults on the loan or their lease with the City of Fort Worth. The
Lease Agreement prohibits Spinks West Side Associates, LLC, from making any assignment of the Lease
or causing any lien to be made on improvements constructed on the Leased Premises without City Council
approval. This type of transaction is routine for large airport tenants and City staff has no objection to
Spinks West Side Associates' request.
Fort Worth Spinks Airport is located in COUNCIL DISTRICT 8.
