FORT WORTH SPINKS AIRPORT
UNIMPROVED GROUND LEASE AGREEMENT
WITH MANDATORY IMPROVEMENTS
This AMENDMENT NO. 2 ("Agreement") is made and entered into by and between the
CITY OF FORT WORTH ("Lessor"), a home rule municipal corporation organized under the
laws of the State of Texas and SPINKS AIR ASSOCIATES, LLC ("Lessee"), a Texas Limited
Liability Company acting by and through Darrell Clendenen, its duly authorized Managing
Member.
RECITALS
A. WHEREAS, on or about June 30, 2004, Lessor and Lessee entered into City Secretary
Contract ("CSC") No. 30198, an unimproved ground lease agreement with mandatory
improvements for approximately eighty six thousand six hundred thirty three (86,633) square feet
of unimproved ground, at Fort Worth Spinks Airport ("Airport"); and
B. WHEREAS, on or about July 26, 2005, Lessor and Lessee executed CSC No. 32139
amending the original Lease to increase the square footage of the Leased Premises to approximately
one hundred three thousand four hundred eighty two (103,482) square feet of unimproved ground at
the Airport (the "Leased Premises"). CSC No. 30198 and CSC No. 32139, shall hereinafter
collectively be referred to as the"Lease;" and
C. WHEREAS, Lessee now requests to reduce the Leased Premises by Fifty Four Thousand
Six Hundred (54,600) square feet, including the release of two existing executive box hangars and
amend the total square footage of the Leased Premises; and
D. WHEREAS, Lessor and Lessee now wish to amend the Lease to reflect the above
mentioned changes to the Leased Premises.
AGREEMENT
NOW,THEREFORE,Lessor and Lessee hereby agree as follows:
1. Section 1 ("Property Leased") of the Lease is hereby amended to read as follows:

1. Property Leased
Fifty Four Thousand Six Hundred (54,600) square feet of improved land, including
two existing executive box hangars, shall be released from the Leased Premises. The new
Leased Premises shall total Forty Eight Thousand Eight Hundred Eighty Two (48,882)
square feet, which shall include three T-Hangar Buildings commonly known and referred to
as 12636 Wildcat Way North units 1 through 14 inclusive, 12617 Wildcat Way North units
15 through 28 inclusive and 12609 Wildcat Way North units 29 through 38 inclusive
("New Leased Premises"). The document attached hereto as Exhibit "A-2" shall replace
the previous Exhibit "A" attached to CSC No. 30198 and shall be incorporated therein by
reference for all purposes.
2. Section 3.1 ("Annual Rent for Premises"of the Lease is hereby amended to read as follows:
Lessee shall pay Lessor rent in the amount of Seven Thousand Three Hundred
Thirty Two and 30/100 Dollars ($7,332.30) which is based on an a rental rate of$0.15 per
square foot on an annual basis, and which will be payable in monthly installments of Six
Hundred Eleven and 63/100 Dollars ($611.03).
3. All other provisions and conditions of the Lease that are not expressly amended herein or
directly in conflict with the provisions and conditions of this Amendment shall remain in full
force and effect.

RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to execute Amendment No. 2 to City
Secretary Contract (CSC) No. 30198, an unimproved ground lease agreement with Spinks Air Associates,
LLC, to remove 54,600 square feet of existing aircraft storage hangars, at Fort Worth Spinks Airport.
DISCUSSION:
On February 24, 2004, (M&C L-13765) the City Council approved an unimproved ground lease with
mandatory improvements with Spinks Air Associates, LLC, at Fort Worth Spinks Airport, which is styled as
CSC No. 30198. This lease was later amended by CSC No. 32139 to expand the leased premises from
86,633 square feet to 103,482 square feet and to revise the scope of the mandatory improvements. The
mandatory improvements have been completed.
Mr. Darrell Clendenen, Managing Member of Spinks Air Associates, LLC, and Spinks East Side Executive
Hangars, Inc. (Spinks East Side), proposes to amend the existing lease site on the north east side of Spinks
Airport to create two separate leaseholds. The new proposed ground lease between the City and Spinks
East Side will be 54,600 square feet to include two existing executive box hangars. The leased premises for
CSC No. 30198 will be amended and reduced to 48,882 square feet, which will include three existing T-
Hangar units at the rate of$0.15 annually. Revenue generated from the amended lease will be $611.03 per
month, or$7,332.36 annually.
All other terms and conditions of the lease, as am ended, will remain unchanged and in full effect.
The property is located in COUNCIL DISTRICT 8.
FISCAL INFORMATION/CERTIFICATION:
The Finance Director certifies that the Revenue Section of the Finance Department will be responsible for
the collection and deposit of funds due to the City under this Agreement.
