HomeMy WebLinkAboutContract 53563 Al �tv0�>,OpQ�Q�PQy LICENSE AGREEMENT FOR EMERGENCY ACCESS AT ROLLING HILLS PARK BETWEEN THE CITY OF FORT WORTH,TEXAS AND vc� THE UNITED STATES DEPARTMENT OF JUSTICE FEDERAL BUREAU OF PRISONS This LicenstAgre ment for Emergency Access("Agreement")is entered into on this Aeday of ,00��00-29Mo�"(oI "Effective Date") by and between the City of Fort Worth, Texas, a home-rule municipal corporation of the State of Texas ("City"), and the United States Department of Justice Federal Bureau of Prisons ( "Bureau"). City and Bureau are referred to herein individually as a "party" and collectively as the"parties." WHEREAS,on or about 1971,the United States of America, acting by and through the Secretary of the Interior and the Director of the Bureau of Outdoor Recreation, deeded to the City a certain piece of real property known as Rolling Hills Park located at 2525 Joe B. Rushing Road,Fort Worth,Texas 76119 ("Park"), a description of which is attached hereto as Exhibit"A"and incorporated herein for all purposes, which said deed is filed of record with the County Clerk of Tarrant County,Texas and is subject to certain reservations, exceptions,restrictions, conditions, and covenants maintained by the United States; and WHEREAS, the deed requires that the Park shall be maintained for public park and public recreation purposes, in perpetuity; and WHEREAS,the Bureau operates a prison facility,located adjacent to and north of the Park,known as Federal Medical Center Fort Worth, located at 3150 Horton Road,Fort Worth,Texas 76119("FMC Fort Worth"); and WHEREAS, the Bureau desires to use a small portion of the Park as an alternate means for the Bureau's emergency response vehicles and emergency response trailers to travel between FMC Fort Worth and Joe B. Rushing Road for emergencies at FMC Fort Worth or to respond to emergencies at other federal prison facilities owned, operated, or controlled by the Bureau when the primary entrance at FMC Fort Worth is not available; and WHEREAS, such use by the Bureau would serve a vital public purpose; and WHEREAS, the City has determined that the Bureau's request to use of a portion of the Park for such purposes would not adversely affect the public's use and enjoyment of the Park and the purpose for OFFICIAL RECORD License Agreement for Emergency Access United State Federal Bureau of Prisons CITY SECRETAEi FT. WORTH,TX which the Park was deeded to the City,and therefore the City agrees to grant the request in accordance with the terms and conditions of this Agreement. NOW THEREFORE for and in consideration of the mutual covenants contained in this Agreement, the sufficiency of which is hereby acknowledged, City and Bureau agree as follows: 1. Incorporation of Recitals and Grant of License. 1.01 The Parties agree that the recitals set forth above are true and correct and form the basis upon which the Parties have entered into this Agreement. 1.02 City, as owner of the Park, does hereby grant unto Bureau a non-exclusive license to enter upon and use the portion of the Park("Licensed Premises") set forth in Exhibit`B"which is incorporated herein by reference. The Licensed Premises is granted, as an alternate access point to allow Bureau's emergency response vehicles and emergency response trailers to travel between FMC Fort Worth and Joe B. Rushing Road for the purpose of responding to Emergencies at FMC Fort Worth or other prison facilities owned, operated, or controlled by the Bureau when the primary entrance at FMC Fort Worth is not available. Bureau's use of the Park shall be limited to the area depicted in Exhibit"B". 2. Term.The term of this Agreement shall be for ten(10)years,beginning on the Effective Date. This agreement may be extended for up to four additional ten(10)year periods upon mutual agreement of the parties. 3. Emergency. The term "Emergency", as used in this Agreement, shall mean any crisis on any property owned, operated or controlled by the Bureau, during which a Bureau official determines assistance from other Bureau of Prisons facilities or locations; outside Federal, state, or local law enforcement agencies; or other emergency response agencies are required for resolution. An Emergency may include, but is not limited to weather related property damage, institutional disturbances, fires, escapes, attempted escapes, significant physical injury requiring immediate medical attention, and significant destruction of property. Such an Emergency may occur at FMC Fort Worth or other property owned, operated, or controlled by the Bureau. 4. Emergency vehicles. The type and quantity of vehicular traffic required to travel along the Licensed Premises during an Emergency shall be determined by the Bureau and any Federal, state, and local law enforcement and emergency response agencies or resources responding to the Emergency. 5. Routine Maintenance. In consideration of the License for Emergency Access granted to Bureau by the City, the Bureau agrees to repair any damage that occurs to the Licensed Premises as a result License Agreement for Emergency Access 2 of 35 United State Federal Bureau of Prisons of the Bureau's use of the Licensed Premises. Such repairs to occur within a reasonable time after the damage occurs. 6. Trees and Vegetation._ If the Bureau determines that trees or vegetation along the Licensed Premises need to be trimmed, pruned, cut back, or otherwise maintained to ensure the Licensed Premises remains passable at all times for an Emergency, the Bureau shall notify the City. The City and Bureau will agree upon the tree limbs or vegetation that need to be removed or cut back and the City will remove or cut back the tree limbs and vegetation. 7. No permanent improvements. Nothing in this Agreement shall be taken to mean or imply that the Bureau will be obligated to make any permanent improvements(including paving)to the Licensed Premises beyond routine maintenance discussed in paragraph 5 of this Agreement. To the extent any permanent improvements are determined to be necessary in the future, the Bureau and City will discuss the matter, and if an agreement is reached, execute an amendment to this Agreement. 8. Termination. Either party may terminate this Agreement, without cause, after thirty (30) days' written notice to the other party,or immediately upon a breach of this Agreement by the other party. 9. Use not Exclusive. This Agreement and all rights granted to the Bureau herein are strictly non- exclusive. The City reserves the right to enter into and grant other and future licenses, leases, and other authorizations for use of the Park to other persons and entities as the City deems appropriate in accordance with applicable law; provided, however, that in granting subsequent authorization for use, the City will not allow a use that will unreasonably interfere with the Bureau's use of the Park as provided herein. This Agreement does not establish any priority for the use of the Park by Bureau or by any present or future licensees or other permit holders. In the event of any dispute as to the priority of use of the Park,the first priority shall be to the public generally,the second priority to the City in the performance of its various functions, and thereafter, as between licensees and other permit holders, as determined by the City in the exercise of its powers, including the police power and other powers reserved to and conferred on it by the State of Texas. The Bureau will notify the City of any Emergencies that require that use of the Licensed Premises. The City will notify the Bureau if an emergency, construction activity or other event would impede the Bureau's use of the Licensed Premises. If an emergency is declared by either Party,then that Party's use of the Licensed Premises shall take priority over all other uses, including those of the other Party to this agreement. The parties further agree that if both declare Emergencies at the same time, the Parties will coordinate the use of the Licensed Premises. The points of contact for the parties for compliance with this section of the Agreement are delineated in Paragraph 19 of this Agreement. Notwithstanding the notification requirements of any other paragraph in this agreement, License Agreement for Emergency Access 3 of 35 United State Federal Bureau of Prisons notifications of an emergency situation pursuant to this paragraph may be made verbally or telephonically as the situation allows. 10. Traffic Control. The Parties agree that additional gates, fences, barriers, checkpoints, or other traffic monitoring or control devices along the Licensed Premises do not appear to be necessary. To the extent either party determines such devices or control become necessary to its use of the Licensed Premises in the future, no such additional gates, fences, barriers, checkpoints, or other traffic monitoring or control devices shall be erected except upon consultation with the other Party in order to ensure neither Party's access is impeded. Any such actions taken by either Party shall be taken solely at that Party's expense, and upon adequate notice unless other arrangements are agreed upon by the Parties in writing and separately documented. 11. Access Gate. The parties agree that both must have access to open and secure the gate controlling access on the Licensed Premises. Presently, this gate is secured by a locking device owned and controlled by the City. The parties agree to replace the locking device on the gate with a tandem lock which is mutually agreeable to the parties,and which gives both parties access consistent with this Agreement. 12. Liability.Both parties shall be responsible for their own costs incurred as a result of this Agreement. 13. Maintenance and Construction Activities. Should any maintenance or construction activities be required to ensure the road remains passable for Bureau emergency vehicles, all construction activities and routine maintenance activities conducted by the Bureau shall be coordinated with the City. The Bureau agrees to provide such traffic control, flagmen, or other safety precautions as are required to ensure the safety of others is not adversely affected during construction or routine maintenance activities. 14. Advance Notice of Construction Activities. The City shall further notify the Bureau of any plans for construction, maintenance, or other projects which would temporarily or permanently change, reconfigure,or otherwise alter the Park in any manner which will impact the Bureau's access to the Licensed Premises which is the subject of this Agreement,and which is identified in Exhibit B. To the extent the Bureau's access to the Licensed Premises is impeded or altered in any way,the City shall take all necessary measures to minimize the impact to the Bureau prior to beginning any construction,maintenance,or other projects including but not limited to,providing alternate routes or means of ingress and egress for emergency vehicles to travel between FMC Fort Worth and Joe B. Rushing Road during an Emergency. 15. Documenting Condition of Licensed Premises. Bureau shall provide City with photographic documentation of the condition of the Licensed Premises at the time this Agreement is signed. These photos shall be attached to and incorporated into this agreement as Exhibit C. License Agreement for Emergency Access 4 of 35 United State Federal Bureau of Prisons 16. Limitation on Use. Bureau's use of the Park shall be limited to the areas depicted in Exhibit B. 17. Compliance with Laws. Both parties shall, at their own cost and expense, comply with all applicable laws, including, but not limited to, existing zoning ordinances, governmental rules and regulations enacted or promulgated by any governmental authority and applicable to Agencies of the United States Government. The Bureau agrees to promptly execute and fulfill all orders and requirements imposed by such governmental entities for the correction, prevention and abatement of nuisances in or upon or connected with said premises because of Bureau's use thereof. 18. Environmental Liability. In the event any liability arises under federal and/or state environmental laws, as a result of the either party's actions or failure to act,the party responsible for causing the violation shall be responsible for any clean-up costs, response costs, natural resource damages, penalties, or any other costs, including the cost of any studies and investigation necessary to determine an appropriate response to the contamination, and of any clean up or other response costs. 19. Notice. All notices required or permitted under this Agreement shall be conclusively determined to have been delivered when(i)hand-delivered to the other party, its agent, employee, servant, or representative, (ii)received by the other party by reliable overnight courier or United States Mail, postage prepaid, return receipt requested, at the address stated below or to such other address as one party may from time to time notify the other in writing,or(iii)received by the other party via electronic mail at the electronic mail address stated below or to such other electronic mail addresses as one party may from time to time notify the other in writing. Public Safety. Bureau shall be solely responsible for initiating, maintaining, and supervising all safety precautions and programs in connection with the Bureau's use of the existing road within the Park. 21. Hazardous Materials. Under no circumstances will the Bureau use or cause to be used in the Park any hazardous or toxic substances or materials, or intentionally or knowingly store or dispose of any such substances or materials on the Park. However, in an emergency, hazardous or toxic substances or materials may be transported by the Bureau or its designees through the Park property via the Licensed Premises. Should such an emergency occur, the Bureau agrees to minimize the transport of hazardous materials through the park to the greatest extent possible including, but not limited to, prioritizing other avenues of ingress and egress between the prison and public roads. 22. Force Majeure. If either party is unable, either in whole or part,to fulfill its obligations under this Agreement due to acts of God; strikes, lockouts, or other industrial disturbances; acts of public enemies; wars; blockades; insurrections; riots; epidemics; public health crises; earthquakes; fires; floods; restraints or prohibitions by any court, board, department, commission, or agency of the United States or of any state;declaration of a state of disaster or of emergency by the federal, state, county, or City government in accordance with applicable law; issuance of an Imminent Threat Alert or Elevated Threat Alert by the United States Department of Homeland Security or any equivalent alert system that may be instituted by any agency of the United States; any arrests and restraints; civil disturbances; or explosions; or some other reason beyond the parry's reasonable control (collectively, "Force Majeure Event"), the obligations so affected by such Force Majeure Event will be suspended only during the continuance of such event. If a Force Majeure Event occurs,the City may, in its sole discretion,close or postpone the opening of its community centers, parks,or other City-owned and operated properties and facilities in the interest of public safety and operate them as the City sees fit. 23. AntiDeficiency Act. Nothing contained herein shall be construed to obligate the U.S.Department of Justice, Federal Bureau of Prisons to any expenditure or obligation of funds in excess or in advance of appropriations in accordance with the Antideficiency Act, 31 U.S.C. § 1341. 24. Choice of Law; Venue. This Agreement shall be governed by and construed in accordance with Federal Law. If any action,whether real or asserted,at law or in equity,arises on the basis of any License Agreement for Emergency Access 6 of 35 United State Federal Bureau of Prisons provision of this Agreement, venue for such action shall lie in the United States District Court for the Northern District of Texas - Fort Worth Division. Prior to proceeding with any litigation or other judicial or administrative actions,the parties agree to make a good faith effort to resolve any disputes amicably.between themselves. 25. Entire Agreement. This Agreement contains all of the agreements between the parties respecting the subject matter hereof, and no prior representations or statements, verbal or written, have been made modifying, adding to, or changing the terms of this instrument. 26. No Waiver of Immunity. Nothing herein shall be deemed to limit or waive the sovereign or governmental immunity of City or Bureau. 27. Assignment. This Agreement, in whole or in part, is not assignable by either party, without the express written consent of the other party. Any attempt to assign this Agreement without the required consent is void and without force and effect. 28. Future Construction Activities. With the exception of routine maintenance and landscaping work described in this Agreement, any construction, use, or occupation on the Licensed Premises which is the subject of this Agreement shall be without cost to the Bureau; except that any construction along the Licensed Premises by the Bureau and solely for the use or convenience of the Bureau, will be completed at the Bureau's expense and shall be agreed upon by the Parties and set forth in an amendment to this Agreement. 29. Liability. Each party shall be liable for its own negligence in carry out the terms of this Agreement.
