WHEREAS, City and Assignor made and entered into City Secretary Contract No. 44480 on May 28, 2013 (the Agreement), filed as Instrument No. D2 1 3 1 3 8447 in the Real Property Records of Tarrant County, Texas, to authorize the use of the Public Right-of-Way for the construction of bike sharing stations, consisting of an information kiosk and bicycle docks located at various locations throughout the City; and WHEREAS, the Agreement was amended on July 9, 2013 by City Secretary Contract No. 44480-A1, filed as Instrument No. D213181236 in the Real Property Records of Tarrant County, Texas to add four(4) additional bike sharing stations to the Agreement; and WHEREAS, the Agreement was amended a second time on January 12, 2015 by City Secretary Contract No. 44480-A2, filed as Instrument No. D21012076 in the Real Property Records od Tarrant County, Texas to add an additional six (6) stations for a total of twenty-nine (29) bike sharing stations; and WHEREAS, Assignor now desires to assign the Agreement to Fort Worth Bike Sharing, a Texas non-profit corporation (Assignee); and WHEREAS, the City approves of such assignment; and WHEREAS, the City. Assignor, and Assignee wish to amend the Agreement to remove one (1) bike station and to add three (3) new bike station locations for a total of thirty one (31) stations; and WHEREAS, it is the mutual desire of City, Assignor, and Assignee to execute this Assigmment and Amendment to formally memorialize the assignment of the Agreement and to replace and supersede Exhibit "A" in the Agreement in order to depict the revised encroachment areas. OFFICIAL RECORD CITY SECRETARY FT. WORTH,TX NOW, THEREFORE, the City of Fort Worth does hereby consent to the assignment of the Agreement from Assignor to Assignee and all parties to amend the Agreement as follows. 1. Assignment For and in consideration of the City's approval of the assignment of the Agreement, Assignee hereby expressly accepts and assumes all obligations and liabilities of Assignor under the terms of the Agreement and agrees to be bound by all the terms, provisions and covenants contained therein. 2.Amendment Exhibit"A" in the Agreement is hereby replaced in its entirely with the description of the encroachment area, attached hereto as Exhibit"A." 3. All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect.
