(hereafter "Vendor") a Corporation. City and Vendor shall be [ referred to individually as a Party and collectively as the Parties. WHEREAS,on January 14,2020,the Parties entered into City Secretary Contract 53407 for Vendor to provide a people counting solution for the Library("Agreement"); and WHEREAS, the Contract provided the contract would be for a one year term with 1 unlimited one-year renewal options;and WHEREAS, the Parties wish to amend the Agreement to reflect the updated locations and needs by the City;specifically to remove two locations and to add three entry points for a new library location. NOW, THEREFORE, the Parties, acting herein by the through their duly authorized representatives,enter into the following agreement: 1. AMENDMENTS 1. Section 3. COMPENSATION. Is hereby amended and replaced in its entirety with the following: City shall pay Vendor in accordance with the fee schedule under this Agreement in accordance with the provisions of this Agreement and Exhibit"B "p gr Price Schedule.Total payments made under this Agreement for the first year by City shall be in the amount of Thirty-one thousand three hundred and twenty-five dollars ($31,325). Total payment made under this Agreement for annual data hosting and reporting following the Initial Term shall be One hundred eighty dollars($180)for each location serviced. Fees for any renewal year shall not increase by more than 3% over the previous year's fees. The City shall be able to add new Library locations by purchasing additional hardware along with data hosting and reporting services for the new location at the then-current rate for the other locations subject to this Agreement. Vendor shall not perform and additional services or bill for expenses incurred for City not specified by this Agreement unless City requests and l approved in writing the additional costs for such services. City shall not be liable for any additional expenses of Vendor not specified by this Agreement unless City first approved I such expenses in writing. :11111"SECRETARY FLU-. The vendor shall configure and install all physical equipment and connections i within 12 weeks following execution of this Agreement by both Parties. The vendor shall utilize the City's Information Technology Solutions(ITS)department approved data wiring contractors if required during the installation phase. The vendor shall setup and configure data hosting and collection of data. The vendor shall setup and configure on demand reports that can be exported,and scheduled for automatic delivery. The vendor will also provide training for report customizations. All data collected shall be owned by the City. Vendor shall not access the City's secured data network unless the City agrees for it to do so in a separate written instrument or by amendment to this Agreement. Vendor will have access to the unsecured public data network.
