MEMORANDUM OF UNDERSTANDING AND AGREEMENT
BETWEEN
CITY OF FORT WORTH
AND
ARBOR EDUCATION & TRAINING, L.L.C.
Outreach/Youth Workforce Development Services for the North Tri-Ethnic Community Center
This Memorandum of Understanding and Agreement (Memorandum and Agreement) is made
and entered into this the day of August, 2008, by and between the City of Fort Worth, a
Texas home -rule municipal corporation located in Tarrant, Denton, Parker, and Wise Counties,
acting by and through its duly authorized Assistant City Manager, (hereinafter referred to as the
City), and Arbor Education &Training, L.L.C., a Texas limited liability company and certified
Operator for Youth Services under Workforce Solutions for Tarrant County, acting by and
through its duly authorized Project Director (hereinafter referred to as Arbor).
Purpose
Arbor and City have a relationship that effectively links workforce development, community
services, and training opportunities in Tarrant County, and share a common interest in helping
youth in the community become productive members of the workforce. The purpose of this
Memorandum and Agreement is to outline the responsibilities of the parties with respect to
workforce development services to be provided at the Northside Tri-Ethnic Community Center
site located at 2950 Roosevelt Avenue, Fort Worth, Texas 76106.
History
Arbor serves in -school and out -of -school youth ages 16 - 21 who meet the eligibility
requirements of the Workforce Investment Act ("WIA"), live at or below the poverty level, and
have poor basic skills. Out -of -school youth typically have limited work histories and require
guidance in choosing an occupation and securing a career. In -school youth often are at risk of
dropping out and benefit from academic enrichment and work -based learning.
City through its Parks and Community Services Department serves the general population
of Fort Worth by providing recreational, educational, and community resources and activities for
all ages.
Arbor's Responsibilities
In accordance with and subject to the following terms, Arbor will provide an Outreach Specialist
(OS) and a Career Specialist (CS) to be housed at the North Tri-Ethnic Community Center
(NTECC) in an office designated by the City as referenced herein.
• Arbor will provide two staff members whose primary responsibility will be the delivery
of Outreach, Career, and Case Management services to WIA-eligible youth. The OS
and CS staff members will provide outreach activities which will include job readiness
workshops (Project CEO), employment and training opportunities, information and
referral to community agencies, and academic/educational resources that are age
appropriate for youth 16 — 21.
• Arbor will purchase and arrange for installation of telephone, computer, and printing
equipment for use in the designated space and will pay all monthly telephone and
computer charges associated with use of such equipment.
• .Arbor will provide at its own expense program materials, supplies, and copies.

• Arbor will maintain its designated office space in a neat and orderly fashion in
accordance to the Cleanliness Standards attached in Appendix A.
• Arbor will maintain NTECC standards for security, cleanliness, and communication
between and among programs housed at NTECC; and cooperate with other NTECC
staff and programs.
• Arbor will return space used for their program activities to the same neat and clean
condition in which they were found before the start of the activity.
• Arbor will maintain sole responsibility and liability for its employees and the actions
they perform pursuant to this Memorandum and Agreement.
City's Responsibilities
City agrees to the following regarding the operation of the NTECC facility referenced herein:
• City will provide a designated office, including basic utilities, at no charge to Arbor
and will also supply Arbor with appropriate facility access through the provision of
building keys and/or security codes.
• City will not be responsible for any additional security other than what is currently
available at NTECC.
• City assumes no liability or responsibility for the loss of any personal property or
office contents while at the Community Center.
• City will allow Arbor to conduct classes and other youth -related activities during the
regular Community Center hours with advanced notification and approval from the
center coordinator. All program activities must be scheduled with NTECC staff
through the Class Reservation System to ensure no conflict with other community
center programming.
• City agrees to make referrals from the Community Action Partners program and to
provide target population demographics and general contact information to support
outreach efforts and program design.
• City will provide routine cleaning and maintenance of space used by Arbor.
• City will maintain cooperative spirit with Arbor program and staff.
• City will permit posting of Arbor -related signs and posters to publicize the program.
Arbor and City agree to provide the above services detailed within- this Memorandum and
Agreement. Both parties agree in the coordination of these service activities to abide by federal,
state, and City laws, regulations, and guidelines regarding equal opportunity, Drug -Free
Workplace, and financial reporting.
Period of Performance:
The term of this Memorandum and Agreement shall commence on ���y �`�� 2�Fi and shall
continue until such time as terminated in accordance with the Termination paragraph of this
Memorandum and Agreement.
Modification:
Amendments to this Memorandum and Agreement may be proposed by either party and shall
take effect on written approval by both parties.

Termination:
Either party may terminate this Memorandum and Agreement by providing thirty (30) days
written notice to the other party.
Independence of Parties:
Each party shall operate independently and not as an officer, agent, servant, or employee of the
other party. Each party shall have exclusive control of and the exclusive right to control the
details of its own performance hereunder, and all persons performing same, and shall be solely
responsible for the acts and omissions of its officers, agents, servants, employees, and
subcontractors. The doctrine of respondeat superior shall not apply as between City and Arbor,
their officers, agents, servants, employees, subcontractors, or program participants, and nothing
herein shall be construed as creating a partnership or joint enterprise between City and Arbor.
It is expressly understood and agreed that no officer, agent, employee, or subcontractor of
Arbor is in the paid service of City, and neither party's employees shall be considered joint
employees. '
Delivery of Notices:
Notices to be provided hereunder shall be sufficient if forwarded to the other party by hand
delivery or via U.S. Postal Service first class mail, postage prepaid, to the address of the other
party shown below:
