HomeMy WebLinkAboutContract 37511CITY CFGRETARY N Ti tACCT NO. ��J FIRST AMENDMENT OF CITY SECRETARY CONTRACT NO. 33792 LEASE AGREEMENT - OLD FIRE STATION NO, 10 THIS FIRST AMENDMENT OF CITY SECRETARY CONTRACT NO. 33792 ("Amendment") is made and entered into this the 22"d day of August 2008, by and between the CITY OF FORT WORTH, a home rule municipal corporation of the State of Texas, located within Tarrant, Denton, Parker, and Wise Counties, Texas (the "City") and the Friends of Old Fire Station No. 10 (the "FOFS 10"), a Texas nonprofit corporation. RECITALS The City and FOFS 10 hereby agree that the following statements are true and correct and constitute the basis on which the City and FOFS 10 have entered into this Amendment: WHEREAS, on February 7, 2006, the City Council approved M&C G-15083, authorizing the award of certain of the City's FY 2005 allocation of its Community Development Block Grant ("CDBG") funds for certain neighborhood revitalization activities as part of the South Hemphill Heights Model Blocks program including $170,000.00 for the rehabilitation of Old Fire Station No. 10, located at 2804 Lipscomb, Fort Worth, Texas 76110 (the "Leased Premises"), and $80,000.00 for future development of park facilities adjacent to the Leased Premises; WHEREAS, the FOFS 10 has occupied the Leased Premises since May 1992 on year to year lease but requested a longer term in order to obtain grant funding for its revitalization and rehabilitation activities; WHEREAS, on April 25, 2006, the City Council approved M&C C-21411, authorizing the execution of a ten-year lease agreement between the City and FOFS 10 for the Leased Premises; WHEREAS, on July 27, 2006, the City as Lessor entered into a lease agreement styled "Lease Agreement —Old Fire Station No. 10" (the "Lease"), with FOFS 10 as Lessee, the same being City Secretary Contract No. 33792; WHEREAS, on June 15, 2007, City and FOFS 10 entered into City Secretary Contract No. 35424 in which the City awarded FOFS10 the previously allocated $170,000 in CDBG funds to rehabilitate the Leased Premises to make them a focal point of neighborhood activities as part of the revitalization of the South Hemphill Heights neighborhood, WHEREAS, on April 3, 2007, the City Council approved M&C L-14299, authorizing the direct sale of certain tax foreclosed surplus property legally described as Lots 1 through 7, Block 12, South Hemphill Heights Addition and located adjacent to the Leased Premises (the "Additional Premises") to the City for the purpose of leasing said property to FOFS 10 for development and use as a neighborhood playground at no expense to City; OFFiCiAi, RECORD CITY SECRETARY FT WORTH, TX i WHEREAS, on March 18, 2008, the City Council approved M&C C-22708, authorizing amendment to the Lease to include the "Additional Premises" to be developed and maintained by FOFS 10 at its own expense as a neighborhood playground; and WHEREAS, City and FOFS 10 desire and agree to amend the Lease to add the Additional Premises for development and use as a neighborhood playground under the terms and conditions of the Lease. NOW, THEREFORE, City, acting by Manager, and FOFS 10, acting by and through agree to amend the Lease as follows: and through its duly authorized Assistant City its duly authorized Board President, do hereby AGREEMENT IT IS HEREBY agreed as follows: 1. The portion of the Lease describing the property to be leased is hereby amended to be and read as follows: Lots 23 and 24, Block 12, South Hemphill Heights Addition, the same being that certain two-story brick building known as Old Fire Station No. 10, consisting of a total of approximately 5,400 square feet, located at 2408 Lipscomb Street in Fort Worth, Texas, 76110 and the land on which said building is situated; and Lots 1 to 7, Block 12, South Hemphill Heights Addition, all as more particularly described in the attached Exhibit "A" incorporated herein for all purposes, and hereinafter referred to as the "the Leased Premises." 2. Paragraph 3 is hereby amended by deleting the second subparagraph (f) and adding the following subparagraphs: (g) Development at no expense to Lessor of Lots 1 to 7, Blocic 12, South Hemphill Heights Addition in coordination with the City of Fort Worth's Parks and Community Services Department as a neighborhood playground open to all City citizens; provided however, nothing herein shall prevent Lessee from applying for federal grant funds through Lessor. (h) Maintenance of Lots 1 to 7, Blocic 12, South Hemphill Heights Addition at Lessee's sole expense as a neighborhood playground open to all City citizens. (i) Such other uses as may be approved by the City Manager in writing from time to time. 3. Exhibits "A" and "B" attached to the Lease are hereby replaced with the Exhibits "A" and "B" attached to this Amendment. 4. All other terms and provisions of the original Lease between City and FOFS 10 shall remain in full force and effect except as specifically amended herein. FRIENDS OF OLD FIRE STATION NUA U PERFORMANCE MEASURES Performance measures for each year for the ten-year term of the lease agreement would be highly speculative. For this reason this document approaches the task as follows: PART I will list the performance measures that are planned for the years 2006-2008 with an estimate of number of meetings and attendance, depending on the completion of the rehabilitation of the first and second floors of the leased premises. PART II will list performance measures that may be attempted over the remaining years of the lease term. By November 30 of every other year beginning in 2008, the Board of FOFS 10 will review and revise the list in PART II and then choose the performance measures for the coming year. Choices will be determined after considering community and neighborhood needs, space available (such as use of second floor renovation), financial abilities of FOFS 10, City codes, and FOFS 10 staff and volunteers available. If need and opportunity occur during any year, other performance measures can be added and the Board will not have to wait until November to include them in the FOFS 10's program. By November 30 of every other year the Board will also attempt to increase the goal number of individuals to be served in the coming year. They will also meet monthly for fun activities such as Super Saturdays (average attendance 10-15). Families of students will have a social monthly (average attendance — 15). DISCUSSION: On April 25, 2006, the City Council authorized the City Manager to enter into a lease agreement with Friends of Old Fire Station No.10 for the property located at 2804 Lipscomb Street. (City Secretary Contract No. 33792) On April 3, 2007, the City Council authorized the direct sale of the tax foreclosed surplus property legally described as Lots 1 through 7, Block 12, South Hemphill Heights Addition to the City of Fort Worth. City staff recommends amending the lease agreement to include these lots to be used for a neighborhood playground. Friends of Old Fire Station No. 10 will maintain the property at no cost to the City.
