CONTRACT NO.37496
THIS SECOND EXTENSION to City Secretary Contract No. 37496 (hereinafter "Extension") is
entered into by and between the City of Fort Worth ("City"), a home -rule municipality in the State of
Texas, acting through Fernando Costa, its duly authorized Assistant City Manager, and Goodwill
Industries of Fort Worth, Inc. ("Contr ct, "), Texas non-profit corporation located in Tarrant
County, Texas by and through^ 1 0 , its duly authorized President/Vice-President.
WHEREAS, the City and Contractor entered into that certain agreement identified as City Secretary
Contract No. 37496 (also the "Contract") commencing on July 1, 2008 and ending June 30, 2009
with two one-year extensions for the provision of recycling and re -use or, as appropriate, disposal of
certain electronic waste equipment from City's citizens for the purpose of providing an effective,
affordable and environmentally sound process for disposition of such items for all areas within the
city limits of the City; and
WHEREAS, the City and Contractor exercised the first extension option known as City Secretary
Contract No. 37496-A1 on or about September 3, 2009 for the period beginning July 1, 2009 and
ending June 30, 2010; and
WHEREAS, the parties wish to exercise their second option renewal to the Contract for the period
beginning July 1, 2010 and ending June 30, 2011; and
WHEREAS, the parties agree that all other conditions, terms and pricing shall remain the same as
stated in City Secretary Contract No, 37496.
NOW, THEREFORE, for and in consideration of the mutual covenants contained herein, and other
good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged and
confessed, the parties hereto agree as follows:
The Partnership Agreement with Goodwill Industries of Fort Worth, Inc. for Electronic Waste
Collection, Reuse, Recycling and Disposal Services known as City Secretary Contract No. 37496
shall be extended pursuant to Section 1 "Term" for its second one-year extension being for the time

Authorize the Execution of a Partnership Agreement with Goodwill Industries of Fort Worth, Inc., for
Electronic Waste Collection, Reuse, Recycling and Disposal Services
RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to execute an agreement with
Goodwill Industries of Fort Worth, Inc., to provide electronic waste services to the Department of
Environmental Management for a period of one-year from July 1, 2008, to June 30, 2009, with two options
to renew for additional one-year terms.
DISCUSSION:
In March of 2005, the City and Goodwill entered into a pilot partnership agreement for the collection,
reuse, recycling, and disposal services of electronic wastes (excluding televisions) at no cost to the
City. The original term was for one year plus two one-year renewal option periods. In July 2007, an
amendment was made to this agreement to test the feasibility of including televisions at no cost. This test
concluded that there was an excessive cost to Goodwill for the processing of televisions. Goodwill and the
City desire to continue this partnership agreement under the same terms of the previous agreement, with
the exception that Goodwill will be charging the City up to $0.25 per pound of used televisions to cover
their cost to manage waste televisions. The City and Goodwill wish to enter into a new contract for the
services provided for under the pilot partnership agreement, as amended.
On April 22, 2008, the City and the North Central Texas Council of Governments entered into a grant
contract that provided the City $257000.00 to fund a program to provide television recycling to the
residents of Fort Worth, The City will provide in -kind matching funds of $25,000.00. The authorization to
apply for the grant funding was approved by Council under M&C C-22607 on January 8, 2008.
The services to be provided by Goodwill include:
1. The staffing of six drop off locations (City and Goodwill facilities) throughout Fort Worth for the collection
of household electronic waste (e-waste) dropped off by the residents of the City;
2. Supplying enclosed containers to the City for use at the City drop-off stations to temporarily store e-
waste items dropped off by residents of the City at these locations; and
3. The assessment, sorting and distribution of a -waste items as (a) useable parts; (b) items to be
refurbished; (c) items to be recycled; and (d) other appropriate disposition.
Reusable a -waste items will be refurbished and offered for sale in Goodwill's Computer Works facility. All
e-waste recycled or disposed of will be handled in an environmentally correct and safe manner.
This agreement will allow the City to have a year round a -waste collection program at both City and
Goodwill facilities. It will also enable many a -waste items to be returned to usable condition and re -sold in
the community.
FISCAL INFORMATION /CERTIFICATION.
The Finance Director certifies that funds are available in the current operating budget of the Grant Fund.
