AGREEMENT REGARDING PURCHASE CONTRACT
THIS AGREEMENT REGARDING PURCHASE CONTRACT ("Agreement") is made and
entered into by and between the CITY OF FORT WORTH, TEXAS, acting by and through its duly
authorized City Manager or Assistant City Manager ("Seller"), and 11211 KATY FREEWAY, L.P., a
Texas limited partnershi ("Purchaser"), acting by and through its duly authorized General Partner, on

this ' day of , 2008 ("Effective Date").
RECITALS
A. Seller and Purchaser entered into a Purchase Contract (City Secretary Contract No.
33088) dated as of January 18, 2006 ("Contract") for the sale and purchase of the approximately 1.266
acre tract of land and building located at 1500 North Main Street, as more particularly described in the
Contract (the "Property"),
B. The Contract provides that Purchaser shall use its best efforts to facilitate the creation of
109 jobs. In addition, the Contract provide that Purchaser will provide reasonable documentation to
Seller of job creation "... until the earlier to occur (i) two (2) years from the date of closing or (ii) the date
by which proof of the creation of 109 jobs has been provided to Seller." The Contract provides that this
provision would survive closing.
C. Seller and Purchaser desire to supplement the agreement in the Contract to extend that
period for which Purchaser will provide documentation to Seller of job creation at the Property.
AGREEMENT
In consideration of the mutual covenants in this Agreement, Seller and Purchaser agree as
follows:
1. Seller• and Purchaser agree as follows:
Section 6 of the Contract shall continue for another four (4) years from the date
of this Agreement. Purchaser further agrees to use best efforts to provide such
information as required by Seller in the attached Exhibit "A," and any other
additional information that may be required by HUD. Purchaser agrees to
provide Seller with the contact information for new tenants at the Property, so
that Seller may contact the tenant and obtain the information that is required to be
provided to Seller under this Agreement.
2. This Agreement is executed as of the Effective Date.
3. Purchaser• shall have no liability to Seller or to HUD of any kind or character related to or arising
out of any deficiency in the number of jobs created at the Property. Seller's sole remedy for any breach
by Purchaser of its agreement to provide information on job creation at the Property shall be a suit for
specific performance by Seller to require Purchaser to provide the information, to the extent it is in its
custody or control,
