I�TI�cOAcT i4c. 5 13 q 9-Aa SECOND AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 51348 This Second Amendment to Fort Worth City Secretary Contract No. 51348 ("Second Amendment") is made between the City of Fort Worth ("Fort Worth"), a municipal corporation and Agilent Technologies, Inc., a Delaware corporation. ("Vendor"). WHEREAS, Fort Worth and Vendor entered into an Agreement identified as Fort Worth City Secretary Contract No. 51348, executed on September 25,2018 2016 (the"Agreement");and WHEREAS, the Agreement was amended; on or about October 22, 2018, to amend the term of the Agreement to begin on October 1, 2018 and expired on September 30, 2019; and WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the Agreement to include additional purchases. NOW THEREFORE,known by all these present, Fort Worth and Vendor, acting herein by the through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows: 1. The Agreement is hereby amended by adding Quotation Number 5000720933attached to this first Amendment as Attachment A-1, to Exhibit A of the Agreement, Quotation Number 5000766802 as Attachment A-2 to Exhibit A of the agreement to add additional Preventative Maintenance Services. 2. Section 2 of the Agreement is hereby replaced in its entirety with the following: TERM. This Agreement shall begin on October 1, 2018 and shall expire on September 30, 2021 ("Expiration Date"), unless terminated earlier in accordance with the provisions of this Agreement or otherwise extended by the parties. 3. Section 3 of the Agreement is hereby replaced in its entirety with the following: 3. COMPENSATION. For the term of October 1, 2019 — September 30, 2020, the City shall pay Vendor an amount not to exceed Fifty Seven Thousand, Seven Hundred Thirty-Six Dollars and 59/100 ($57,736.59) in accordance with the provisions of Attachment A-1 of this Agreement and Exhibit "B," Payment Schedule, which is attached hereto and incorporated herein for all purposes. For future terms of the Agreement, the City shall pay Vendor an annual amount not to exceed Sixty Eight Thousand One Hundred Five Dollars and 40/100.00 ($68,105.40) in accordance with the provisions of Attachment A-2 of the Agreement.Vendor shall not perform any additional services for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. The following is added to the Agreement: 31. LINKED TERMS AND CONDITIONS. If any quote attached to the Agreement or any Amendment contains a website link to terms and conditions, the linked terms and conditions located at that website Iink as of the effective date of the quote shall be the linked terms and conditions. To the extent that the linked terms and conditions conflict with any provision of either the Agreement or any Amendment, the provisions contained within the Agreement and any Amendment thereto shall control. If any changes are made to the linked terms and conditions after the date of the respective quote, such changes are hereby deleted and void. Further, if Vendor cannot clearly and sufficiently demonstrate the exact terms and conditions as of the date of the quote, all of the linked terms and conditions are hereby deleted and void. 5. All other terms,provisions,conditions,covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect.
