MAINTENANCE AGREEMENT

THIS AGREEMENT ("Agreement"), made and entered into to be effective September 4,
2008, (the "Effective Date"), by and between BNSF RAILWAY COMPANY, a Delaware
corporation ("Landowner"), and the CITY OF FORT WORTH, a municipal corporation
("City").
WITNESSETH
WHEREAS, the Landowner owns or controls certain real property described as an
approximately 37.015 acre tract located in the David Odum Survey, Abstract 1184, Tarrant
County, Texas according to the deed recorded in Volume 16491, Page 365, Deed Records,
Tarrant County, Texas, hereinafter called the "Property"
WHEREAS, the Landowner is proceeding to build on and develop the Property
according to the Site Plan/Subdivision Plan known as BNSF Unit Train Terminal hereinafter
called the "Plan", which is attached hereto as Exhibit "A" and expressly made a part hereof, as
approved by the City and the Landowner. The Plan provides for management of storm water
within the confines of the Property; and;
WHEREAS, the City and the Landowner agree that the health, safety and welfare of the
residents of the City of Fort Worth, Texas will be enhanced by an on -site storm water
management facility (the "Facility") on a portion of the Property; and;
WHEREAS, as a condition to City's grant of approval for the Plan, City requires that the
Facility, as shown on the Plan, be constructed on the Property and adequately maintained by the
Landowner, its successors and assigns, the location and dimensions of which is shown and more
particularly described by metes and bounds in the attached Exhibit "B" ("Facility Property");
and;
NOW, THEREFORE, in consideration of the foregoing premises, the mutual- £c�venarrt�
contained herein, and the following terms and conditions, the parties hereto agree �s'follows -__:

1. The Landowner shall construct the Facility at no expense to the City in accordance
with (i) the City's design specifications for the Facility, attached to this Agreement as
Exhibit "C", and (ii) the City's building standards in force and effect at the Effective
Date. Landowner, its successors and assigns, shall maintain the Facility at no
expense to City in accordance with the operations and maintenance plan attached to
this Agreement as Exhibit "D" (the "Operations and Maintenance Plan"). For the
purposes of this Agreement, the term "Facility" includes all pipes, channels or other
conveyances built to convey storm water to the Facility, as well as all structures,
improvements, and vegetation intended to control the quantity and quality of the
storm water on the Property. Maintenance, as used herein, shall mean good working
condition so that the Facility is performing as designed, as determined by the Storm
Water Structural Maintenance Checklist, attached to this Agreement as Exhibit "E"
and incorporated herein by reference.
2. The Landowner shall inspect the Facility and any adjacent berms, outlet structure,
pond areas, and access roaas on me Faciii>ry Property 1tne "inspection 1 ana sunmu an
inspection report (the "Inspection Report") to the City annually. The purpose of the
Inspection is to assure safe and proper functioning of the Facility. The Inspection
Report shall indicate all components of the Facility requiring maintenance or
replacement, along with the corrective actions to be taken.
3. Upon reasonable prior notice to Landowner, the City, its authorized agents and
employees, may enter upon the Facility Property to inspect the Facility whenever the
City reasonably deems such inspection to be necessary. The purpose of such
inspection is to follow-up on reported deficiencies of the Facility and/or to respond to
legitimate citizen complaints regarding the Facility; provided, however, that such
entry shall not materially interfere with Landowner's use of the Property. The City
shall provide the Landowner with copies of the inspection findings and, if necessary,
a written directive to commence with repairs required to maintain the Facility as
required by Exhibit "D" and Exhibit " E". Landowner shall have a reasonable amount
of time, but in no event more than thirty (30) days after receipt of such written

directive to complete the required repairs (subject to extension for force majeure),
unless otherwise determined or agreed upon by the City.
4. In the event the Landowner fails to complete the required repairs wn the
timeframe set forth in paragraph 3 above, City, its authorized agents and employees,
may enter upon the Facility Property and take all reasonable steps the City deems
necessary to correct deficiencies identified in the inspection report and charge the
actual costs of such required repairs to Landowner. Such costs shall be paid to City
within thirty (30) days of Landowner's receipt of written notice therefor and such
documentation, if any, reasonably requested by Landowner supporting such costs. It
is expressly understood and agreed that the City is under no obligation to routinely
maintain or repair the Facility, and in no event shall this Agreement be construed to
impose any such obligation on the City.
5. The Landowner, its successors and assigns, will perform the work necessary to keep
the Facility in good working order as reasonably appropriate. In the event the City
pursuant to this Agreement, performs work of any nature, or expends any funds in
performance of said work for labor, use of equipment, supplies, materials, and the
like, the Landowner, its successors and assigns, shall reimburse the City upon
demand, within thirty (30) days of receipt thereof for all actual costs incurred by the
City hereunder. In the event that Landowner or its successors or assigns fail to pay
the City for the costs incurred under this section, the City shall impress a lien for the
costs of such work against the Property. Such lien shall be perfected by filing in the
office of the County Clerk of Tarrant County, Texas an affidavit identifying the
property to be charged with such lien, stating the amount thereof, and making
reference to this Agreement.
6. Prior to entering the Property for any purpose permitted hereunder, the City, its
authorized agents and employees, shall use best efforts to comply with all
Landowner's applicable safety rules and regulations. It is understood by City that the
Property may be in dangerous proximity to railroad tracks, including Landowner's
tracks, and that persons and property, whether real or personal, on the Property will

be in danger of injury, death or destruction incident to the operation of the railroad,
including, without limitation, the risk of derailment, fire, or inadequate clearance
(including sight clearance or vision obstruction problems at grade crossings on or
adjacent to the Property), and City accepts this Agreement subject to such dangers,
and acknowledges that its obligations hereunder extend to and include all such risks.
7. LANDOWNER COVENANTS AND AGREES TO INDEMNIFY, HOLD
HARMLESS, RELEASE AND DEFEND THE CITY OF FORT WORTH, ITS
AGENTS, SERVANTS AND EMPLOYEES FROM AND AGAINST ALL
COSTS, EXPENSES, LOSSES, DAMAGES, CLAIMS OR CAUSES OF
ACTION WHATSOEVER TO THE EXTENT DIRECTLY CAUSED BY
LANDOWNER'S NEGLIGENCE IN CONSTRUCTING AND MAINTAINING
THE FACILITY.
8. Landowner covenants and agrees that no habitable building shall be erected within
the drainage easement area outlined as "Drainage" on Exhibit "A" but this paragraph
shall not preclude construction of other improvements within the drainage easement
area outlined as "Drainage", which do not impede drainage. Landowner covenants
and agrees that the minimum finish floor elevation for habitable buildings within each
drainage sub area of the project site shall have a minimum finish floor elevation of
not less than two feet above the maximum depth of water which would occur during a
100 year frequency flood in the detention basin within the same drainage sub area.
9. This Agreement shall be recorded among the land records of Tarrant County, Texas,
and shall constitute a covenant running with the land, and shall be binding on the
Landowner, its administrators, executors, assigns, heirs and any other successors in
interests, including any property owners association.
10. This Agreement, including without limitation all Exhibits attached hereto, (a) is the
full and complete agreement between Landowner and City with respect to all matters
relating to City's use of the Property, and supersedes any and all other agreements
between the parties hereto relating to City's use of the Property as described herein;
(b) may be modified or amended only by a writing signed by each party hereto; (c)

shall be governed by and construed in accordance with the laws of the State of Texas;
and (d) may be executed in multiple counterparts, each of which shall, for all
purposes, be deemed an original, but which together shall constitute one and same
instrument, and the signature pages from any counterpart may be appended to any
other counterpart to assemble fully executed documents, and counterparts of this
Agreement may also be exchanged via electronic facsimile machines and any
electronic facsimile of any party's signature shall be deemed to be an original
signature for all purposes.
11. If either party is delayed or hindered in, or prevented from the performance required
under this Agreement by reason of earthquakes, landslides, strikes, lockouts, labor
troubles, failure of power, riots, insurrection, war, acts of God or other reason of the
like nature not the fault of the party delayed in performance of its obligation, such
party is excused from such performance for the period of delay. The period for the
performance of any such act will then be extended for the period of such delay.
12. The Landowner shall not assign or attempt to assign directly or indirectly, any of its
ri
ghts under this Agreement or under any instrument referred to herein without the
prior written consent of the City, such consent not to be unreasonably withheld,
conditioned or delayed. Notwithstanding the foregoing, however, City's consent shall
not be required for any assignment of this Agreement by Landowner to: (i)
Landowner's tenant, Musket Corporation, or Musket Corporation's permitted
assignees under that certain Definite Term Lease for Land and Improvements with
Musket Corporation (Phase II) dated October 2, 2007, between Musket Corporation
and Landowner, (ii) any party performing work for or on behalf of Landowner in
connection with Landowner's obligations hereunder or (iii) an Affiliate. For purposes
of this Agreement, an "Affiliate" is any person or entity (1) that directly or indirectly
through one or more intermediaries controls, or is controlled by, or is under common
control with, Landowner, or (2) that is or becomes a parent, successor or affiliate of
Landowner, or is a successor of Landowner by reason of merger, consolidation or
reorganization.

The only responsibility the City of Fort Worth has in the operation and maintenance of
the Facility is inspection.
General Maintenance Procedures
The structural and functional integrity of the Facility shall be maintained at all times by
removing and preventing material drainage interference, obstructions, or blockages into,
through, or out of the system.
Periodic silt removal on the Facility Property shall occur when standing water conditions
occur or the pond's storage volume is reduced by more than 10%. Silt shall be
removed and the pond/basin returned to original lines and grades shown on the
approved engineering plans. In addition, corrective measures are required any time a
basin does not drain completely within 72 hours of cessation of inflow. NO MATERIAL
AMOUNT OF STANDING WATER IS ALLOWED in basins on the Facility Property
designed for dry detention purposes.
Material amounts of accumulated litter, sediment, and debris shall be removed from the
r acuity every 6 months or as necessary to maintain proper operation of the basin.
Disposal shall be in accordance with applicable federal, state and local regulations.
Detention facilities on the Facility Property shall be mowed monthly between the months
of April and October or anytime vegetation exceeds 12-inches in height.
To prevent debris from entering and clogging the downstream storm sewer system a
wire mesh screen or similar screening device shall be installed over the outlet %J the
Facility.
PREVENTIVE MAINTENANCE/INSPECTION
• Visual inspections of all components will be conducted every 6 months.
• A log shall be kept of maintenance actions, and inspections. The log should
document the condition of the detention system's primary components, mowing,
and silt, litter and debris removal dates. Document aeration of the basin bottoms
and replanting to prevent the sealing of the basin bottom.
• Written maintenance and repair records shall be maintained by the party
signing the attached Agreement and shall be provided to the City upon
written request.

RECOMMENDATION:
It is recommended that the City Council authorize the execution of a Storm Water Facility
Maintenance Agreement with Burlington Northern Santa Fe Railway Company for property located at
Great Southwest Parkway in north Fort Worth.
DISCUSSION:
Burlington Northern Santa Fe Railway Company (BNSF) is the owner of approximately 37 acres of
property upon which it will construct three detention pond facilities. The detention ponds will serve the
location of the Muskett Corporation Ethanol Facility at the BNSF Unit Train Terminal. The facilities are
necessary to limit storm water run-off generated on the property to pre -developed conditions and to
reduce the possibility of flooding to residents downstream of the watershed.
The terms of the maintenance agreement assure the proper maintenance of the three detention pond
facilities by BNSF at no cost to the City. The face{sties are located on Great Southwest Parkway and
east of Blue Mound Road.
The facilities are located in COUNCIL DISTRICT 2, Mapsco 48M.
FISCAL INFORMATION/CERTIFICATION:
The Financial Management Services Director certifies that this action will have no material effect on
City funds.
