Home My WebLink AboutContract 52231-A1 CSC No.52231-A1 26 2p2 rj �60 FIRST AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 52231 This First Amendment to Fort Worth City Secretary Contract No. 52231 ("First Amendment") is made between the City of Fort Worth ("Fort Worth"), a municipal corporation and Deccan International, a California S-Corporation. ("Vendor"). WHEREAS, Fort Worth and Vendor entered into an Agreement identified as Fort Worth City Secretary Contract No. 52231 beginning May 1, 2019 (the "Agreement"); and WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the Agreement; NOW THEREFORE, known by all these present, Fort Worth and Vendor, acting herein by the through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows: 1. The Agreement is hereby amended by adding Exhibit A-1, attached to this First Amendment, as Exhibit A-1 of the Agreement. 2. Section 2 TERM is hereby replaced in its entirety with the following: Term. This Agreement shall commence upon May 1, 2019 ("Effective Date") and shall expire no later than April 30, 2020 ("Expiration Date"), unless terminated earlier in accordance with the provisions of this Agreement or otherwise extended by the parties. This Agreement may be renewed for an unlimited number of renewals at the mutual agreement of the parties, each a "Renewal Term." The City shall provide Consultant with written notice of its intent to renew at least thirty(3) days prior to the end of each term. 3. Section 3 COMPENSATION is hereby replaced in its entirety with the following: Compensation. The City shall pay Consultant an amount not to exceed Twenty- Six Thousand, Three Hundred Eighty-Eight dollars ($26,388.00) for the first year in accordance with the provisions of the Agreement and Exhibit `B," Payment Schedule, which is attached hereto and incorporated herein for all purposes. Subsequent years are subject to a 3% annual increase and City shall pay Consultant an amount in accordance with Exhibit"A-1." 4. Section 13 NOTICES is hereby amended by replacing the Consultant's address with the following: Deccan International 9444 Waples Street, Suite 300 San Diego, CA 92121 5. All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect.
