SECRETARY CONTRACT NO. 53858 AN EMERGENCY BOOKING AND RENTAL
AGREEMENT BETWEEN THE CITY OF FORTWORTH AND ASHFORD TRS FORT
TOWER I LLC
This FIRST AMENDMENT TO AND FIRST RENEWAL OF FORT WORTH CITY
SECRETARY CONTRACT NO. 53858, AN EMERGENCY BOOKING AND RENTAL
AGREEMENT BETWEEN THE CITY OF FORT WORTH AND ASHFORD TRS FORT
TOWER I LLC, is made and entered into by and between the CITY OF FORT WORTH, a
home-rule municipal corporation of the State of Texas ("City"), acting herein by and through its
duly authorized Assistant City Manager, and ASHFORD TRS FORT TOWER I LLC, a Texas
limited liability company ("Hotel"), each individually referred to as a "party" and collectively
referred to as the "parties."
WHEREAS, City and Hotel are currently parties to an agreement for the booking and
rental of hotel rooms on an as-needed basis at the Fort Worth Hilton, the same being Fort Worth
City Secretary Contract No. 53858 which was executed on April 30, 2020 (the "Agreement");
and
WHEREAS, the Agreement provides that the City may book rooms on an as-needed
basis,but does not obligate the City to book,purchase, or utilize any specific number of rooms.
WHEREAS, the Agreement provides for a term expiring May 30, 2020 and allows for
additional 30-day renewal terms with the written mutual consent of the parties; and
WHEREAS, the Parties now wish to renew the Agreement under the same terms and
conditions through July 31, 2020; and
WHEREAS, the Parties also wish to amend the Agreement to allow guests testing
positive for COVID-19 to remain in the Hotel until they may be relocated to alternative living
quarters.
NOW, THEREFORE, the City of Fort Worth and Hotel do mutually covenant and agree
as follows:
1. RENEWAL
City and Hotel hereby agree to renew and extend Fort Worth City Secretary Contract No.
53858 through July 31, 2020. Accordingly, section 3.1 of the Agreement is amended to be and
read as follows:
3.1 Term. The term of this Agreement shall begin upon execution and expire on
July 31, 2020 ("Term"), unless terminated earlier in accordance with the provisions of this
Agreement. The Agreement may be renewed for additional 30-day terms with the mutual written
consent of the parties.
City and Hotel also agree that the "End Day — Date" included in Exhibit A— Booking
Rates is hereby amended to be July 31, 2020.
2.AMENDMENT
City and Hotel hereby agree to amend the Agreement to allow guests testing pQ iv,
COVID-19 to remain in the Hotel until they may be relocated to alternative living queX ;

2.8 Permitted Use. The City may use the Hotel solely for COVID-19 related emergency
housing and support services, and for no other purpose. The City may only use the hotel rooms
for purposes of housing City employees. City shall not use or permit the use of the Hotel for any
purpose which is illegal, creates obnoxious odors (including tobacco smoke), noises or
vibrations, is dangerous to persons or property, or could increase Hotel's insurance costs. City
agrees to remove from Hotel, without any unreasonable delay, any guest testing positive for
COVID-19. However, City and Hotel agree that any guest testing positive for COVID-19 and
being transferred to a room at the Ashton pursuant to an agreement between City and the Ashton
shall be allowed to remain in Hotel until a room is made available at the Ashton. City agrees to
perform the Room Cleaning required pursuant to Section 2.6. No medical services shall be
provided at the hotel.
3.
All other terms and provisions of City Secretary Contract 53858 shall remain in full force
and effect unless specifically amended herein.
