COUNTY OF TARRANT §
This Temporary Ingress and Egress/Construction Easement Agreement (this "Agreement") is
entered into between the CITY OF FORT WORTH, Texas, a municipal corporation of Tarrant
County Texas ("City") and BARNETT GATHERING, L.P., ("Company").
For and in consideration of other goods and valuable consideration, the sufficiency of which is
hereby acknowledged, and in consideration of the covenants contained herein, City and
Company agree as follows:
1. Subject to the terms of this Agreement, City hereby grants and conveys to the Company
a Temporary Ingress and Egress/Construction Easement ("Easement") onto The Fort
Worth Nature Center and Refuge ("Park") described in the attached Exhibits "A through
D", hereinafter referred to as the "Property". This grant and conveyance is made subject
to all matters of record affecting the Property.
2. The term of this Easement shall be for three (3) thirty (30) day terms for portions A, B, C
and D to run consecutively as described in section 6 and depicted on the attached
exhibits A, B, C and D. Company agrees to pay the City the sum of $24,818.00,
representing $1.00 per square foot of temporary workspace used for the construction
and installation of a natural gas pipeline along Eagle Mountain Circle and Ten Mile
Bridge Road,
3. The Easement shall only be used for the purpose of constructing a natural gas pipeline
located adjacent to a portion of the Park.
4. Company shall have restricted access across, through and over portions of the Property
for the purpose as described in Section 3 above. City acknowledges and agrees that
Company's access shall be with vehicles, equipment and employees or contractors.
Company's access with vehicles shall be limited to paved park roads. The Easement
shall include the right of Company and its employees, agents, representatives or
contractors to access the aforementioned Property for the purposes stated herein.
5. Any disturbance within the park shall be restored to its original condition; as it was
immediately prior to accessing the Property under this Agreement.
6. Company shall meet with appropriate City staff for the purposes of a Pipeline pre -
construction meeting at least three (3) business days prior to initiating construction of the
natural gas pipeline using the Property, provided however, that use of the Property shall
commence within thirty (30) days of execution of this Agreement. The pre -construction
meeting shall include, but not be limited to, information regarding the restoration of areas
in the Park that are disturbed by the Construction of the pipeline. Use of the Property
shall be set forth as follows:

Location of Site B shall be the area from the intersection of Eagle Mountain
Road and along Ten Mile Bridge Road (sta. 20+50 to sta. 23+00) (see exhibit
B).
Completion Date for Site B shall be on e, 4 , 2009.
3. Site C (total sgft. = 7,292 ($1.00) _ $7,292.00)
Start Date for Site C shall commence on 7t. 2009.
Location of Site C shall be the area along Ten Mile Bridge Road to the gated
entrance of the Tarrant Regional Water District Gate(sta. 00+00 to sta.
20+50) (see exhibit C).
Completion Date for Site C shall be on 2009.
b. Restoration of areas on the Property disturbed by Company shall be commenced
within thirty (30) days of completion of the use of the Property.
7. The Easement is not assignable by the Company without the prior written consent of
City, which shall not be unreasonably withheld.
8. Company shall comply with all applicable laws, ordinances, rules and regulations,
includingI but not limited to City ordinances, rules and policies related to construction
permits, construction bonds, permissible hours of construction, operations during
peak traffic hours, barricading requirements and any other construction rules or
regulations that may be promulgated from time to time.
9. The temporary construction posed within the Park shall be operated in a manner
that does not place an undue burden on the present or future use of Park by the City
and the public. If the City reasonably determines that during construction the
proposed construction does place an undue burden on any portion of the Park, the
Company, at Company's sole cost and expense and within a reasonable time period
specified by the City, shall modify the Easement or take other actions determined by
the City to be in the public interest to remove or alleviate the burden.
10. Company will take all reasonable planning to minimize harm to the Park and shall
comply with conditions as set forth below:

10.1. The areas where construction shall be permitted shall be those areas
identified with temporary work space areas on the attached Exhibit "A-Y. The
Company shall notify the Parks and Community Services Department (PACSD)
in the event of any changes.
10.2. All open work areas are to be fenced with orange vinyl fencing. The
fencing shall be installed along the perimeter boundaries of the Easement and
temporary work space as depicted on the attached exhibits. Only the surface
area of temporary work space areas of the site shall be impacted. The area
defined as a temporary construction area is to be used workspace for equipment,
storage of pipe and as a route of ingress and egress for vehicles. (see attached
Exhibits A, B, C, D) The orange vinyl fencing shall remain in place until such time
the site is restored as outlined in this Agreement and when such restoration
made by the Company has been inspected and accepted by the staff of PACSD.
The City shall have the right, but not the obligation to have an inspector, present
to monitor that the construction in accordance to the specifications outlined in this
agreement.
10.3. Company shall specify work areas prior to construction and survey and
stake said areas, notating the boundaries of the work areas as agreed upon at
the pre -construction meeting held in accordance with section 6. PACSD shall
review and approve the stakeout of the work area.
10.4. All access to work areas shall be limited to the northern boundary of the
Park from Ten Mile Bridge Road and Eagle Mountain Circle. All equipment shall
remain within areas depicted on the attached exhibits (A, B, C, D) and as set
forth during the pre -construction meeting. A temporary and turn around shall be
agreed upon and staked during the preconstruction meeting. Travel outside of
the designated areas shall not be permitted. On the north access, when the
Company cuts any existing fence for access to the temporary work areas, the
fence shall be properly supported on either side of the contemplated opening by
suitable "H" braces to prevent the remainder of the fence from sagging. Company
shall promptly install a gate which shall remain locked at all times of non-use.
The Company shall contact PACSD to inspect the installation of the fence to
ensure it has been properly installed and provide the agent keys for accessing
the gate. At no time shall a fence be left open without manned security during
construction operations.
Upon completion of construction, all fences cut or disturbed by construction shall
be replaced in as good or better condition that existed before.
10.5. Company will replant, reseed and water each area of the Property
disturbed area as many times as necessary until a stand of grass comparable to
that which was originally in place before the disturbance is root established and
approved and accepted by PACSD. Restoration of surface areas disturbed shall
be seeded with a combination pure live seed of Native Trail Mix (native grasses
and wildflowers) (see Planting Specifications identified in the attached Exhibit
(E); however, modification of seeding material may be approved by PACSD.
Company shall stockpile the any excavated soil from construction and shall place

said soil in the areas to be reseeded. No importing of outside soil shall be
allowed nor shall fertilizers be permitted.
10.6. Orange mesh fencing shall be established in accordance with the
attached Exhibits (A, B, C, D, E). Fencing shall be placed on the outside drip line
of any trees, to protect such trees from any damages.
10.7. Engineer shall certify that all rock check dams installed are in
accordance with Exhibit "D" and approved by the PACSD agent prior to
construction associated with the bore of the pipeline.
11. Company, at Company's sole cost and expense, shall provide the City with as -built
plans of all portions of the Pipeline located in the City and the City's extraterritorial
jurisdiction and maps showing such Pipeline within ninety (90) calendar days
following the completion of such Pipeline. Company shall supply the textual
documentation of such as -built plans and maps in computer format as requested in
writing by the City and shall otherwise fully cooperate with the City in ensuring that
the Pipeline is accurately reflected in the City's mapping system.
12. Company, at Company's sole cost and expense, and in a manner approved by the
City, shall promptly restore any portion of the Park, Public Rights of Way, or other
City -owned property that are in any way disturbed or damaged by the construction,
operation and or maintenance, at Company's option, as good or better a condition
as such property was in immediately prior to the disturbance or damage. Unless
otherwise specified in this Agreement, Company shall diligently commence such
restoration within thirty (30) calendar days following the date that Company first
became aware of the disturbance or damage within thirty (30) calendar days
following such disturbance.
13. City shall not be liable to Company for any damage or theft of Company's
equipment, facilities or other contents, except, when caused by the willful
misconduct of City, its agents, servants or employees. It is understood that it is not
the intention of the parties hereto to create liability for the benefit of third parties but
that this Agreement shall be solely for the benefit of the parties thereto.
14. It is agreed that this grant covers all the agreements between the parties and that
no representation or statements, verbal or written, have been made modifying,
adding to, or changing the terms of this Agreement.
15. In this regard, Company covenants and agrees to, and by these presents does
hereby fully indemnify, hold harmless and defend the Gity, its officers, agents and
employees, from and against any and all claims, suits or causes of action of any
nature whatsoever, whether real or asserted, brought for or on account of any
injuries or damages to persons or property, including death, resulting from, or in
any way connected with, the grant of the easement or operation and maintenance
of the temporary facilities, whether or not caused, in part, by the negligence of
officers agents or employees, of the City: provided however, that Company
shall have no liability or obligation to indemnify, hold harmless or defend with

14. It is agreed that this grant covers all the agreements between the parties and that

adding to, or changing the terms of this Agreement.
15. In this regard, Company covenants and agrees to, and by these presents does

employees, from and against any and all claims, suits or causes of action of any
nature whatsoever, whether real or asserted, brought for or on account of any
injuries or damages to persons or property, including death, resulting from, or in
any way connected with, the grant of the easement or operation and maintenance
of the temporary facilities, whether or not caused, in part, by the negligence of
officers, agents, or employees, of the City; provided however, that Company
shall have no liability or obligation to indemnify, hold harmless or defend with
respect to any injury or damage to persons or property resulting from the sole
negligence of officers, agents or employees of the City.
TO HAVE AND TO HOLD the above -described temporary easement, together with all and
singular the rights and appurtenances thereto in anyway belonging unto Company, and
Company's successors and assigns for so long as the right and easement herein granted; and
City does hereby bind itself and its successor and assigns to warrant and forever defend all and
singular the Easement unto Company, its successor and assigns, against every person
whomsoever lawfully claiming or to claim the same, or any part thereof.
When the context requires, singular nouns and pronouns include the plural.

Below are the items that need to be ordered. Each column represents an order.
Supplies:
8 pounds pure live seed — Prairie Starter Mix (native grasses) or equivalent
10 pounds pure live seed — Texas -Oklahoma Native Roadside Mix (native wildflowers) or equivalent
Contractor responsibilities:
• Get pre -approval by City of Fort Worth Parks & Community Services Department staff before purchasing
any seed, etc.
• Purchase native seed from a Texas company that harvests from a local, native seed source
• Stockpile any excavated soil from pipeline construction & replace same soil back to seeding area
• No importing of offsite soil
• Prepare soil
• Broadcast seed
• If necessary, hire consulting firm or contractor that specializes in native plant restoration
No use of fertilizer
• Use a hydromulch that is biodegradable & certified weed -free (free on contaminant seeds).
Hydroseeding machinery must also be free of weed seeds. Must be able to mix staff -approved native
seeds into the hydromulch slurry. Hydroseed with native seed mix & Second NatureTM Paper Fiber
Mulch.
• If recommended and approved by City staff, lay down bio-degradable erosion control such as Rolled
Erosion Control Product (erosion blanket)

PIPELINE VEGETATION RESTORATION PROJECT
PART1-GENERAL
1.01 DESCRIPTION
A. Seeding of native grass and wildflower seed, as specified and approved by City -designated

1.03 SUBMITTALS
A. Seed
1. Vendors' certification that seeds meet Texas State seed law including:
a. Testing and labeling for pure live seed (PLS)
b. Name and type of seed
c. Locally grown (Texas), native grass and wildflower seed
2. All seed shall be tested in a laboratory with certified results presented to the City, in writing,
prior to planting.
3. All seed to be of the previous season's crop and the date on the container shall be within
twelve months of the seeding date.
4. Each species of seed shall be supplied in a separate, labeled container for acceptance by
the City, or a direct shipment of mixed seed shipped directly by a City approved Texas
native seed vendor.
B. Fertilizer
No fertilizer shall be used.
1.04 JOB CONDITIONS
A. Planting Season: Late Fall 2009 is ideal time for planting; however seeding should be done as
soon as possible after work is completed to avoid colonization by undesirable plant species. Do
not seed when soil is excessively wet or dry or when wind exceeds ten (10) miles per hour.
B. Schedule After All Other Construction is complete.
C. Protect and Maintain Seeded Areas

1.05 QUALITY CONTROL
The contractor who plants the seeds, whether the general contractor or a subcontractor, is responsible
for daily supervision of his/her crew, and for the planting and maintaining of seedlings until acceptable,
viable growth is achieved and the project accepted by the City.

Soil from revegetation site shall be stockpiles during pipeline trenching/boring, This same soil

D. Erosion Control Measures
1. For seeding application in areas up to 3:1 slope, use cellulose, fiber or recycled paper
mulch, (see 2.01, B. Mulch and om),

1. Hydromulch shall be bio-degradable, recycled paper mulch
2. Mulch shall contain no growth or germination inhibiting factors.

2.02 MIXING

3.02 SEEDED PREPARATION
A. Clear Surface of All Materials, Such As:
1. Stumps, stones, and other objects larger than one inch.
2. Roots, brush, wire, stakes, etc.
3. Any objects that may interfere with seeding or maintenance.
B. Tilling
1. In all compacted areas till one inch (1") deep.
2. In non -compacted areas, till no greater than one-fourth (1/4") deep.
3. If area is sloped greater than 3:1, run a tractor parallel to slope to provide less
seed/water run-off.
4. In areas near trees: Do not till deeper than one half (1/2") inch inside "drip line" of trees.
C. Watering
Soil should be watered to a minimum depth of four inches within forty eight (48) hours of
seeding.
Watering of plant materials shall continue until plant material is established and accepted by the
PACSD.
3.03 SEEDING
A. Hydro -mulching
1. Use paper -fiber mulch mixed with the native seeds at the appropriate application rate.
B. If Sowing Seed By Hand
1. Broadcast seed in two directions at right angles to each other.
2. Harrow or rake lightly to cover seed.
3. Never cover seed with more soil than twice its diameter.
4. For wildflower plantings, scalp existing grasses to one (1 ") inch, remove grass
clippings, so seed can make contact with the soil.
C. Mechanically Seeding (Drilling):
If mechanically seeding (drilling) the seed or seed mixture, the quantity specified shall be
uniformly distributed over the areas shown on the plans or where directed. All varieties of seed,
as well as fertilizer, may be distributed at the same time provided that each component is
uniformly applied at the specified rate. Seed shall be drilled at a depth of from one quarter inch
to three eighth inch (1/4"-3/8") utilizing a pasture or rangeland type drill. All drilling is to be on
the contour. After planting, the area shall be rolled with a roller integral to the seed drill, or a
corrugated roller of the "Cultipacker" type. All rolling of slope areas shall be on the contour.
3.04 MULCHING
A. Apply uniformly after completion of seeding in areas with or exceeding 3:1 slope.
B. If mulch is necessary and approved by City representative, apply at the following rates unless
otherwise shown on plans:
1. Sandy soils, flat surfaces - minimum 1,500 lbs./acre.
2. Sandy soils, sloping surfaces - minimum 1,800 lbs./acre.
3. Clay soils, flat surfaces - minimum 2,500 lbs./acre.
4. Clay soils, sloping surfaces - minimum 3,000 lbs./acre.
5. "Flat" and "sloping" surfaces will be shown on the plans if not visually obvious.
C. Apply within thirty (30) minutes after placement in equipment. Keep mulch moist, by daily water
application, if necessary:
1. For approximately twenty-one (21) days, or
2. Until seeds have germinated and have rooted in soil, (see 3.04.13.2.) and project has
been accepted by the City.
3.05 MAINTENANCE AND ACCEPTANCE

A. Includes protection, replanting, maintaining grades and immediate repair of erosion damage until
the project receives final acceptance.
B. All areas requiring re -vegetation shall have 100% established native stand coverage prior to City
acceptance.
C. Replanting
1. Replant areas where a stand of native grass or wildflowers are not present in a
reasonable length of time, as determined by the City.
2. A "stand" shall be defined as:
a. Native grass and wildflowers: eighty percent (80%) coverage of growing plants
within seeded area within twenty-one days of seeding date on a smooth bed
free of foreign material and rocks or clods larger than one inch diameter.
