CITIES OF DALLAS AND FORT WORTH
THIS AGREEMENT made and entered into this 23rd day of January, 1984, by and
between William M. Gibbons, Trustee of the Property of Chicago, Rock Island and Pacific
Railroad Company, Debtor, solely as Trustee for said Debtor and not as an individual
(hereinafter referred to as the "Trustee"), and the Cities of Dallas, Texas and Fort Worth,
Texas (hereinafter referred to as the "Cities").

The Trustee and the Cities entered into a Contract for Sale of Railroad Property
�lated the 7th day of July, 1983 (hereinafter referred to as the "Contract"), whereby the
ustee agreed to sell and the Cities agreed to purchase certain of the Trustee's railroad
properties and interests lying in and between the Cities of Dallas and Fort Worth, Texas.
Pursuant to paragraph 10 of the Contract, the Trustee agreed to assign and the Cities
agreed to assume the Trustee's rights and obligations under certain agreements, licenses,
leases or easements pertaining to the use, maintenance, operation or existence of those
railroad properties. The Contract has received requisite judicial approval.
NOW, THEREFORE, in consideration of the foregoing recitals and the mutual
covenants contained herein, the parties hereto agree as follows:
1. The Trustee hereby transfers, assigns, sets over and delivers to the Cities all of
the agreements (including all supplements and amendments thereto) and all of his rights,
obligations and liabilities thereunder, subject to paragraph 3 herein below, relating to said
railroad properties and interests or the operation thereof which are identified on the
attached Exhibit A, which exhibit and which agreements are incorporated herein by this
reference (hereinafter referred to as the "Agreements"). Beneficiary Address:

2. It is hereby acknowledged by the parties hereto that certain agreements of the
Trustee which relate to the Property, may have been inadvertently omitted from said
Exhibit A. Such omitted agreements will be assigned by the Trustee to the Cities and the
rights and obligations of which will be assumed by the Cities, unless the Cities determine in
their reasonable judgment that such omitted agreements are materially burdensome to the
Cities (any such omitted agreements assumed by the Cities shall herein be included within
the meaning of the word "Agreements").
3. The Cities hereby assume and covenant to perform and be bound by all of the
obligations and liabilities of the Trustee in connection with the Agreements for those
obligations and liabilities arising out of the Agreements subsequent to and including the
date hereof; provided, however, that the Cities shall not assume any obligation or liability
of the Trustee under any of the Agreements arising prior to the date hereof. The Trustee
hereby reserves all of his benefits and rights of action that have accrued under the
Agreements prior to the date hereof.
4. The parties acknowledge that certain of the operating agreements identified on
the attached Exhibit A have been the subject of previous partial assignments by the
Trustee under certain easements for rail freight operations granted to the Oklahoma,
Kansas and Texas Rail Users Association and the Missouri-Kansas--Texas Railroad Co.,
dated October 21, 1982.
5. The parties further acknowledge that, at the request of the Cities, the Trustee
has this date transferred and assigned to the Oklahoma, Kansas and Texas Railroad
Company (the "OKT'I) certain of his rights and obligations under that certain joint facility
agreement dated February 26, 1974 pertaining to the Right-of-Way District at Dallas,
Texas, Sec. No. 50589. Notwithstanding such partial assignment to the OKT, the Cities
specifically covenant and agree to perform and be bound by all of the obligations and
liabilities of the Trustee under the said February 26, 1974 agreement which may accrue
after the date of this instrument and the Cities do hereby indemnify and agree to hold the

Trustee harmless from and against any loss, cost, claim, liability or expense suffered or
incurred by Trustee arising under or related to the said joint facility agreement of
February 26, 1974 from and after the date hereof.
6. This Agreement shall be binding upon and inure to the benefit of the parties
hereto and their respective successors and assigns.
IN WITNESS WHEREOF the parties have executed this Assignment and Assumption
Agreement in triplicate as of the date first above written.

THIS AGREEMENT made and entered into this 23rd day of January, 1984, by and
between William M. Gibbons, Trustee of the Property of Chicago, Rock Island and Pacific
Railroad Company, Debtor, solely as Trustee for said Debtor and not as an individual
(hereinafter referred to as the "Trustee"), and the City of Dallas, Texas and the City of Fort
Worth, Texas (hereinafter referred to as the "Cities").
W I T N E S S E T H
The Trustee and the Cities entered into a Contract for Sale of Railroad Property
dated July 71 1983 (hereinafter referred to as "Contract"), whereby the Trustee agreed to
sell and the Cities agreed to purchase certain of the Trustee's railroad properties and
interests in the Cities of Dallas and Fort Worth, Texas as described in Exhibit A of the
Contract; and pursuant to paragraph 10 thereof the Trustee agreed to assign and the Cities
agreed to assume the Trustee's rights and obligations under certain agreements, pertaining
to the use, maintenance, operation or existence of those railroad properties. The parties
acknowledge that all of the agreements listed herein pertain in part to property that is not
described in Exhibit A to the Contract and that the Trustee will retain all of his rights and
obligations under the agreements listed herein as said agreements pertain to property not
described in Exhibit A to the Contract. The Contract has received requisite judicial
approval.
NOW, THEREFORE, in consideration of the foregoing recitals and the mutual
covenants contained herein, the parties hereto agree as follows:

1. Insofar as and only insofar as the agreements (hereinafter defined) relate to
ownership of property described in Exhibit A of the Contract, Trustee hereby transfers,
assigns, sets over and delivers to the Cities the agreements (including all supplements and
amendments thereto) and all of his rights, obligations and liabilities thereunder, subject to
paragraph 4 herein below, relating to his properties and interests or the operation of a
railroad which are identified on the attached Exhibit A, which exhibit and which agreements
are incorporated herein by this reference (hereinafter referred to as the "Agreements").
2. It is specifically understood and agreed that this Partial Assignment and
Assumption of Agreements does not cover, and there is expressly excluded herefrom, all
rights, obligations and liabilities under said Agreements insofar as they relate to properties
not included in Exhibit A of the Contract.
3. It is hereby acknowledged by the parties hereto that certain agreements of the
Trustee may have been inadvertently omitted from the Attachment A to this Partial
Assignment and Assumption of Agreements, which agreements relate to said railroad
properties and interests or the operation thereof, and which agreements will be assigned by
the Trustee to the Cities to the extent such Agreements relate to the property described in
Exhibit A to the Contract (and such agreements will hereinafter be deemed to be included
within the meaning of the term "Agreements"), unless the Cities determine in their
reasonable judgment that such omitted agreements are materially burdensome to the Cities.
4. The Cities hereby assume and covenant to perform and be bound by all of the
terms and conditions contained in the Agreements subsequent to and including the date

hereof as said Agreements relate to said property described in Exhibit A to the Contract;
provided however that the Cities shall not assume any liabilities or obligations of the
Trustee under any of the Agreements arising prior to the date hereof. The Trustee hereby
reserves all of his benefits and rights of action that have accrued under the Agreements
prior to this date.
5. This Partial Assignment and Assumption of Agreements shall be binding upon
and inure to the benefit of the parties hereto and their respective successors and assigns.

Background
On April 27, 1983 (M&C C-6868) , the City Council. authorized the City Manager
to execute on behalf of the City of Fort Worth a Contract of Sale for the
the acquivi,t;ion by the Cities of Fort Worth and Dallas of certain real pro-
perty from the Trustees of the Chicago, Rock Island and Pacific Railroad
Company ("Rock Island") . The Contract was subsequently exec:ured by the
Cities and approved by the United States District Court for the Northern
District of Illinois an duly 27, 1983. Since that time, the Cities' staffs
hava boon prepartag property descriptions and the doc"ments required to cl,oae
the transaction. All. such items have now been completod.
Therefr- rer in accord,talce with the policy regarding the purchase of real property,
it is recommended that approval be given for the acquisition of the property
described below.

Financial Note
The City Council has previously ratified (M&C G-5739, dated August 27, 1983) ,
the appropriation of an Urban Mas., Transit Administration (UKU) grant, a grant
from the Texas Department of Highways and Public Transportation, the proceeds
from the sale of Certificates of Obligation issued by the City of fort Worth,
and funds from the Capital Projects Reserves, all to the above-referenced
fund and account number. One-half of the U14TA grant will be distributed to
the City of .Dallas for a portion of its share of the purchase price, upon
approval of this M&C by the City Council.
