WITNESSETH: WHEREAS, the City of Fort Worth, acting by and through its duly authorized City Manager or duly designated Assistant City Manager, entered into Secretary Contract Number (CSC No.) 38369 Unified Sign Agreement (herein referred to as the "Agreement" with P.V. Partners, Ltd, who was the sole owner of The Villas at Park Vista (now known as the SoHigh Shopping Center, which real property is legally described as Lots 1 through and including Lot 7, Block 1, and Lot 1, Block 2, The Village at Park Vista, an Addition to the City of Fort Worth, Tarrant County Texas, and containing 7.903 acres of land (the "Property"), as depicted in Exhibit A of the Agreement; and WHEREAS, the Agreement was filed March 27, 2009 and recorded in Instrument No. D209082509 in the Real Property Records of Tarrant County, Texas, is attached hereto as Exhibit "A" and incorporated herein by reference as if set forth in full; and WHEREAS, Section 5 of the Agreement provides that the covenants, limitations and restrictions contained within the Agreement shall be covenants running with the land with respect to SoHigh Shopping Center and shall be binding on all parties having any right, title or interest in or to the Property, or any part thereof, and their heirs, successors and assigns; and WHEREAS, since the execution of the Agreement, P.V. Partners, Ltd.'s interest in the Property was subsequently transferred in whole to Compass Bank and from Compass Bank to Tarrant Vista Partners, LLC, filed August 9, 2010 and recorded in Instrument No. D210191943; and WHEREAS, Tarrant Vista Partners, LLC transferred and conveyed ownership of a portion of the Property referred to in the Agreement to EVC Tarrant Parkway, LP, filed October 17, 2016, and recorded in Instrument No. D216242299, Lustig Land Holdings, LLC, filed September 8, 2014, and recorded in Instrument No. D214196524, John R. Nerad and M. Therese Nerad, co -Trustees of the Nerad Living Trust, Dated December 12, 1967; and WHEREAS, as part of this Novation, Assignment and Amendment, EVC desires to continue meet the obligations as the successor in interest of the property legally described on Exhibit B attached hereto and identified on Exhibit C attached hereto; and Unified Sign Agreement CSC No. 38369 (novation): (SoHigh Shopping Center -Villas at Park Vista) OFFICIAL RECORD CITY gECRETARY u�ARTH, TX �`'�/, NEB Page 1 of 9 WHEREAS, the parties desire to make this Novation because of their mutual interest in continuing the contractual relationship that existed between the City and P.V. Partners, Ltd, whose property interests in the aforementioned lots has been succeed in interest by EVC; AGREEMENT: NOW, THEREFORE, for and in consideration of the above and foregoing premises and the mutual covenants and agreements set forth in the Agreement the parties do hereby agree. 1. that EVC should be substituted as a successor in interest for P.V. Partners, Ltd in the above contract number CSC No. 38369 for the property described in Exhibit B. 2. that EVC has assumed all obligations under the Agreement for the property described in Exhibit B. 3. that it is consistent with the City's interest to recognize EVC has a successor party to a portion of the Property included in the Agreement 4. that Exhibit C attached to this Novation hereby amends the site plan in the exhibit labelled "A" in the Agreement.
