MEMORANDUM OF UNDERSTANDING
(CITY SECRETARY CONTRACT NO, 38618)
This Amendment to the Memorandum of Understanding ("Amendment") is made and
entered into to be effective as of January 12, 2010 ("Effective Date"), by and between the United
States Postal Service ("USPS"), Concho Development I, L.P. ("Concho") and the City of Fort
Worth, Texas ("City"), sometimes collectively referred to herein as the "Parties".
WHEREAS, the Parties have entered into a Memorandum of Understanding (City
Secretary Contract No. 38618) ("MOU") to study the feasibility of the use of the historic
downtown postal facility located at 251 West Lancaster Avenue ("Facility") as a new City Hall;
and
WHEREAS, the Parties wish to amend the MOU to provide for the confidentiality of
information shared in the course of studying the feasibility of the Facility as a new City Hall.
NOW, THEREFORE, in furtherance of the foregoing, City, USPS and Concho hereby
agree as follows:
1. The MOU is hereby amended by adding Section 12, to read as follows:
"Concho and USPS understand and acknowledge that any information obtained in the
course of studying the feasibility of the use of the Facility as City Hall is highly
confidential and of a very sensitive nature. Concho and USPS, and their officers,
employees and agents agree to hold in trust and not to use or disclose to any other party
any information derived from, directly or indirectly, the performance of the MOU.
Neither Concho nor USPS shall disclose or allow any other party to inspect, copy or use
any information, photographs, or other facsimile of the original documents or materials
placed into Concho's care or USPS's care by City, or into the care of any one of Concho's
or USPS' personnel or employees, except as may be required by state law or a court of
law. Such confidential information shall include, without limitation, photographic,
printed or verbal communications and information stored in any format or medium
relating to the feasibility of the use of the Facility as City Hall."
2. All other terms and conditions of the MOU, as amended, remain unchanged and in full
force and effect.
