COUNTY OF TARRANT §❑
WHEREAS, the City of Fort Worth ("City") and Kinsman &Associates, Consulting
Engineers ("Engineer") made and entered into City Secretary Contract No. 39265 (the "Contract")
which was authorized by City Council via MSC C-23788 on September 22, 2009; and
WHEREAS, the Contract involves engineering services for the following project:
Third Party Review of the Detailed Energy Study and Energy Savings Performance
Contract, Phase V, at Village Creek Wastewater Treatment Plant
WHEREAS, it has become necessary to execute Amendment No. 2 to said Contract to
increase the scope of services and/or the maximum fee.
NOW THEREFORE, City and Engineer, acting herein by and through their duly authorized
representatives, enter into the following agreement that amends the Contract:
1.
Section I, of the Contract is amended to include the additional engineering services
specified in the Engineer's proposal letter dated June 30, 2010 and attached hereto. The cost to
the City for the additional services to be performed by Engineer total $10,000.00.

Section v of the Contract is amended to provide for an increase in the maximum fee to be
paid to Engineer for all work and services performed under the Contract, as amended, so that
the total fee paid by the City for all work and services shall not exceed the sum of $58,000.00.
3.
All other provisions of the Contract which are not expressly amended herein shall remain
in full force and effect.

Re: Third -party Review of Phase V Energy Savings Performance Proposal (ESPC)
of Johnson Controls, Inc. for the Village Creek Wastewater Treatment Plant — Two
Additional Sub -groupings of Projects
Dear Ms. Rafallco:
We are hereby proposing to perform athird-party review of two additional sub -groupings of
Facility Improvement Measures for the subject WWTP. Our work will include review of new
submittals related to portions of the original scope of work by Johnson Controls, Inc. Our tasks
will include:
1. Verification and requests for corrections and review of corrections as necessary to insure
that all modifications and corrections made to the original Johnson Controls' proposal are
carried over appropriately into this revised proposal. This includes text, pricing, and
technical sections.
2. Verification and requests for corrections and review of corrections as necessary to insure
that financial plans meet state code.
3. Verification and requests for corrections and review of corrections as necessary to insure
the proposed Measurement and Verification (M&V) Plan includes all modifications made
to the original M&V Plan and that the results are applicable to the revised list of projects.
4. Verification and requests for corrections and review of corrections as necessary to insure
the technical interest of the Owner is protected in the Contract Documents.
We have already started our review of the Johnson Controls proposed sub -grouping of FIMs #2,
#3A, #3B, and #5 and will await the submission of a final sub -grouping proposal from Johnson
Controls at a later date. We expect to complete our review of the present proposed sub -grouping
of projects by July 5, 2010.. No schedule can be provided at this time for the final sub -grouping
of projects since it has not yet been submitted.

Our proposed fee for the currently submitted proposal documents (FIM
$6,000.00. Our proposed fee for the final sub -group proposal is $4,000.00.
