Re: Consent to Pool City of Fort Worth Lease Shady Oak Farm B Unit 2H 224.5585 Acre Projected Pooled Unit Tarrant County, Texas Dear Mr. Midkiff, XTO Energy Inc. is pleased to inform you that it is planning to spud the Shady Oak Farm B Unit 2H well on or about September 5, 2009. The pad site for this well is located within the proposed unit boundary on property that is owned by Quebec 820 Partners, LP. Enclosed for your records is a copy of the Texas Railroad Commission approved well permit, City of Fort Worth Permit and well plat for the Shady Oak Farm B Unit 2H well. By that certain Oil and Gas Lease dated September 20, 2007, between the City of Fort Worth "CFW"), as Lessor and XTO Energy Inc. ("XTO"), as Lessee, covering 753.922 gross acres (the "Land"), recorded under Document #D207364201, Official Public Records, Tarrant County, Texas ("Lease"), the CFW granted XTO the right to pool the Land with other lands or leases subject to the provisions of the Lease. XTO desires to pool a portion of the CFW Lease and Land with other lands to form the Shady Oak Farm B Unit (the "Unit"), which Unit shall contain 224.5585 acres as depicted on the plat attached hereto as Exhibit "A". The CFW Land to be pooled within this Unit is highlighted in yellow on the attached plat and identified as Tract 20 comprising 175.98 acres. This represents 23.34% of the gross acres ft•om the total 753.922 Lease acres being pooled into this Unit. The Unit is comprised of 78.37% CFW Land and thus exceeds the 50%requirement contained in Paragraph 5 of the Lease. Although the CFW Lease grants XTO the right to pool the Land and form units, Paragraph 7 of the Lease contains language governing the size of such unit as defined for horizontally drilled wells in Statewide Rule 86, which in this case would be approximately 180 acres. The projected Shady Oak Farm B Unit contains approximately 44.55 additional acres within the projected Unit boundary. With this inclusion of the additional 44.55 acres this will allow necessary room for XTO to drill 2 additional horizontal wells within this Unit and not leave any acreage stranded. XTO respectfully requests your consent to the formation of the Unit and to the inclusion therein of the additional 44.55 acres in the Unit. OFFICIAL RECORD CITY SECRET�#RY FT. There is also a "Cartoon" plat that reflects all three units side by side, along with the existing Tarragon A Unit that we anticipate having completed in the near future and are currently drilling in the Tarragon MSP Unit. All CFW acreage is highlighted in yellow on the individual Unit plats. Also within each unit we anticipate drilling over time approx 24 wells per unit.
