WHEREAS, the City of Fort Worth (City) and Freese and Nichols, Inc., (Engineer)
made and entered into City Secretary Contract No. 39644, (the Contract) which was
authorized by the City Council by M&C C-24004 on the 15th day of December 2009; and
WHEREAS, the Contract was subsequently revised by Amendment No. 1 in the
amount of $48,201.00 administratively authorized by the City on June 13, 2011; and
WHEREAS, the Contract involves engineering services for the following project:
Trinity River Vision Central City — Final Design of Henderson Street and North Main Street Bridges
and 30% Design of White Settlement Bridge, Project No. 00144
WHEREAS, it has become necessary to execute Amendment No. 2 to said
Contract to include an increased scope of work and revised maximum fee;
NOW THEREFORE, City and Engineer, acting herein by and through their duly
authorized representatives, enter into the following agreement which amends the Contract:
Article I
Article I of the Contract is amended to include the additional engineering
services specified in M&C C-25333, adopted by the City Council on the 6th day of
December 2G11 and further amplified in a proposal letter dated October 11, 2011, copies
of which are attached hereto and incorporated herein. The cost to City for the additional
design services to be performed by Engineer total $995,751.
Article II
Article II of the Contract is amended to provide for an increase in the maximum fee
to be paid to Engineer for all work and services performed under the Contract, as
amendedso that the total fee paid by the City for all work d anservices shall
, not exceed
the sum of $4,808,153.

Proposed Contract Amendment 2
Dear Pat:
This letter contains our proposed amendment to the design contract for the Trinity River Vision
Central City Bridges. Additional design costs have materialized as a result of design changes
that have occurred since the original design contract was approved by City Council on
December 15, 2009 (M&C C-24004).
Specifically, these design changes include additional structural engineering and architectural
design due to the complex nature of the V-Pier bridge design, as well as design changes
stemming from a Value Engineering Study conducted in January 2011, The results of that study
identified several cost saving measures including narrower bridge decks for Henderson and
White Settlement and the use of roundabout intersections in lieu of conventional traffic
intersections at Henderson/White Settlement and at Commercial/White Settlement.
Approximately $1.7 million in construction savings were identified so the extra design costs will
be more than offset by the savings in construction.'
The extra design costs also cover additional survey work, lighting design, and other tasks
required as a result of the design changes from the Value Engineering Study. This additional
scope corresponds to an additional design fee $995,751, for an amended total contract amount
of $4,808,153. A detailed scope and fee breakdown is provided in Attachments A through E.
We have included qualified M/WBE team members performing key roles. At least 30.1% of the
fee will be performed by M/WBE team members, as we committed to at the start of this
contract.

Additional Scope for Engineering Design Related Services for Street Improvements
The scope set forth herein defines the additional work to be performed by the ENGINEER in
completing the project. Both the CITY and ENGINEER have attempted to clearly define the
work to be performed and address the needs of the Project.
Based on the final selection of a v-pier bridge design during the preliminary design phase,
ENGINEER shall perform the following professional services that are either deleted from or
added to the original scope of services:
1) V-PIER STRUCTURAL BRIDGE DESIGN
a) Eliminate from the original scope the following bridge design:
i) For the bridge portion over the railroad and up to the soft levee (which makes up
approximately 35% of the total cumulative bridge length) a conventional precast
prestressed beam structure, but with some aesthetic enhancements to match the
channel bridge, costing approximately $70/sf.
For the bridge portion over the bypass channel (which makes up the remaining
65% of the total cumulative bridge length) an "enhanced" bridge consisting of
precast concrete spliced -girder beams and special aesthetic detailing costing
approximately $157/sf, or a similar bridge with an estimated construction cost at or
below the CITY's current construction budget. Spliced -girder beams consist of
conventional precast concrete beam shapes, slightly modified for greater depths
where required, and splices between beam segments with post -tensioning to
achieve a continuous beam over the columns that are capable of greater spans
than conventional precast beam structures.
b) Design the following bridge type:
selected by the CITY after the preliminary design phase, a .post-
tensioned
concrete box girder bridge, supported by post -tensioned concrete v-shaped piers.
This bridge type shall be the same for the entire length of the bridge, including the
portion over the railroad and over the bypass channel.
ii) The bridge shall be analyzed using three-dimensional finite element analysis
software, accounting for multiple construction stages.
iii) Due to aesthetic requirements, each V-shaped pier is unique and hence requires
detailed analyses of each pier (ten piers total).

iv) Evaluate three-dimensional stress distribution effects of bridge superstructure
supported at concentrated locations on the v-piers.
v) Evaluate three-dimensional stress distribution effects of the transition from a typical
deck width to a widened deck width.
vi) Determine v-pier geometry for each set of v-piers on each bridge, and coordinate
dimensions to economize formwork where possible.
vii) Determine required construction sequencing for shoring, post -tensioning, and
casting, and tabulate the resulting stresses.
viii) Design post -tensioning in the bridge superstructure.
ix) Evaluate structure to minimize crack widths.
x) Determine mild reinforcing requirements for moment and shear.
xi) Determine anticipated deflections in the superstructure.
2) ARCHITECTURAL DESIGN
a) Involve Rosales and Partners, Inc. as bridge architects to ensure that the original
architectural concept is preserved as much as possible during the final design phases
of the project.
b) 30% Henderson
i) Refine the conceptual architectural design during the completion of the Henderson
30% level design drawings. Coordinate between architect and engineering team in
terms of the shape and size of the V piers, the location of piers, depth and shape
of superstructure, design of the abutments, retaining wall, etc.
ii) Perform preliminary design of railings, barriers and lighting including aesthetic
lighting up to 30% level.
c) 100% Henderson
i) Provide final architectural bridge details for walls, piers, railings and other bridge
elements to further develop the design plans to a 100% level as defined by
TxDOT.
ii) Coordinate architectural design with the landscape architecture design of the
roadway leading to the bridge.
iii) Subconsultant RPI shall make one trip to Fort Worth for coordination.
d) 100% North Main
i) Provide final architectural bridge details for walls, piers, railings and other bridge
elements to further develop the design plans to a 100% level as defined by
TxDOT,
ii) Coordinate architectural design with the landscape architecture design of the
roadway leading to the bridge.
iii) Subconsultant RPI shall make one trip to Fort Worth for coordination.
e) 30% White Settlement
i) Provide 30% level architectural bridge details for walls, piers, railings and other
bridge elements to further develop the design plans to a 30% level as defined by
TxDOT.

Coordinate architectural design with the landscape architecture design of the
roadway leading to the bridge.
Subconsultant RPI shall make one trip to Fort Worth for coordination.
3) SPECIALTY LIGHTING DESIGN
a) LED Handrail Lighting: Design the bridge pedestrian railing to allow for future
installation of LED handrail lighting. Design LED handrail lighting along pedestrian
walkways on bridges to an extent that electrical power, conduit runs, handrail
blockouts, and other related elements can be constructed with the bridge.
b) LED V-Pier Lighting:
i) Evaluate lighting schemes for illuminating the v-piers. The first scheme shall
consist of LED lights to accent the underside of the v-piers. The second scheme
shall consist of LED lights to accent the face of the v-piers. Any other schemes
evaluated shall be additional services.
ii) Prepare renderings of the two v-piers lighting schemes, and present to project
stakeholders for input at one meeting. Prepare photometric calculations for each
option of v-piers using a maximum of three (3) different light fixtures to comply
with TXDOT requirements.
Prepare memo that identified the pros and cons of LED lighting, maintenance
issues that may be encountered, and provide a cost comparison of the two
schemes listed above.
iv) Prepare mockup of LED light for demonstration to the stake holders.
v) Based on stakeholder feedback, modify the lighting schemes and revise the
renderings, and present again to project stakeholders for final input at a second
meeting.
vi) Prepare memo to summarize final LED lighting concept and costs.
vii) Based on the final lighting scheme preferred by project stakeholders, design LED
lighting for the v-piers.
4) SURVEYING
a) Provide additional topographical and boundary surveying at North Main and White
Settlement bridges.
b) Review and incorporate survey into the drawings.
5) ENVIRONMENTAL PERMITTING
a) Eliminate indirect Cl" cumulative impact (ICI) analysis for White Settlement Road,
based on the assumption that a TxDOT categorical exclusion will not be required
because the project will be funded by the U.S. Army Corps of Engineers.
b) Prepare revised exhibits for modified Categorical Exclusion environmental
documents on Henderson Street and North Main Street bridges only (not White
Settlement Road).
c) Meet with environmental subconsultant to review and finalize documents.

6) ROCK BLASTING DESIGN
a) Develop controlled blasting specifications that can be applied for rock excavation
work needed to facilitate construction of the North Main Street Bridge and the future
bypass channel that will be excavated beneath the bridge. Specifications will include
definitions, references to applicable federal, state and local regulations, submittal
requirements, blast -induced vibration and air -overpressure limits, monitoring
requirements, and special limitations intended to protect an existing storm sewer new
bridge structures, and offsite property.
b) Attend two meetings with the USACE to discuss rock blasting requirements and to
coordinate the incorporation of controlled blasting specifications into the bypass
channel construction documents to be developed by the USACE.
c) Deliverables shall include:
i) Blasting specifications for inclusion with the North Main Street Bridge
construction documents.
ii) An accompanying evaluation letter explaining key elements of the specifications
and other risk management issues.

documents to be developed by the USACE.
7) PUBLIC ART USING LIGHTING
a) Prepare night renderings for artist to use in developing public art concepts.
b) Coordinate with artist on public art concepts that are integral with the bridge structure
and architecture.
c) Arrange, host, and attend an initial meeting with the public artist and the project
stakeholders. Following the initial development of artist concepts, arrange, host, and
attend a second meeting with the public artist and project stakeholders to review
concepts.
d) Provide excess power in the vicinity of the roundabouts based on the electrical
power requirements (if any) requested by the public artist for lighting of the art.
Lighting design of the art, including fixture type or location, is not a part of this scope.
8) REVISED ROADWAY DESIGN
a) The original scope was based on utilizing at least some portions of the previous
AECOM design. Instead, the entire plans, profiles, and cross -sections of the three
roadway designs (Henderson, White Settlement, and North Main) were completely
redesigned, saving approximately $2,000,000 in construction costs and reducing
environmental impacts.
b) Redesign the previous roadway White Settlement/Henderson and White
Settlement/Commercial Street intersection designs to account for the anticipated
traffic turning movements.
c) Prepare Design Waivers for TxDOT for the following intersections with limited turning
lane storage lengths:
i) New White Settlement/Henderson

d) Prepare roadway, signage, striping, ROW, drainage, and other design necessary for
Commercial Street, which was not part of the initial scope.
9) ADDITIONAL MEETINGS
a) Attend an additional 24 biweekly coordination meetings with the TRVA, CITY, and
other design consultants, as follows:

10) SPECIALTY BRIDGE CONSTRUCTION COST ESTIMATING
a) Engage the services of a specialty bridge construction cost estimator to prepare
opinions of the probable construction cost of the v-piers and bridge superstructure.
11) VALUE ENGINEERING (VE)
a) Prepare a presentation of the design background for the bridges,.
b) At the VE kickoff meeting, give presentation on the design background of the
bridges, and participate in a Q&A session lasting three hours. Attending will be John
Dewar of FNI, as well as subconsultants Miguel Rosales and John Corven.
c) At the conclusion of the VE study, attend a two hour meeting to receive comments
from the VE team. Attending in person will be John Dewar of FNI. subconsultants
Miguel Rosales and John Corven will view remotely via Webex.
d) Review and prepare a written response to the suggestions contained in the final VE
report prepared by TRVA's VE team.
12) PASS -THROUGH FINANCING APPLICATION

to be placed on both sides of roadways, and will include pedestrian lighting on same

d) Provide drawings and details; to include five additional plan drawings including the
revision of two drawings to show proposed pole and fixture layout and underground
cable layout.
e) Revise currently designed layouts to accommodate an additional service point in the
vicinity of the roundabout.
f) Attend review meeting, prepare a written response to the suggestions therein
expressed and make final Quality Control review.
g) 100% submittal of additional drawings, including electronic and hard copy.
18) ELIMINATE PUBLIC INVOLVEMENT
a) Eliminate construction phase public meetings and remaining public related scope scope for Henderson Street and North Main Street.
The following work is not in this scope of services:
1) VIRTUAL BRIDGE DESIGN FOR RAILROAD EXHIBIT
i) This scope does not include "virtual bridge designs" as sometimes required by
TADOT for the railroad Exhibit agreements. If required, the following can be
done as an Additional Service:
(1) Prepare conceptual level bridge designs for Henderson and White
Settlement, consisting of a plan, profile, and cross-section in accordance with
TxDOT requirements for a virtual bridge. This virtual bridge is the minimal
bridge and approaches necessary to cross the railroad right-of-way.
(2) Develop an opinion of probable construction cost for these virtual bridge
designs in a format acceptable to TxDOT.

Scope of Services
AECOM will update and revise the Categorical Exclusions (CE) documents for North Main Street,
Henderson Street and White Settlement Street based on the changes to the Central City Bridge
Schematics. The modifications to the CEIs will be based on schematic changes resulting from
refinement of the design based on City, TxDOT & project partner input that came from the meeting on
July 27, 2009 at the TxDOT Fort Worth District office. Also, based on discussion with the City of Fort
Worth, this scope does not include any changes resulting from the new channel bridge design.
Environmental Document RevJsions
AECOM will revise the May 2009 Categorical Exclusion (CE) document for the proposed Henderson
Street, North Main & White Settlement Road project to address proposed project design changes,
and will update other information as described in this scope of work. The revised schematic is dated
June 2010. AECOM will perform the following tasks.
1. Review project schematic to identify the revised project design details that will be
incorporated in the CE analysis and exhibits.
2. Revise the description of the proposed project (facility), and alternatives.
3. Revise the description of right-of-way requirements, easements, and displacements.
4. Revise the discussion of utility relocations/adjustments.
5. Review the Environmental Justice section and revise the impact assessment based on the
revised right-of-way. Update the national poverty level median annual income, if it is revised
while the CE is being prepared.
B. Review public facilities and services in the project area, and assess if the proposed project
would impact them (specifically in regards to changes in access to properties and ROW
acquisition). Incorporate any new information in the CE.
7. Update the Wildlife Habitat and Vegetation section of the CE.
a. Develop a new "project study area" for use in assessing impacts to vegetation. The
study area will be based on the revised proposed project right -of --way and
easements.
b: Conduct one site visit to identify existing vegetation within the additional areas of
proposed right-of-way, construction easements, and grading easements.
c, Revise the "Vegetation Impacts" exhibit for use in Appendix C.
d. Revise the TxDOT Woodlands Data Form, if necessary, to include in Appendix C.
e. Revise the CE section.
8. Update the Threatened and Endangered (T&E) Species section of the CE. An updated list of
T&E species will be obtained, and new information will be incorporated in Table 7 of the CE.
Updated Texas Natural Diversity Database information will be obtained from Texas Parks
and Wildlife Department, and the information will be incorporated in this section.
9. Obtain updated database for assessment of hazardous materials. Revise/update the Table
and include the new database search map in Appendix D.
10. Confirm that the proposed project is in the most recent Transportation Improvement Plan
(TIP); the projects listed in Table 7 of the CE are still applicable; and identify and include
additional projects, if any, in Table 7.
11. Revise the text in the discussion of Mobile Source Air Toxics, if TxDOT has updated standard
language for this section.
12. Revise the historic resources survey report for the project (see attached HHM Inc. scope of
services). Previously compiled survey data will be used and potential impacts to NRHP-
eligible resources that may be affected by the bridge projects will be analyzed. The historic
resources survey report will be revised and updated with an effects analysis that takes into
consideration proposed design changes. The update report will analyze the need, if any, to
undertake supplemental intensive -level survey and/or Section 4(0 analyses. A revised
Appendix will be prepared by HHM, Inc. for the CE, with an executive summary and exhibits.
13. Revise the discussion of the traffic detour plan in the Construction Impacts Section.
14. Incorporate preferred wording for sections of the CE, as applicable, that is included in
TxDOT's "Standards of Uniformity for Categorical Exclusions", dated 11116/2009.
15. Prepare revised exhibits for the CE, including:
a. Figure 1 — revise project limits
b. Figure 2 — replace proposed roadway and bypass channel footprint
c. Figure 4 — replace with new typical section
d. Figure 7 — replace with new typical sections (may be two pages instead of one)
e. Figure 8 — replace with the new proposed bridge schematic plan
f. Figure 9 — replace with new detour plan
g. Figure 10 — revise to show revised project limits and revised APE
AECOM ll provide the Draft CE and subsequent revised CE documents after review by TxDOT Fort
Worth District (one review), Environmental Affairs (ENV) Division (two reviews), Agencies (one
review), and FHWA (one review). A comment/response matrix will be prepared for each submittal of
a revised CE.
AECOM will provide the following versions of the CE document:
Draft CE 2 copies for TxDOT District review
Draft CE 10 copies + 1 electronic for TxDOT ENV review
Draft CE 10 copies for ENV review
Draft CE 10 copies for Agency review
Draft CE 10 copies for FHWA review
Final CE 10 copies
Assumptions
Client will provide design files of the proposed roadway schematic. No other changes to the CE will
be required except as listed above. This assumption includes, but is not limited to the following
assumptions.
There has been no change to effective FEMA floodplain maps.
• The latest list of Texas 303(d) impaired waters is year 2008.
• No noise analysis is required.
• No impacts to 4(f) properties are anticipated, and no 4(f} analysis is required.
• No change to the indirect and cumulative impact assessment is needed.
• No change to the visual impact assessment is required.
Project Management
This scope includes additional project management time for coordination of project tasks, invoicing
and subconsultant coordination. This scope of work also provides time for three (3) project meetings.
If additional meetings are required, additional funds will be necessary.
TRINITY RIVER VISION
UPDATE HISTORIC RESOURCES SURVEY REPORT

Scope of Work
HHM will update the impacts analysis section ofthe historic resources survey reports for the N. Main Street,
Henderson Street, and White Settlement Road bridge projects to address potential impacts to historic
properties based on proposed design changes. Upon receipt ofrevised schematics from AECOM, HHN4 will
take previously compiled survey data and reanalyze potential impacts to NRHP-eligible resources that may be
affected by the bridge projects. HHM will revise and update the historic resources survey report with an
effects analysis that takes into consideration proposed design changes. The update report will analyze the

In June 2011, it was proposed to remove the White Settlement Road CE from the total effort of
the three bridge projects listed above. Under these circumstances, the following is proposed.
ENVIRONMENTAL ASSESSMENT —FUNCTION CODE 120
Under the assumption that White Settlement will no longer need a state or federal
environmental clearance document in the form of a CE, the effort to complete the CE is
removed from the overall scope. This results in an overall fee reduction to the environmental
services of $11,847 for the CE and a reduction of $6,703 for the ICI portion of the work, for a
total of $18,550.
ASSUMPTIONS
The following are conditions that, if changed, will trigger potential additional effort and have the
potential to trigger additional supplemental agreement(s):
1) The design for Henderson Street and North Main will be provided by Freese and Nichols
to AECOM on or before September 15t. This design will include final ROW takes and
design elements at a sufficient detail for environmental clearance.
2) The current environmental standards for ICI preparation are in accordance to the
TxDOT's September 2010 Guidance on Preparing Indirect and Cumulative Impact
Analyses. (September 2010).
3) The review of all three documents at the state and federal level will be conducted and
completed before substantial changes occur to the current environmental standards,
guidelines, and procedures.
DELIVERABLES
Deliverables for Function Code 120 will include the following:
1. Revised Categorical Exclusion containing an Indirect and Cumulative Impact
Analysis and Assessment for SH 199 (Henderson Street)
2. Revised Categorical Exclusion containing an Indirect and Cumulative Impact
Analysis and Assessment for BU 287P North Main Street).

RECOMMENDATION:
It is recommended that the City Council:
1. Authorize acceptance of an additional $1,175,000.00 in Pass Through Financing Grant Funds from the
Texas Department of Transportation for the Henderson Street Bridge Project; and
2. Authorize Execution of Amendment No. 2 in the Amount of $995,751.00 to City Secretary Contract No.
39644 with Freese and Nichols, Inc., as Part of the Trinity River Vision Central City Project for Evaluation
and Final Design of Bridges at Henderson Street, North Main Street and White Settlement, thereby
increasing the total fee to $4,808,153,00,
DISCUSSION:
On April 5, 2011, the City Council approved M&C C-24837 to ratify an application to Texas Department of
Transportation (TxDOT), and authorize the City Manager to accept, if awarded, a grant in an amount up to
$10,510,000.00 in Pass Through Financing Project Funds from the Texas Department of Transportation
for construction of the Henderson Street Bridge Project, The City's application was selected, and as a
result of the negotiation process that later ensued, TxDOT increased the grant award to $11,685,000.00.
Therefore, an additional $1,175,000.00 in Pass Through Financing Project Funds has been awarded to
the City for the Henderson Street Bridge Project. As was the case with the initial grant application, this
TxDOT grant program does not require any additional local matching funds beyond those already
budgeted and is strictly a reimbursement for local dollars expended on an on -system facility. Henderson
Street is known as SH 199.
Reimbursement from TxDOT will begin in 2015 at a rate of $0.07 per vehicle passing over the new
Henderson Bridge. Reimbursement will occur over a 10-20 year period depending on traffic volumes, and
the minimum annual reimbursement amount is set at $584,250.00 with the maximum annual
reimbursement amount set at $1,168,500,00, Once these reimbursements begin, they will be targeted for
use on future transportation capital improvements such as neighborhood streets, arterials and intersection
improvements.
Wth respect to the Freese &Nichols, Inc., design contract, additional design costs have arisen as a result
of design changes that have become necessary since the original design contract was approved by City
Council on December 15, 2009 (M&C C-24004). Specifically, these design changes include additional

structural engineering and architectural design due to the complex nature of the V-Pier bridge design, as
well as design changes stemming from a Value Engineering Study conducted in January 2011. The
results of that study identified several cost saving measures including narrower bridge decks for
Henderson and White Settlement and the use of roundabout intersections in lieu of conventional traffic
intersections at Henderson/White Settlement and at Commercial/White Settlement. Approximately $1.7
million in construction savings were identified so the extra design costs will be more than offset by the
savings in construction. The extra design costs also cover additional survey work, geotechnical studies,
lighting design and environmental work required also as a result of the design changes from the Value
Engineering Study. This design contract amendment will be paid for with funds set aside in the 2004 and
2008 Capital Improvement Program (CIP), which originally included $14,700,000.00 for bridge and street
improvements and related infrastructure as part of the Trinity River Vision Central City Project.
Once this preliminary phase of the project is finished, final design of Henderson Street and North Main
Street bridges will be completed. White Settlement Road Bridge plans will only be carried to a 30 percent
level of design at this time which defines the bridge type for TXDOT. The construction of the White
Settlement Road Bridge is not scheduled until 2017 so the final design will be completed at a later date.
Construction of Henderson Street bridge is scheduled to begin in the fall of 2012 with the North Main
Street Bridge construction scheduled to begin in winter 2014.
City Staff considers this fee to be fair and reasonable for the scope of services to be performed.
Freese and Nichols, Inc., agrees to maintain its initial M/WBE commitment of 30 percent that it made on
the original agreement and extend and maintain that same M/WBE commitment of 30 percent to all prior
amendments up to and inclusive of this Amendment No. 2. Therefore Freese and Nichols, Inc., remains in
compliance with the City's M/WBE Ordinance and attests to its commitment by its signature on the
Acceptance of Previous M/WBE Commitment form executed by an authorized representative of its
company.
This project is located in COUNCIL DISTRICTS 2 and 9, Mapsco 62U, 62Y and 62Q and will benefit the
entire City.
FISCAL INFORMATION /CERTIFICATION:
The Financial Management Services Director certifies that upon approval of Recommendation No. 1,
funds will be available in the current capital budgets, as appropriated, of the Grants Capital Project Fund
and the 2008 Street Improvements Fund.
